Contract Number P-22-415 covering a study on water system integrations options is amended as
follows:
The contract with your company expires September 14, 2024. The County of Fresno desires to extend
this contract for an additional three-year period effective September 15, 2024 through September 14,
2027. Prices will be firm for the contract period. Amendment provisions shall remain in full force and
effect with any contract renewals.
Maximum: The County of Fresno desires to increase this Agreement in the amount of One Hundred
Twenty-Four Thousand Nine Hundred Sixty-Five Dollars ($124,965.00). In no event shall services
performed and/or fees paid under this Agreement be in excess of One Hundred Sixty-Two Four Hundred
Sixty-Five Dollars ($162,465.00).
Electronic Signatures. The parties agree that this Agreement may be executed by electronic signature as
provided in this section.
A. An "electronic signature" means any symbol or process intended by an individual signing this
Agreement to represent their signature, including but not limited to (1)a digital signature; (2) a faxed
version of an original handwritten signature; or(3)an electronically scanned and transmitted (for
example by PDF document) of a handwritten signature.
B. Each electronic signature affixed or attached to this Agreement(1) is deemed equivalent to a valid
original handwritten signature of the person signing this Agreement for all purposes, including but not
limited to evidentiary proof in any administrative or judicial proceeding, and (2) has the same force
and effect as the valid original handwritten signature of that person.
C. The provisions of this section satisfy the requirements of Civil Code section 1633.5, subdivision (b), in
the Uniform Electronic Transaction Act (Civil Code, Division 3, Part 2, Title 2.5, beginning with section
1633.1).
D. Each party using a digital signature represents that it has undertaken and satisfied the requirements
of Government Code section 16.5, subdivision (a), paragraphs (1)through (5), and agrees that each
other party may rely upon that representation.
This Agreement is not conditioned upon the parties conducting the transactions under it by electronic
means and either party may sign this Agreement with an original handwritten signature.

Background and Purpose
Fresno County Water Works District 41W—Shaver Lake (WWD 41) is a potable water distribution
system formed under California's County Waterworks District Law(CWD 55000 et seq). WWD 41
provides water service to an area wholly contained in eastern Fresno County in the Shaver Lake region.
The water supplies used to serve WWD 41 customers are derived from local groundwater resources in
fractured rock aquifers. As the community surrounding Shaver Lake grew,the area around WWD 41
required expanded services. Several County Service Areas (CSA) were formed to provide these services,
including CSA 31 and its multiple zones of benefit. WWD 41 currently provides water service to CSA 31C,
CSA 31D, CSA 31F, and CSA 31G (collectively"CSA 31 Benefit Zones"). Fresno County desires to complete
a boundary change to the WWD 41 Sphere of Influence (SOI) to encompass the CSA Benefit Zones, and
annexation of the CSA 31 Benefit Zones to WWD 41 for water service (collectively,the "Project")to
ensure long-term efficiency and economical operations of water service for the community.
The purpose of this Scope of Work is to provide support services to Fresno County for the Project.This
process includes the following tasks: (1) Fresno County and California State Legal and Regulatory
Process, (2) County and Community Engagement, (3) Project Communication and Briefings, (4) Optional
On Call tasks.
Task 1— County and State Legal and Regulatory Process
Zanjero will engage with County staff to complete the necessary steps for SOI boundary change and
annexation of the CSA Benefit Zones to WWD41.This includes managing the LAFCo process governed by
the Cortese-Knox-Hertzberg Act (CA Govt Code § 56000). It is the intention to comply with the California
Environmental Quality Act (CEQA)with a Notice of Exemption (NOE) or Negative Declaration that shows
the Project will not have significant effect on the environment pursuant to the "State Guidelines"
published by the California Office of Planning and Research under California Administrative Code. Should
the Project not be exempt from the CEQA process or qualify for a Negative Declaration, the Parties
agree to reassess the Scope of Work and costs to complete an Environmental Impact Report. Activities
included in Task 1 include the Annexation Petition, SOI Application, Municipal Service Review(MSR), and
CEQA NOE or Negative Declaration.

Task 2— County and Community Engagement
Zanjero will assist the County staff producing reports and Resolution Recommendation documents for
the County Board of Supervisors (BOS), BOS Legal Council, and County Administrator's Office . Zanjero
will work with County to identify other approval requirements (e.g. Public Works, County Assessor) for
boundary change approval.
This task also includes community engagement and public outreach services, including supporting
County staff with required constituent and public noticing and hearings. The scope of this task involves
stakeholder engagement required under the LAFCo rules as well as stakeholder engagement that Fresno
County seeks to complete to garner political support. The stakeholder engagement contemplated here
does not include any Proposition 218 requirements that could arise in the course of completing this
project. In the event the County determines that Proposition 218 rules must be complied with to
complete the LAFCo annexation process for WWD 41,then the scope and budget for this Task 2 will be
reassessed by the Parties.
Task 3 — Project Communications and Briefings
Zanjero will engage in routine project communications with the Project Manager(assumed to be Jennifer
Cavalla)through regular phone and email correspondence.Zanjero anticipates no less than one video
conference meeting per month for regular project status updates. Zanjero will also engage in additional video-
conferences per the direction of the Project Manager.
Task 4— Optional On Call
In the course of addressing options and assessing viability of this project, other water related planning,
engineering, or legal service needs may arise.The purpose of this option task is to provide a convenient
mechanism to address those issues in the course of completing the services provided in this scope of
work. No task may be undertaken under this Optional Task 4 without the written consent of Fresno
County and a corresponding budget for the identified task that has been agreed to between Zanjero and
Fresno County. Any special services that would require attorney-client protection under the Fresno
County Legal Counsel's purview will require adjustment to the rates identified in this Scope of Work.
Timeline and Budget
The proposed work considered in Tasks 1 through 3 of this Scope of Work will be completed based on
the timeline an approval process of Fresno County LAFCo and the Fresno County Board of Supervisors.
The Parties anticipate that these tasks can be completed in less than 2 years. Any expansion of this
scope of work beyond the anticipated 2-year timeline will require extension of this Scope of Work by the
Fresno County Project Manager. Zanjero will work on a time and materials basis on Tasks 1 through 3
for a total budget of approximately$62,500.00 per year not to exceed $125,000.00 for the duration of
the contract. This cost includes the fundamental technical, regulatory, and stakeholder engagement
issues contemplated in Tasks 1 through 3 above. If additional work is necessary that was not
contemplated in this scope of work,the Parties will confer in good faith to assess additional expenses
necessary to conclude the project. Work contemplated in Task 4 is not included in the proposed budget
and will be assessed as needed by the parties over the two-year planning horizon in this scope of work.
