The County of Fresno desires to extend this contract for an additional two (2) month period effective March 1, 2025 through April 30, 2025. Prices will be firm for the contract period. Amendment provisions shall remain in full force and effect with any contract renewals. Delete Attachments "A" and "B" and replace with Revised Attachments "A" and "B". "CONTRACTOR'S SERVICES:" on page 1 is amended to read as follows: Contractor shall perform the services as described in Revised Attachment"A" at the rates in Revised Attachment"B". "INVOICING:"on page 1 is amended to read as follows: The Contractor shall submit monthly invoices to COUNTY, by the 30th day of each month for the prior month's expenditures, e-mailed to the County of Fresno, Department of Public Health, HPW-Tobacco Prevention Program, Attention: HPW-TPP Staff Analyst at DPHBOAP@fresnocountyca.gov or addressed to the County of Fresno, Department of Public Health, HPW-TPP, Attention: HPW-Tobacco Prevention Program Staff Analyst, P.O. Box 11867, Fresno, CA 93775. The Contractor shall submit each invoice by the 30th day of each month in which the Contractor performs services for the prior month's expenditures and in any case within 60 days after the end of the term or termination of this Agreement. Invoices shall detail line items as specified in Revised Exhibit B, including original budget amount(s), current month's expenses, year-to-date expenses, and budget balances. In addition, invoices shall also include all relevant supporting documentation including but not limited to general ledgers, copies of original statements, program expense receipts, payroll records, and mileage claims. No reimbursement for services shall be made until invoices are received, reviewed and approved by COUNTY's Department of Public Health. A. Payment: the County shall pay each correctly completed and timely submitted invoice within 45 days of receipt. The County shall remit any payment to the Contractor's address specified in the invoice. B. Incidental Expenses: The Contractor is solely responsible for all its costs and expenses that are not specified as payable by the County under this Agreement. Electronic Signatures. The parties agree that this Agreement may be executed by electronic signature as provided in this section. A. An "electronic signature" means any symbol or process intended by an individual signing this Agreement to represent their signature, including but not limited to (1) a digital signature; (2) a faxed 333 W. Each electronic signature affixed or attached to this Agreement (1) is deemed equivalent to a valid original handwritten signature of the person signing this Agreement for all purposes, including but not limited to evidentiary proof in any administrative or judicial proceeding, and (2) has the same force and effect as the valid original handwritten signature of that person. C. The provisions of this section satisfy the requirements of Civil Code section 1633.5, subdivision (b), in the Uniform Electronic Transaction Act(Civil Code, Division 3, Part 2, Title 2.5, beginning with section 1633.1). D. Each party using a digital signature represents that it has undertaken and satisfied the requirements of Government Code section 16.5, subdivision (a), paragraphs (1)through (5), and agrees that each other party may rely upon that representation.
