1 FIRST AMENDMENT TO AGREEMENT
2 THIS FIRST AMENDMENT TO AGREEMENT (hereinafter "First Amendment) is made
3 and entered into this�dday of , 2007, by and between COUNTY OF FRESNO,
4 a Political Subdivision of the State of California, hereinafter referred to as "COUNTY," and

5 MGT of America, Inc., whose address is 455 Capitol Mall Suite 600, Sacramento, California
6 95814, hereinafter referred to as "CONTRACTOR."

7 WITNESSETH:
8 WHEREAS, COUNTY and CONTRACTOR entered into Agreement number 06-159,
9 dated 13th June, 2006 (hereinafter "Agreement"), pursuant to which CONTRACTOR agreed to
10 provide strategic planning consulting services to COUNTY'S Office of the Auditor-

11 Control le r/Treasu re r-Tax Collector; and
12 WHEREAS, the Agreement, by its terms, terminates on June 12, 2007; and
13 WHEREAS, COUNTY and CONTRACTOR now desire to amend the Agreement in order
14 to extend its term for an additional nine (9) months.
15 NOW, THEREFORE, for good and valuable consideration, the receipt and adequacy of
16 which is hereby acknowledged, COUNTY and CONTRACTOR agree as follows:
17 Section 3 of the Agreement, located on page 2 thereof, lines 8 through 9, is hereby
18' deleted in its entirely and replaced with the following:

3. TERM: This Agreement shall become effective June 13, 2006, and will
20 terminate on March 12, 2008, unless terminated sooner as provided herein."
21 The Parties agree that this First Amendment is sufficient to amend the Agreement and,
22 that upon execution of this First Amendment, the Agreement and this First Amendment together
23 shall be considered the Agreement.

1 The Agreement, as hereby amended, is ratified and continued. All provisions, terms,
2 covenants, conditions and promises contained in the Agreement and not amended herein shall
3 remain in full force and effect.
4 IN WITNESS WHEREOF, the parties hereto have executed this Agreement as of the
5 day and year first hereinabove written.
