FIRST AMENDMENT TO AGREEMENT P-18-172-S
THIS FIRST AMENDMENT TO AGREEMENT ("Amendment") Is made and entered into this
th day of December 2019 ("Effective Date"), by and between the County of Fresno, a political
subdivision of the State of California ("COUNTY"), and the law firm of Whitney, Thompson &
Jeffcoach, a Limited Liability Partnership, whose address is 8050 N. Palm Avenue, Suite 110, Fresno,
California 93711 ("ATTORNEY").
WITNESSETH:
WHEREAS, COUNTY and ATTORNEY entered into Agreement number P-18-172-S, dated
February 21, 2018 ("Agreement"), pursuant to which ATTORNEY agreed to provide specialized
services, as authorized by Government Code, section 31000, to provide specialized legal advice and
representation regarding complaints made to the California State Bar against the Fresno County
District Attorney ("District Attorney") and individual employees of the District Attorney's Office; and
WHEREAS, COUNTY and ATTORNEY now desire to amend the Agreement in order to extend
the term of the Agreement for one year.
NOW, THEREFORE, for good and valuable consideration, the receipt and adequacy of which
is hereby acknowledged, COUNTY and ATTORNEY agree as follows:
1. Section five (5) of the Agreement, located on page five (5), line twenty-two (22), through
page six (6), line three (3), is deleted in its entirety, and replaced with the following:
"Term of Aoreement: This Agreement shall be effective February 21, 2018, and will terminate
on December 31, 2020. Either party may terminate this Agreement at any time, either in whole
or in part, by giving written notice to the other party. However, if ATTORNEY elects to
terminate this Agreement, COUNTY'S rights under any pending matter which may arise from
ATTORNEY'S services hereunder shall not be prejudiced due to such termination, as required
by the Rules of Professional Conduct of the State Bar of California. Subject to paragraph 3 of
this Agreement, ATTORNEY shall be paid for all services performed to the date of termination
of this Agreement, which are done to the reasonable satisfaction of COUNTY."

COUNTY and ATTORNEY agree that this Amendment is sufficient to amend the Agreement,
and that upon execution of this Amendment, the Agreement and this Amendment together shall be
considered the Agreement.
The Agreement, as hereby amended, is ratified and continued. All provisions, terms,
covenants, conditions and promises contained in the Agreement and not amended herein shall remain
in full force and effect.
