Political Subdivision of the State of Cali'fomia, hereinafter referred to as "COUNTY", and
ARAMARK CORRECTIONAL SERVICES, INC., a Delaware Corporation, whose address is
1801 Sout? Meyers Road, Suite 300, Oakbrook Terrace, IL 60181, hereinafter referred to as
"CONTRACTOR" (collectively the "parties").
WHEREAS, the parties entered into that certain Agreement, identified as COUNTY Agreement
No. A-02-118, effective July 1, 2002, Amendment I to that Agreement effective July 1, 2002,
Amendment II to that Agreement effective February 1, 2004, and Amendment III to that Agreement
effective July 15, 2004 whereby CONTRACTOR agreed to provide food services for COUNTY
Facilities; and
WHEREAS the parties desire to amend the Agreement as identified below and restate the
Agreement in its entirety.
NOW, THEREFORE, in consideration of their mutual promises, covenants and conditions,
hereinafter set forth, the sufficiency of which is acknowledged, the parties agree as follows:
I. That the existing County Agreement No. A-04-041, Page One (1), beginning with Line
Twenty (20) with the number "1", and ending on Page Three (3), Line One (1), with the word "PACT"
as previously amended be deleted and the following inserted in its place.
"1. FOOD SERVICES FOR PSYCHIATRIC HEALTH FACILITY (PHF).
PSYCHIATRIC ASSESMENT CENTER FOR TREATMENT (PACT).
AND APOLLO RESIDENTIAL FACILITY.
In addition to providing food services management for Fresno County
Correctional Facilities set forth in the Agreement, CONTRACTOR agrees to provide food services
management for the PHF, PACT, and Apollo Residential Facility, as set forth in this Amendment IV.
It is the intent of the parties to provide for food service management at additional County facilities
without in any way adversely altering the provision of food service management for Fresno County
Correctional Facilities as set forth in the Agreement.

1 CONTRACTOR shall provide food services at the PHF and PACT, located at 4411 E.
2 Kings Canyon Road, Fresno, CA 93702, and the Apollo Residential Facility, located at 205 N.
3 Blackstone, Fresno, CA 93701 as indicated in Revised Exhibit A, attached hereto and by this
4 reference incorporated herein.
5 COUNTY reserves the right to modify, add, or eliminate food service needs at any
6 location. Such modification, addition, or elimination of food service requirements shall not affect the
7 obligation of CONTRACTOR with respect to other COUNTY facilities.
2. COMPENSATION 8
9 A. For food management services provided to PHF and Apollo Residential Facility
10 for the period of July I, 2005 through June 30, 2007 COUNTY shall pay CONTRACTOR Two and
11 841100 Dollars ($2.84) per meal plus, current CPI, applicable State and local sales or use tax for each
12 breakfast, lunch and dinner meal served to COUNTY's consumers (this shall include all utensils and
13 condiments). COUNTY shall pay CONTRACTOR Forty Two Cents ($0.42) for each snack provided
14 to PHF, PACT, and the Apollo Residential Facility plus, current CPI, applicable State and local sales
15 or use tax. COUNTY shall pay CONTRACTOR for snacks including those identified in Revised
16 Exhibit B, attached hereto and by this reference incorporated herein. In no event shall services
17 performed under this Amendment IV for the period July I, 2005 through June 30, 2006 be in excess of
18 One Hundred Ninety Three Thousand Four Hundred Twenty Four and No/100 Dollars ($193,424.00).
19 In no event shall services performed under this Amendment IV for the period July I, 2006 through
2 0 June 30, 2007 be in excess of Two Hundred Eighteen Thousand Seven Hundred Eighty Eight and
21 No/100 Dollars ($218, 788.00). In no event shall the maximum compensation for services under this
2 2 Agreement be in excess of Four Hundred Twelve Thousand Two Hundred Twelve and No/100 Dollars
23 ($412,212.00) during the term of this Agreement.
2 4 Any increase in meal, sack lunch, or snack cost must be pre-approved by the
2 5 COUNTY's Department of Behavioral Health Director, or designee, in writing. As determined by
2 6 COUNTY's Department of Behavioral Health Director or designee, CONTRACTOR shall provide to
27 COUNTY, at CONTRACTOR's cost plus applicable sales tax and shipping, replacement food service
2 8 trays. Said increase in meals, sack lunches, snacks, and replacement food service trays shall not

1 exceed the maximum compensation payable to CONTRACTOR under this Agreement.
2 3. INVOICES
3 . CONTRACTOR shall present an invoice weekly, in triplicate, for food services
4 management provided for PHF, PACT, and the Apollo Residential Facility pursuant to this
5 Amendment IV, and shall be submitted to COUNTY's, Department of Behavioral Health, Division
6 Manager, Intensive Services, 4411 E. Kings Canyon Road, Fresno, CA 93702. Within forty-five (45)
7 days after receipt and verification of the accuracy of the invoice, COUNTY shall remit payment to
8 CONTRACTOR.
9 4. QUARTERLY REPORTS PHF, PACT, AND APOLLO RESIDENTIAL
10 FACILITY
11 CONTRACTOR shall present to COUNTY's Department of Behavioral Health, a
12 quarterly report for the PHF, PACT, and Apollo Residential Facility. The report shall indicate the
13 number of meals served and itemized by ethnic and special diets and the type and number of snacks
14 provided for the PHF, PACT, and the Apollo Residential Facility."
15 2. That all references in Amendment II to Department of Adult Services shall be changed
16 to read Department of Behavioral Health.
17 3. That all references in Amendment II to Exhibit A and Exhibit B be changed to read
18 Revised Exhibit A and Revised Exhibit B.

I. Food Services for PHF
DIETETIC MEAL SERVICE NEEDS:
Provide all dietetic meal services for consumers of the Fresno
County PHF, including but not limited to:
A. Prepare food and deliver to PHF consumers.
CONTRACTOR shall provide staff to stay and serve all
consumers. Meals to include snacks, juices, milk and other
beverages.
B. CONTRACTOR shall provide special diets as requested by
COUNTY.
C. CONTRACTOR shall provide all serving utensils and
condiments.
D. CONTRACTOR shall provide sack lunches when ordered,
as well as meal service requests for special events ..
E. CONTRACTOR shall obtain tray counts and list of special diets
before every meal.
F. CONTRACTOR shall meet selected tray-testing
requirements.
G. CONTRACTOR shall provide services seven (7) days per
week, including holidays.
2. Food Services for Apollo Residential Facility

3. Dietetic Meal Service Requirements for Apollo and PHF

A. Total daily diet for consumers shall:
· 1) Be of the quality and in the quantity necessary to meet
the needs of the consumers. The menu is included as
part of Exhibit B, Pages Four (4) through Seven (7).
2) Meet the "Recomm·ended Dietary Allowances," gth
edition, 1980, or most current edition, adopted by the
Food and Nutrition Board of the National Research
Council of the National Academy of Science, adjusted to
the age, activity and environment of the group involved. i
3) Be comprised of food that is of good quality, and be I
selected, stored, prepared and served in a safe and I
healthful manner meeting all Federal, S.tate and County:
regulations and statutes governing the same. I
B. CONTRACTOR shall prepare three hot meals per day:
1) Breakfast for Apollo is scheduled at 8:00 A.M. sharp
2) Breakfast for PHF is scheduled at 7:30 A.M. sharp.
3) Lunch for Apollo is scheduled for 12 noon sharp.
4) Lunch for PHF is scheduled at 11:30 A.M. sharp.

5) Dinner for Apollo is scheduled at 6:00P.M. sharp.
6) Dinner for PHF is scheduled at 5:30P.M. sharp.
Not more than fourteen (14) hours shall elapse between:
the third and first meal, as. mandated by Federal and ·
State requirements.
C. CONTRACTOR shall provide all necessary supplies,
containers, utensils etc. to transport and serve food to the
consumers. Disposable plastic utensils (spoon, fork, and
knife) paper napkins, salt, pepper, sugar, drinking straws
shall come in wrapped individual packets for each consumer.
D. CONTRACTOR shall supply nourishing snacks to ensure
consumers receive adequate nutrition in conformance with
California Regulations Title 22, Section 70271. · '
CONTRACTOR shall supply the following juices and deliverj
required amounts with breakfast: '
1) Orange juice
2) Apple juice
3) Grape juice
4) 3 (64 ounce) containers of orange juice for oral
medication administration
E. Bedtime snacks shall be delivered with the dinner and may
include assorted fresh fruits, cookies, candy and nonfat milk
cartons (8 ounces) per consumer.
F. Snacks for consumers receiving a diabetic diet shall be
prepared by the assigned food service staff per the facility's •
physician order and the Department's contracted registered'
dietician's consultant.
1) 10:00 A.M. snacks shall be delivered with the
breakfast.
2) 2:00P.M. snacks shall be delivered with the lunch
trays. 1
3) Bedtime snacks shall be delivered with the dinne~
trays.
G. CONTRACTOR shall telephone the PHF and Apollo each
day at 6:00A.M., 10:00 A.M., and 4:00P.M. to obtain the
patient count and list of special diets.

H. CONTRACTOR shall, at the end of the meal, gather all
utensils and consumer trays _and return them to
CONTRACTOR's food service department so those trays
may be cleaned for the next meal.
I. Sack lunches, in lieu of regular hot meals, shall be provided
when ordered for consumers discharged to another location.
1) Sack lunches shall consist of a sandwich, 8 ounce juice
or other soft drink, fruit and cookies, unless otherwise
specifically ordered.
2) Sack lunches shall be delivered by the food services
personnel with the breakfast.
J. CONTRACTOR is responsible for ensuring the hot and cold
temperatures of the meals delivered to the facilities meet
Federal and State regulations. Within 5 minutes of each
meal delivery, a minimum of one randomly selected food
container shall be tested with a food thermometer by the
facility nursing staff:

1) The hot food on those trays must register at least 140
degrees Fahrenheit.
2) The cold food on those trays (specifically milk) must
register at least 45 degrees Fahrenheit or lower.
3) Should the food not measure to the above temperature,
the Nursing Services Manager shall be notified to take
appropriate action.
At least once a week, the PHF and APOLLO may request a
special meal for special events. The facility shall notify
CONTRACTOR at least 72 hours in advance to assure that
all requested products will be obtained.
CONTRACTOR shall suppJy special diet trays as per the
facility's physician order. The following is a list of the
special diets that can be ordered by the physician:
1) Cardiovascular Diets (sodium restriction)
2) Renal Diets (chronic renal failure)
3) Calorie-Controlled Diets (diabetes mellitus, obesity)
4) Food Sensitivity Diets
· 5) Vegetarian Diets
6) Pregnancy Diets
7) Dental Soft, Mechanical Soft Diets
8) Cultural Diets (Hispanic, Hmong, etc.)
9) Vegetarian Diets

M. CONTRACTOR shall submit quarterly and annual reports on
the number of special ethnic (e.g. Hmong, Hispanic) diets
served and the number of special diets· (e.g. low-sodium,
low-cholesterol, diabetic, etc) served.
4. Dietary Snack Food Services for PACT
The PACT unit requires snack items as ordered on a daily basis, seven
days a week, including holidays. These will be delivered three times a day
at the same time as the PHF delivery times identified on pages 2 and 3.
COUNTY does not guarantee any minimum order for each day.
A. PACT SNACK MEAL SERVICE REQUIREMENTS: .
1. CONTRACTOR shall provide services seven (7) days per week,
including holidays.
2. All food provided by CONTRACTOR shall be of good quality
and be selected, stored, prepared and served in a safe and
healthful manner.
3. Food and beverages shall not have any expired serving dates.
B. PACT SNACKS MEALS:
The required number of snack items shall be faxed in by staff on a
daily basis from the list of items on attached Revised Exhibit B,
Pages one (1 ), two (2), and three (3).
5. ADDITIONAL REQUIREMENTS
A. QUALITY ASSURANCE

In the event CONTRACTOR fails to deliver any meals or portions of
meals as agreed upon, as determined by the Department of ·
Behavioral Health, ·the Department of Behavioral Health may
procure meals elsewhere and charge CONTRACTOR the
additional cost of such replacement meals, plus any expenses
incurred by the Department in procuring such replacement meals.
CONTRACTOR shall be assessed liquidated damages for such
additional costs inthe amount of one hundred dollars ($100) per

hour plus the cost of food and mileage. Any assessment for
liquidated damages will be withheld from the monies owed to the
CONTRACTOR.
CONTRACTOR shall establish and maintain records in accordance
with those requirements prescribed by COUNTY. Except as
otherwise authorized by COUNTY, CONTRACTOR shall retain
such records for a period of three (3) years after receipt of the final
payment under the executed Agreement or the earlier termination
of the Agreement, or until all required audits have been completed.
Upon request, CONTRACTOR shall make these records available
to all authorized Fresno County, State (including the Auditor
General), and Federal personnel.
No alcoholic beverages/drugs will be brought on to a Fresno County
site, nor will anyone under the influence of alcoholic beverages or
drugs be allowed on site.
B. EMERGENCIES _ ·
CONTRACTOR shall provide services in the face of unexpected
events; i.e., power failure, fire, riot, lockdown, labor strikes or act of
· God that would preclude normal expectations:
C. CONTRACT REVISION/RENEWAL
COUNTY reserves the right to either increase or decrease food
service requirement within the terms of the contract. The cost for
the additional services shall be negotiated at the time the request is
made.
D. SANITATION
CONTRACTOR shall obey all Federal, State and local laws and
ordinances regarding health, sanitation and safety.
CONTRACTOR shall provide medical examinations as required by
law for each employee and appropriate· records shall be kept on file
for COUNTY inspection.
E. MEDICAL CLEARANCE

CONTRACTOR shall require a medical clearance for any employee
to return to work after three (3) days absence for illness.

F. FOOD SAMPLES
CONTRACTOR shall save samples of all prepared foods for a
period of not less than forty-eight (48) hours of its service for testing
in the event of an outbreak of food poisoning. Samples must be
clearly marked as to the dates and times of preparation, service
and storage.
G. ASSIGNMENT
CONTRACTOR's rights and obligations cannot be transferred or
subcontracted without the written approval from COUNTY.
COUNTY shall not incur any liability to third persons for payment of
any compensation provided to CONTRACTOR.
H. RIGHTS OF INSPECTION/COMPLAINTS
CONTRACTOR's facilities operated under this Agreement may be
inspected by Department of Behavioral Health representatives for
security, sanitation, food standards, quality of food preparation and
service, contractor employee performance or any other valid
reason. After each inspection, CONTRACTOR shall be advised in
writing of unsatisfactory conditions for which CONTRACTOR is
responsible. CONTRACTOR shall promptly correct such
deficiencies and communicate to COUNTY's appropriate
representative, in writing, within five (5) business days the solution
to each problem, when it was corrected and what has been done to
prevent recurrence of the problem.
I. RENEGOTIATION

The fiscal arrangements in this Agreement are based on conditions
existing on the date CONTRACTOR commences operations,
including, for example, the PHF, Apollo, and PACT's resident
population, food and supply costs, Federal, State and local sales
and other taxes, and other operation costs. In the event of a
change in such conditions, the financial terms and other obligations
assumed .by CONTRACTOR shall be renegotiated in good faith on
a mutually agreeable basis to reflect such change. In the event the
parties are unable to agree upon changes to the financial terms or
other obligations within sixty (60) days after CONTRACTOR notifies
COUNTY of its belief. there exists a changed condition,
CONTRACTOR may terminate this Amendment IV (as may be
amended from time to time) without penalty upon thirty (30) days
prior written notice.
