TERMINATION 4 A. Non-Allocation of Funds 5 The terms of this Inter-Departmental Agreement, and the services to be provided hereunder, are 6 contingent on the approval of funds by the appropriating government agency. Should sufficient funds not 7 be allocated, the services provided may be modified, or this Inter-Departmental Agreement terminated, 8 at any time by giving the CAO thirty(30)days advance written notice. 9 B. Without Cause 10 Under circumstances other than those set forth above,this Inter-Departmental Agreement may 11 be terminated by either party upon the giving of thirty(30)days advance written notice of an intention to 12 terminate this Inter-Departmental Agreement. However, termination of this Inter-Departmental 13 Agreement shall not affect any pending activities, which shall be handled to their conclusion by CAO. 14 15 4. COMPENSATION 16 For actual services provided pursuant to the terms of this Inter-Departmental Agreement, Human 17 Services agrees to pay CAO and CAO agrees to receive compensation in accordance with the Exhibit 18 A, Projected CAO Staff Charges. 19 In no event shall compensation paid for services performed under this Inter-Departmental 20 Agreement be in excess of One Million One Hundred Ninety-Seven Thousand Eight Hundred Six and 21 No/100 Dollars($1,197,808.00)during the term of this Inter-Departmental Agreement. Forthe period of 22 July 1, 2023 through June 30, 2024, in no event shall compensation paid for services performed under this 23 Inter-Departmental agreement be in excess of Five Hundred Ninety-Eight Thousand Nine Hundred Four 24 and No/100 Dollars($598,904.00). For the period of July 1, 2024 through June 30, 2025, in no event shall 25 compensation paid for services performed under this Inter-Departmental agreement be in excess of Five 26 Hundred Ninety-Eight Thousand Nine Hundred Four and No/100 Dollars($598,904.00). 27 The CAO is solely responsible for all of its costs and expenses that are not specified as payable by 28 the Human Services under this Inter-Departmental Agreement. If CAO should fail to comply with any -2- 10.24.2022 version 1 provision of the Inter-Departmental Agreement, Human Services shall be relieved of its obligation for further 2 compensation.Any compensation which is not expended by CAO pursuant to the terms and conditions of 3 this Inter-Departmental Agreement shall automatically revert to Human Services. 4 5. INVOICING 5 CAO shall prepare Inter-Departmental journal vouchers, hereinafter referred to as JV, at least 6 quarterly for expenditures for services provided to Human Services. JVs shall include supporting 7 documents, including but not limited to dates of services, hours, and the amount(s). JVs shall be subject 8 to County, State, and Federal audits. All supporting documents shall be sent at least quarterly to 9 Auditor-Controller/Treasurer-Tax Collector and to the following Department Mailboxes electronically: 10 Department of Social Services: dssiournalvoucherreguest(aD-fresnocountyca.gov, Department of 11 Behavioral Health: dbh-invoices(a)fresnocountyca.gov, and Department of Public Health: 12 ddphboap(ab-fresnocountyca.gov and iosrodriguezPfresnocountyca.gov. 13 6. MODIFICATION 14 A. Any matters of this Inter-Departmental Agreement may be modified from time to 15 time by the written consent of CAO and Human Services without, in any way, affecting the remainder. 16 B. CAO hereby agrees to any amendments in funding to reflect a reduction in funds 17 from State and Federal sources. In addition, this Inter-Departmental Agreement is subject to any 18 restrictions, limitations, or enactments of all legislative bodies which affect the provisions, terms or 19 funding of this Inter-Departmental Agreement in any manner. 20 7, NON-DISCRIMINATION 21 During the performance of this Inter-Departmental Agreement, CAO and its officers, employees, 22 agents and subcontractors shall not unlawfully discriminate in violation of any Federal, State or local 23 law, rule or regulation against any employee or applicant for employment, or recipient of services under 24 this Inter-Departmental Agreement, because of age, ethnic group identification, sex, gender, gender 25 identity, gender expression, sexual orientation, color, physical disability, mental disability, medical 26 condition, national origin, race, ancestry, genetic information, marital status, religion, religious creed, 27 military status, or veteran status. 28 A. Domestic Partners and Gender Identity -3- 10.24.2022 version 1 For State fund-funded contracts of$100,000 or more, CAO certifies that it complies with Public 2 Contract Code Section 10295.3. 3 B. Americans with Disabilities Act 4 CAO shall comply with the Americans with Disabilities Act(ADA)of 1990, which prohibits 5 discrimination on the basis of disability, as well as all applicable regulations and guidelines issued 6 pursuant to the ADA(42 U.S.C. 12101 et seq.) 7 C. CAO shall include the non-discrimination and compliance provisions of this section in 8 all subcontracts to perform work under this Inter-Departmental Agreement. 9 8. CONFIDENTIALITY AND DATA SECURITY 10 All services performed by CAO under this Inter-Departmental Agreement shall be in strict 11 conformance with all applicable Federal, State of California and/or local laws and regulations relating to 12 confidentiality. 13 9. INTERPRETATION OF LAWS AND REGULATIONS 14 Human Services reserves the right to make final interpretations or clarifications on issues 15 relating to Federal and State laws and regulations, to ensure compliance. 16 10. RECORDS 17 CAO shall establish and maintain records in accordance with those requirements 18 prescribed by Human Services,with respect to all matters covered by this Inter-Departmental 19 Agreement. CAO shall retain all fiscal books, account records and client files for services performed 20 under this Inter-Departmental Agreement for at least five (5)years from date of final payment under this 21 Inter-Departmental Agreement or until all State and Federal audits are completed for that fiscal year, 22 whichever is later. 23 11. AUDITS AND INSPECTIONS 24 The CAO shall at any time during business hours, and as often as Human Services may deem 25 necessary, make available to Human Services for examination all of its records and data with respect to 26 the matters covered by this Inter-Departmental Agreement.The CAO shall, upon request by Human 27 Services, permit Human Services to audit and inspect all of such records and data necessary to ensure 28 CAO'S compliance with the terms of this Inter-Departmental Agreement. -4- 10.24.2022 version 1 12. GOVERNING LAW, JURISDICTION,AND VENUE 2 The laws of the State of California govern all matters arising from or related to this Inter- 3 Departmental Agreement. This Inter-Departmental Agreement is signed and performed in Fresno 4 County, California. CAO consents to California jurisdiction for actions arising from or related to this Inter- 5 Departmental Agreement, and, subject to the Government Claims Act, all such actions must be brought 6 and maintained in Fresno County. 7 13. RELATIONSHIP OF PARTIES 8 It is understood that this is an Inter-Departmental Agreement by and between four(4)separate 9 departments of the County of Fresno and is not intended to and shall not be construed to create a 10 relationship of agent, servant, employee, partnership,joint venture or association. 11 14.
