RECITALS Company and the Client are parties to a certain Letter Agreement regarding Consulting Services dated December 20, 2023 (the "Agreement"). The parties wish to amend the Agreement as further stated herein. AGREEMENT NOW, THEREFORE, in consideration of the foregoing premises, the following mutual terms and conditions, and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, Company and the Client agree as follows: 1. Capitalized Terms. Capitalized terms not otherwise defined herein shall have the meanings set forth in the Agreement. 2. Amendment. The Agreement shall be amended as follows: A. Project Timeline. The Project Timeline section shall be amended as follows: PROJECT Project Milestone Deadline Kickoff January 2024 Review documents,websites, or other resources. April 30, 2024 Complete literature review. April 30, 2024 Conduct survey of addiction and overdose providers in Fresno County. Launch early May 15, 2024 April, with survey in the field for 2 to 3 weeks. Begin survey data analysis by April 29th Convene stakeholders across Fresno County- Klls and Focus Groups May 30, 2024 --Meet with MHSA team to determine a collaborative approach and communicatiorl�, --Schedule interviews and focus groups in April --Conduct interview and focus groups in May Prepare needs assessment report- Preliminary Findings Writing June 30, 2024 Facilitate a convening of cross-sector of addiction and overdose partners to review June 30, 2024 findings and identify areas and populations with the greatest needs. Kick Off Meeting -VIRTUAL ---Provide an overview of the collective impact framework to Fresno County partners. ---Facilitate a discussion to formalize expectations and norms for the group for ongoing work together. Support development of the action plan by facilitating the identification of mutually August 30, reinforcing activities that advance the common agenda and facilitating the 2024 development of a logic model/theory of change and identification of shared measures for the activities in the plan. The Schedule & Term of Agreement section shall be amended as follows: This Agreement will begin on the Effective Date and shall continue in effect until September 30, 2024, unless terminated earlier(i)pursuant to the provisions of the Agreement or(ii) upon notice from Company that the project for which the Company has been engaged has been completed. 3. Ratification. Except as expressly modified and amended hereby, the Agreement and all the terms and provisions thereof are and shall remain in full force and effect and the same are hereby ratified and confirmed. Counterparts. This Amendment may be executed in counterparts.
