HomeMy WebLinkAboutP-23-253 Amend 2 Meridian Healthcare Management LLC 002.pdf P-23-253 Amend 2 Meridian Healthcare Management, LLC June 17, 2024 1 AMENDMENT NO. 2 TO SERVICE AGREEMENT 2 This Amendment No. 2 to Service Agreement ("Amendment No. 2") is dated June 17, 2024 3 and is between Meridian Healthcare Management, LLC, a California limited liability company 4 ("Contractor"), and the County of Fresno, a political subdivision of the State of California 5 ("County"). 6 Recitals 7 A. On July 12, 2023, the County and the Contractor entered into a service agreement, 8 which is County agreement number P-23-253 ("Agreement"), so that Contractor could provide a 9 comprehensive evaluation of a healthcare proposal for County's correctional and juvenile 10 detention facilities, as well as recommendations for reporting and monitoring procedures and 11 practices for the ongoing evaluation of the correctional medicine health care agreement. 12 B. On September 20, 2023, County and Contractor entered into Amendment 1 to the 13 Agreement to include a Health Insurance Portability and Accountability Act (HIPAA) Business 14 Associate, as defined by 45 CFR 160.103, agreement to comply with the Business Associate 15 requirements of HIPAA, and to protect the privacy and provide for the security of PHI disclosed 16 by County to Contractor during the term of this Agreement. 17 C. The parties would now desire to further amend the Agreement to extend the Agreement 18 term by six months, to increase the compensation accordingly, and to add an additional scope 19 of work for the Agreement so that Contractor may assist the County to negotiate and draft new 20 agreements for services with County's medicine services vendor. 21 The parties therefore agree as follows: 22 1. The term of the Agreement shall be extended to December 31, 2024. 23 2. The maximum compensation payable to the Contractor under the Agreement shall be 24 increased to one hundred ninety-nine thousand, nine hundred ninety-nine dollars ($199,999). 25 3. County and Contractor agree that this Amendment No. 2 is sufficient to amend the 2 Agreement and, that upon execution of this Amendment No. 2, the Agreement and this 3 Amendment No. 2 together shall be considered the Agreement. 4 The Agreement, as hereby amended, is ratified and continued. Meridian Healthcare Partners ("Meridian") has a proven track record of more than three decades with correctional and juvenile medicine in federal, state and county systems within California. This engagement aims to ensure that terms of the agreement for correctional medicine services result in the provision of high-quality medical services at the county's adult and juvenile correctional facilities at a reasonable cost. Scope of Work Expanded proposal and contracting services This project will commence immediately upon execution of the agreement. Meridian will work with the Fresno County Administrative Office, Fresno County Counsel Office and the Correctional and Juvenile Medicine Services Vendor to negotiate and draft the agreement for services. The anticipated timeline for this work is 90 days from project commencement and will include the following activities for Adult and Juvenile Correctional Medicine Services: • Negotiate contract terms that optimize service, quality, compliance, and cost- efficiency • Identify and address any potential risks, ambiguities, or unfavorable terms in the contract • Ensure that the agreement aligns with industry standards, regulatory requirements, and the specific needs of Fresno County • Review Fresno County Sheriff Department proposed staffing matrix F-1 EXHIBIT F P-23-253 Amend 2 Meridian Healthcare Management, LLC Fresno County Correctional Medicine June 17, 2024 Page 2 of 3 • Maintain regular and consistent communication with the Correctional and Juvenile Medicine Services Vendor • Act as liaison between parties and ensure that concerns are communicated timely and provide regular and as requested updates on status and any issues identified • Review vendor's future and subsequent proposals and ensure that the proposal reflects high-quality, cost-effective care • Examine vendor proposal for potential opportunities for economies of scale, where appropriate, and validating position and license levels, assignment of work duties, workflow and adequacy of services upon transitioning out of incarceration • Work with vendor and Fresno County Administrative Office to develop timelines for board readiness and act as project manager to make all efforts ensure timelines are kept Progress will be communicated on a weekly basis to the Fresno County Administrative Office. Fees Fees for these projects are summarized below. Delays due to lack of response, information technology (including electronic medical records) or other unforeseen circumstances will be reported to the County Administrative Office promptly and delays that are not resolved will also result in additional fees charged at the hourly rate of$350. The proposed fees anticipate project completion within 90-days and upon the expiration of 90 days, County Administrative Office and Meridian will meet to discuss further services. Fees will be invoiced as indicated below and payment is expected within 45 days. Expanded proposal and contract services - $48,000 billed as follows • 50% after 15 days of project execution (50% of total) • 30% after 45 days of project execution (80% of total) • 20% after Adult Correctional Medicine Agreement Execution (100% of total) or after 90 days of project execution, whichever comes first Other This comprehensive proposal outlines a strategic approach to the expanded services that have been requested. This does not represent a guarantee that Correctional Medicine Vendor will agree to reduce rates and although best efforts will be made, Meridian cannot guarantee that Correctional Medicine Vendor will meet all associated timelines.
