HomeMy WebLinkAboutAgreement A-24-258 - Amendment I with NLBHA.pdf Agreement No. 24-258 1 AMENDMENT NO. 1 TO SERVICE AGREEMENT 2 This Amendment No. 1 to Service Agreement ("Amendment No. 1") is dated 3 June 4, 2024 and is between The National Latino Behavioral Health Association, a 4 non-profit organization ("Contractor"), and the County of Fresno, a political subdivision of the 5 State of California ("County"). 6 Recitals 7 A. On June 21, 2022, the County and the Contractor entered into County agreement 8 number A 22-261 ("Agreement'), for customized virtual behavioral health interpreter training 9 courses for contracted interpreters, certified bilingual Department of Behavioral Health (DBH) 10 staff, and service providers interfacing with persons served by the mental health and/or 11 substance use disorder delivery systems. 12 B. In accordance with Title 9, California Code of Regulations, Section 1810.41, Department 13 of Behavioral Health Policy 1.5.1: Cultural and Linguistically Appropriate Services Policy 14 requires that certified bilingual county staff and contract providers complete behavioral health 15 interpreter training within six (6) months from certification or contract execution. 16 C. The Agreement specified a maximum of one (1) Behavioral Health Interpreter Training 17 for Interpreters session in Fiscal Year 2024-2025, not accounting for newly certified staff and 18 contracted providers from meeting the six-month training requirement. The increase in newly 19 certified providers has also increased demand for Behavioral Health Interpreter Training for 20 Providers. 21 D. The County and the Contractor now desire to amend the Agreement to increase the 22 maximum number of Behavioral Health Interpreter Training for Interpreters sessions to two (2) 23 in Fiscal Year 2024-2025 and increase the maximum number of Behavioral Health Interpreter 24 Training for Providers sessions to four (4) in Fiscal Year 2024-2025. 25 The parties therefore agree as follows: 26 1. All references to "Exhibit A" shall be deemed references to "Revised Exhibit A." Revised 27 Exhibit A is attached and incorporated for reference. 28 1 1 2. All References to "Exhibit B" shall be deemed references to "Revised Exhibit B." Revised 2 Exhibit B is attached and incorporated by reference. 3 3. A portion of Section Five (5) of the Agreement located at Page Three (3), Lines Nine (9) 4 through Twelve (12) is deleted and replaced with the following: 5 "In no event shall compensation paid for services performed under this Agreement be in 6 excess of two hundred sixty seven thousand four hundred and 00/100 ($267,400) during the 7 term of this Agreement. It is understood that all expenses incidental to CONTRACTOR'S 8 performance of services under this Agreement shall be borne by CONTRACTOR." 9 4. A portion of Section Twelve (12) of the Agreement located at Page Six (6), Lines 10 Twenty-Four (24) through Page Seven (7), Line 6 is deleted and replaced with the following: 11 "12. NOTICES: The persons and their addresses having the authority to give and 12 received notices under this Agreement include the following: 13 COUNTY CONTRACTOR Director, Fresno County Ana Chavez-Mancillas, Program 14 Department of Behavioral Health Director 15 1925 E. When both parties have signed this Amendment No. 1, the Agreement, the Agreement, 19 and this Amendment No. 1 together constitute the Agreement. 20 6. The Contractor represents and warrants to the County that: 21 a. The Contractor is duly authorized and empowered to sign and perform its obligations 22 under this Amendment. 23 b. The individual signing this Amendment on behalf of the Contractor is duly authorized 24 to do so and his or her signature on this Amendment legally binds the Contractor to 25 the terms of this Amendment. 26 7. The parties agree that this Amendment may be executed by electronic signature as 27 provided in this section. 28 2 1 a. An "electronic signature" means any symbol or process intended by an individual 2 signing this Amendment to represent their signature, including but not limited to (1) a 3 digital signature; (2) a faxed version of an original handwritten signature; or (3) an 4 electronically scanned and transmitted (for example by PDF document) version of an 5 original handwritten signature. 6 b. Each electronic signature affixed or attached to this Amendment (1) is deemed 7 equivalent to a valid original handwritten signature of the person signing this 8 Amendment for all purposes, including but not limited to evidentiary proof in any 9 administrative or judicial proceeding, and (2) has the same force and effect as the 10 valid original handwritten signature of that person. 11 c. The provisions of this section satisfy the requirements of Civil Code section 1633.5, 12 subdivision (b), in the Uniform Electronic Transaction Act (Civil Code, Division 3, Part 13 2, Title 2.5, beginning with section 1633.1). 14 d. Each party using a digital signature represents that it has undertaken and satisfied 15 the requirements of Government Code section 16.5, subdivision (a), paragraphs (1) 16 through (5), and agrees that each other party may rely upon that representation. 17 e. This Amendment is not conditioned upon the parties conducting the transactions 18 under it by electronic means and either party may sign this Amendment with an 19 original handwritten signature. 20 8. This Amendment may be signed in counterparts, each of which is an original, and all of 21 which together constitute this Amendment. 22 9. The Agreement as amended by this Amendment No. 1 is ratified and continued. Box 1360, Pena Blanca, NM., 87041 TELEPHONE: (323) 243-1593 CONTACT: Ana Chavez-Mancillas EMAIL: achavezm(a-_)nlbha.org CONTRACT: Behavioral Health Interpreter Training (BHIT) CONTRACT TERM: July 1, 2022 to June 30, 2027 DESCRIPTION OF SERVICES The National Latino Behavioral Health Association (NLBHA) will provide virtual Behavioral Health Interpreter Training for Interpreters/BHIT for Providers to staff in DBH's system of care. Ten BHIT for Interpreters trainings (14 hours of instruction each) will take place over the course of this agreement with a capacity of 35 attendees per session. Sixteen BHIT for Providers trainings (7 hours of instruction each) will be conducted over the course of this agreement with a capacity of 35 attendees per session. The training goals can be found below: • Increase Workforce Education and Training staff and community partners competency to address mental health issues impacting the quality of care for individuals with limited English proficiency. • Improve the overall quality of care for individuals with Limited English Proficiency within the Fresno County mental health systems. • BHIT for Interpreters —Train and support culturally competent interpreters to work effectively in mental health settings as part of a professional team. • BHIT for Providers—Train Fresno County mental health system providers on understanding the important role of interpreters and how to use interpreters properly and effectively.
