AMENDMENT II TO
SUPPORTIVE SERVICES AGREEMENT

RECITALS
A. Commission and Contractor are parties to that certain Supportive
Services Agreement (the "Agreement"),dated October 1, 2018,the Term of which is from
October 1,2018 to June 30,2020 (the "Original Term"). Commission and Contractor are also
parties to Amendment I, dated July 10,2020, extending the Term of the Agreement to June
30,2022.
B. The Parties now desire to amend the Agreement to provide for an
extension of the Term and to modify the Services and Project Budget all as defined in the
Agreement.
C. All capitalized terms used in this Amendment II to Supportive
Services Agreement (this "Amendment II") shall have the meanings provided for in the
Agreement unless otherwise specified in this Amendment II.
Therefore, in consideration of the above recitals,which are incorporated into
this Amendment II by reference,the Parties agree as follows:
1. Term. This Amendment II is made effective as of July 1,2022 (the
"Effective Date"). The Term of the Agreement is extended until June 30, 2024,
unless terminated earlier under the Agreement (the"Term") or as specified in
this Amendment to the contrary.
2. Amendment to Section 1. Effective as of July 1,2022, Exhibit A will be
replaced with the Exhibit A,"Services Fee (Fiscal Year 2022-23 and 2023-24)"
attached to this Amendment II and incorporated herein by this reference. As
of July 1,2022, except as needed to interpret and enforce Contractor's
responsibilities and obligations under the original Term of the Agreement,

the original Exhibit A attached to the Agreement and prior Amendment will
have no further force and effect.
3. Amendment to Section R. Section 3 of the Agreement is deleted in its
entirety and replaced with the following:
3. Compensation. Compensation by the Commission to
Contractor for completion of the Services shall be at the rates
also set forth in Exhibit A,"Services Fee" (Fiscal Year 2022-23
and 2023-24). Notwithstanding any provision of this
Amendment to the contrary,the Services Fee shall not,under
any circumstances, exceed one million three hundred thousand
dollars ($1,300,000) (the "Maximum Services Fee"), nor shall the
Commission,under any circumstances,be obligated to pay
Contractor any amount in excess of the Maximum Services Fee,
except as may be mutually agreed in writing.
4. Controlling Document: No Other Amendment. In the event of any
conflict between the terms of this Amendment II and the Agreement,the
terms of this Amendment II shall control. Except as amended by this
Amendment II, all terms of the Agreement shall remain in full force and
effect, including,without limitation, all monitoring, evaluation, data collection,
contract review, auditing, inspection, and record retention obligations set
forth in the Agreement.
5. Binding Effect. The Agreement, as amended by this Amendment II, is
binding upon, and inures to the benefit of,the respective heirs, executors,
administrators, successors, and assigns of the Parties.
6. Headings and Construction. The subject headings of the sections and
paragraphs of this Amendment are included for purposes of convenience only
and do not affect the construction or interpretation of any of its provisions.
All words used in this Amendment include the plural as well as the singular
number, and vice versa;words used in this Amendment in the present tense
include the future as well as the present; and words used in this Amendment
in the masculine gender include the feminine and neuter genders,whenever
the context so requires. No provision of this Amendment will be interpreted
for or against a Party because that Party or its legal representative drafted the
provision, and this Amendment will be construed as if jointly prepared by the
Parties.
7. Counterparts. This Amendment may be signed by the Parties in
different counterparts and the signature pages combined to create one
document binding on all Parties.

8. Signature AuthoritX. Each Party represents that it has capacity,full
power, and authority to enter into this Amendment and perform under
modified terms of the Agreement, and the person signing this Agreement on
behalf of each Party has been properly authorized and empowered to enter
into this Amendment.
g. Electronic Signatures. Each Party acknowledges and agrees that this
Amendment may also be executed by electronic signature,which shall be
considered as an original signature for all purposes and shall have the same
force and effect as an original signature.Without limitation,"electronic
signature" shall include faxed versions of an original signature, electronically
scanned and transmitted versions of an original signature, or an "e-signed"
document (e.g. DocuSign).

Project Description:
Neighborhood Resource Centers (NRCs) provide a wide array of neighborhood specific services that
support family functioning and contribute to building strong, healthy communities. Specifically, the
services they provide increase family protective factors and contribute to child abuse prevention and
early intervention.They are key to the implementation and delivery of an accessible and effective early
childhood service system.
The Department of Social Services (DSS) is devoted to maintaining and supporting the NRCs in
Fresno County. The NRCs have been strategically placed in communities with disproportionately
higher rates of child maltreatment. As of July 1, 2022, DSS will be financially supporting a network of
13 NRCs,located both in metro and rural Fresno County.First 5 funds will offset costs associated with
maintaining the NRC infrastructure. DSS will collect aggregate data that specifically meets First 5
requirements, and will include: ethnicity, language, age and zip code for children served 0-5. Data will
be collected through monthly activity reports completed by the NRCs and reported to First 5.
