A Special Meeting of t)le board of directors of Bob Barker Compaoy, Inc was· held on February 5, 2019 at Hotel Ballast 301
North Water Street, Wilmlngton North Carolioa. The Following directors were present and participated in the meetiog:
Robert J Barker, Sr. Patricia M. Barker Dave Colburn
Robert J Barker, Jr. Naocy B. Johns The following director was absent:
Gabe Cipau George Snead Jolin Kasberger
Robert J Barker, Sr., Chainnao of the Board, chaired the meetiog aod Patricia M. Barker, Executive Vice President of the
Corporation, acted as Secretary of the meetiog. The chairmao anoonoced that a quorum of directors was present aod that the
meeting, haviog been duly convened, was ready to proceed with its busioess. The Secretary presented a waiver of notice of
the meeting, signed by all of the directors aod was directed to file tbe waiver of notice with the minutes oftbe meetiog.
After full discussion of the affairs of the compaoy, the followiog resolution was iotroduced for consideration aod adoption by
the directors:
RESOLVED, tbat tbe Board of Directors hereby grants signatory authority to enter bids obligating the company io
agreements to furnish products aod services at agreed prices aod conditions.
