PROCUREMENT AGREEMENT

The County of Fresno (County) hereby contracts with Axon Enterprise, Inc., a Delaware corporation
(Contractor or Axon), to provide Tasers and Body Worn Camera Products in accordance with the text of this
agreement (Agreement), and the pricing negotiated in NPPGov contract#PS20270, League of Oregon Cities
Master Price Agreement with Axon Enterprise, Inc. for Law Enforcement Equipment(NPPGov contract
#PS20270), which pricing is attached as Attachment A, and incorporated by this reference. The parties agree
that only the pricing negotiated in NPPGov contract#PS20270 shall apply to this Agreement, and that the
terms and conditions contained in that NPPGov contract#PS20270 shall not apply to this Agreement, with
the exception of the terms and conditions that have been directly incorporated into the text of this
Agreement.
TERM: This Agreement shall become effective March 25, 2024 and shall remain in effect through March 24,
2029.
MINIMUM ORDERS: Unless stated otherwise there shall be no minimum order quantity. The County
reserves the right to increase or decrease orders or quantities.
CONTRACTOR'S SERVICES: Contractor shall perform the services at the rates set forth in Attachment
"A", which rates shall be periodically updated between Contractor and League of Oregon Cities. For
purposes of clarity, in the event the pricing found in Attachment A is amended under NPPGov contract
#PS20270, this Agreement shall be amended to include the same changes. Except as otherwise
permitted hereunder, Contractor may not make any substitutions of Axon Devices (as defined in the
attached MSPA), or any portion thereof, of any kind without the prior written consent of County.
INSPECTION AND REJECTION: County reserves the right to inspect and test Axon Devices at any time
prior to shipment, and within ten calendar(10) days after delivery. Axon Devices not inspected within ten
(10)days after delivery shall be deemed accepted by the County.
ORDERS: Orders will be placed on an as-needed basis by County of Fresno, Internal Services Department-
Security Division under this Agreement.
PRICING: County shall pay Contractor for all Axon Devices ordered and delivered in compliance with the
terms and conditions of this Agreement at the pricing specified in Attachment A, plus shipping. Unless
stated otherwise, the pricing in Attachment A shall remain fixed for the initial term of this Agreement.
Unless stated otherwise, County is responsible for any and all applicable sales tax. Attachment A shall

specify any and all other taxes and duties of any kind which County is required to pay with respect to the
sale of Axon Devices covered by this Agreement, and all charges for packing, packaging, and loading.
Except as specified in Attachment A, County shall not be responsible for any additional costs or expenses
of any nature incurred by Contractor in connection with the Axon Devices, including, without limitation,
travel expenses, clerical or administrative personnel costs, and long distance telephone charges
("Incidental Expenses"). Price reductions or discount increases may be offered at any time during the
Agreement term, and shall become effective upon written notice of acceptance by County.
MAXIMUM: In no event shall compensation paid for services performed and/or fees paid under this
Agreement exceed Two Hundred Sixteen Thousand Seven Hundred Fifty Nine Dollars and Eighty One Cents
($216,759.81).
ADDITIONAL ITEMS: The County reserves the right to negotiate additional items to this Agreement as
deemed necessary. Such additions shall be made in writing, mutually agreed to by the parties and
signed by both parties.
DELIVERY: The F.O.B. Point shall be the destination within the County of Fresno. All orders shall be
delivered complete as specified. All orders placed before Agreement expiration shall be honored under
the terms and conditions of this Agreement. Contractor shall have the risk of loss of or damage to any
Axon Devices until delivery to County, County shall have the risk of loss of or damage to the Axon
Devices after delivery to County. Title to Axon Devices shall not transfer until the Axon Devices have
been delivered to and accepted by County at County's Destination.
DEFAULT: In case of an uncured material breach by Contractor, the County may procure the
articles/services from another source and may recover the loss occasioned thereby from any unpaid
balance due the Contractor or by any other legal means available to the County. The MSRP shall be
considered the prevailing market price at the time such purchase is made.
INVOICING: An itemized invoice in duplicate shall be mailed to requesting County department in
accordance with invoicing instructions included in each order referencing this Agreement. The
Agreement number must appear on all shipping documents and invoices.
INVOICE TERMS: Net forty-five (45) days from the receipt of invoice.
TERMINATION: The County reserves the right to terminate this Agreement upon thirty(30) days written
notice to the Contractor. In the event of such termination, the Contractor shall be paid for satisfactory
services or accepted Axon Devices provided prior to the date of termination, including such charges
described as follows. If County purchases Axon Devices for less than the manufacturer's suggested retail
price (MSRP), and this Agreement terminates before the end of the Term, Axon will invoice County the
difference between the MSRP for Axon Devices received and amounts paid towards those Axon Devices
(MSRP Deficit Payment). If County terminates for non-appropriation, County may return Axon Devices to
Axon within 30 days of termination, in which case the County shall not pay the MSRP Deficit Payment.
MSRP is the standalone price of the individual device at the time of sale. For bundled devices, MSRP is
the standalone price of all individual components.
LAWS AND REGULATIONS: The Contractor shall comply with all laws, rules, and regulations, whether
Federal, State, County, or municipal, which may be applicable to Contractor's business, equipment and
personnel engaged in service covered by this Agreement.
AUDITS AND RETENTION: Terms and conditions set forth in the agreement associated with the
purchased goods are incorporated herein by reference. In addition, the Contractor shall maintain in good
and legible condition all books, documents, papers, data files and other records related to its performance
under this contract. Such records shall be complete and available to the County, the State of California,
the federal government, or their duly authorized representatives for the purpose of audit, examination, or
copying during the term of the contract and for a period of at least three years following the County's final
payment under the contract or until conclusion of any pending matter, which County has made Contractor

aware of via a written notice (e.g., litigation or audit), whichever is later. Such records must be retained in
the manner described above until all pending matters are closed.
If this Agreement exceeds ten thousand dollars ($10,000.00), CONTRACTOR shall be subject to the
examination and audit of the California State Auditor for a period of three (3)years after final payment
under contract (Government Code Section 8546.7).
LIABILITY: Contractor agrees to:
Pay all claims for damage to property in any manner directly arising from Contractor's operations under
this Agreement.
Indemnification. Axon will indemnify, save, and hold harmless Agency, Agency's officers, directors, and
employees ("Agency Indemnitees") against all claims, demands, losses, and reasonable expenses
(including attorney's fees and costs) arising out any negligent act, error or omission, or willful misconduct
by Axon, Axon's officers, agents, and employees under this Agreement, except to the extent of Agency's
negligence or willful misconduct.
Axon will implement commercially reasonable and appropriate measures to secure County Content
against accidental or unlawful loss, access, or disclosure. Axon will maintain a comprehensive information
security program to protect Axon Cloud Services and County Content including logical, physical access,
vulnerability, risk, and configuration management; incident monitoring and response; encryption of
uploaded digital evidence; security education; and data protection. Axon agrees to the Federal Bureau of
Investigation Criminal Justice Information Services Security Addendum.
WARRANTIES:
1. Hardware Limited Warranty. Axon warrants that Axon-manufactured Devices are free from
defects in workmanship and materials for 1 year from the date of County's receipt, except Signal
Sidearm, which Axon warrants for 30 months from the date of County's receipt. Axon warrants its
Axon-manufactured accessories for 90-days from the date of County's receipt. Used conducted
energy weapon ("CEW") cartridges are deemed to have operated properly. Extended warranties
run from the expiration of the 1-year hardware warranty through the extended warranty term.
Non-Axon manufactured Devices are not covered by Axon's warranty. County should contact the
manufacturer for support of non-Axon manufactured Devices.
2. Claims. If Axon receives a valid warranty claim for an Axon manufactured Device during the
warranty term, Axon's sole responsibility is to repair or replace the Device with the same or like
Device, at Axon's option. A replacement Device will be new. Axon will warrant the replacement
Device for the longer of(a)the remaining warranty of the original Device or(b) 90-days from the
date of repair or replacement. If County exchanges a Device or part, the replacement item
becomes County's property, and the replaced item becomes Axon's property. Before delivering a
Device for service, County must upload Device data to Axon Evidence or download it, and retain
a copy. Axon is not responsible for any loss of software, data, or other information contained in
storage media or any part of the Device sent to Axon for service.
3. Spare Devices. Axon may provide County a predetermined number of spare Devices as detailed
in the Quote ("Spare Devices"). Spare Devices will replace broken or non-functioning units. If
County utilizes a Spare Device, County must return to Axon, through Axon's warranty return
process, any broken or non-functioning units. Axon will repair or replace the broken or non-
functioning unit with a replacement Device. Upon termination, Axon will invoice County the MSRP
then in effect for all Spare Devices provided. If County returns the Spare Devices to Axon within
30 days of the invoice date, Axon will issue a credit for the full value of the Spare Devices, and
apply it against the invoice.
4. Limitations. Axon's warranty excludes damage related to: (a)failure to follow Device use
instructions; (b) Devices used with equipment not manufactured or recommended by Axon; (c)
abuse, misuse, or intentional damage to Device; (d)force majeure; (e) Devices repaired or
modified by persons other than Axon without Axon's written permission; or(f) Devices with a
defaced or removed serial number.

5. To the extent permitted by law, the above warranties and remedies are exclusive. Axon disclaims
all other warranties, remedies, and conditions, whether oral, written, statutory, or implied. If
statutory or implied warranties cannot be lawfully disclaimed, then such warranties are limited
to the duration of the warranty described above and by the provisions in this Agreement.
6. Neither Party will be liable for special, indirect, incidental, punitive, or consequential damages,
however caused, whether for breach of warranty or contract, negligence, strict liability, tort, or any
other legal theory.
TASER 7 Terms and Specifications
1. Duty Cartridge Replenishment Plan. If the Quote includes "Duty Cartridge Replenishment Plan",
County must purchase the plan for each CEW user. A CEW user includes officers that use a CEW
in the line of duty and those that only use a CEW for training. County may not resell cartridges
received. Axon will only replace cartridges used in the line of duty.
2. Training. If the Quote includes a training voucher, County must use the voucher within 1 year of
issuance, or the voucher will be void. Axon will issue County a voucher annually beginning on the
start of the TASER Subscription Term. The voucher has no cash value. County cannot exchange it
for another device or service. Unless stated in the Quote, the voucher does not include travel
expenses and will be County's responsibility. If the Quote includes Axon Online Training or Virtual
Reality Content Empathy Development for Autism/Schizophrenia (collectively, "Training
Content"), County may access Training Content. Axon will deliver all Training Content electronically.
3. Extended Warranty. If the Quote includes an extended warranty, the extended warranty coverage
period warranty will be for a 5-year term, which includes the hardware manufacturer's warranty plus
the 4-year extended term.
4. Trade-in. If the Quote contains a discount on CEW-related line items, including items related to
OSP, then that discount may only be applied as a trade-in credit, and County must return used
hardware and accessories associated with the discount ("Trade-In Units")to Axon. County must
ship batteries via ground shipping. Axon will pay shipping costs of the return. If Axon does not
receive Trade-In Units within the timeframe below, Axon will invoice County the value of the trade-
in credit. County may not destroy Trade-In Units and receive a trade-in credit.

5. TASER 7 Subscription Term. The TASER 7 Subscription Term for a standalone TASER 7
purchase begins on shipment of the TASER 7 hardware. The TASER 7 Subscription Term for
OSP 7 begins on the OSP 7 Start date.
6. Access Rights. Upon Axon granting County a TASER 7 Axon Evidence subscription, County may
access and use Axon Evidence for the storage and management of data from TASER 7 CEW
devices during the TASER 7 Subscription Term. County may not upload any non-TASER 7 data
or any other files to Axon Evidence. County may not exceed the number of end users than the
Quote specifies.
7. Privacy. Axon will not disclose County Content or any information about County except as
compelled by a court or administrative body or required by any law or regulation. Axon will give
notice if any disclosure request is received for County Content, so County may file an objection
with the court or administrative body. County acknowledges and agrees that Axon may access
County Content to: (a) perform troubleshooting services upon request or as part of Axon's
maintenance or diagnostic screenings; (b) enforce this Agreement or policies governing use of
Axon Evidence; (c) generate aggregated data, excluding information that can be used to
distinguish or trace an individual's identity, either alone or when combined with other personal or
identifying information that is linked or linkable to a specific individual (collectively, "PII"), to
improve, analyze, support, and operate Axon's current and future devices and services.

8. Termination. If payment for TASER 7 is more than 30 days past due, Axon may terminate
Agency's TASER 7 plan by notifying Agency. Upon termination for any reason, then as of the
date of termination:
a. TASER 7 extended warranties and access to Training Content will terminate. No refunds
will be given.
b. Axon will invoice Agency the remaining MSRP for TASER 7 products received before
termination. If terminating for non-appropriations, Axon will not invoice Agency if Agency
returns the CEW, rechargeable battery, holster, dock, core, training suits, and unused
cartridges to Axon within 30 days of the date of termination.
c. Agency will be responsible for payment of any missed payments due to the termination
before being allowed to purchase any future TASER 7 plan.
INSURANCE: Without limiting the COUNTY's right to obtain indemnification from CONTRACTOR or any
third parties, CONTRACTOR, at its sole expense, shall maintain in full force and effect, the following
insurance policies or a program of self-insurance, including but not limited to, an insurance pooling
arrangement or Joint Powers Agreement (JPA)throughout the term of the Agreement:
A. Commercial General Liability: Commercial General Liability Insurance with limits of not less than Two
Million Dollars ($2,000,000.00) per occurrence and an annual aggregate of Four Million Dollars
($4,000,000.00).
B. Automobile Liability: Comprehensive Automobile Liability Insurance with limits of not less than One
Million Dollars ($1,000,000.00) per accident for bodily injury and for property damages. Coverage
should include any auto used in connection with this Agreement.
C. Professional Liability: If Contractor employs licensed professional staff, (e.g., Ph.D., R.N., L.C.S.W.,
M.F.C.C.) in providing services, Professional Liability Insurance with limits of not less than One Million
Dollars ($1,000,000.00) per occurrence, Three Million Dollars ($3,000,000.00) annual aggregate.
D. Worker's Compensation: A policy of Worker's Compensation insurance as may be required by the
California Labor Code.
Additional Requirements Relating to Insurance:
Contractor shall obtain endorsements to the Commercial General Liability insurance naming the County
of Fresno, its officers, agents, and employees, individually and collectively, as additional insured, but only
insofar as the operations under this Agreement are concerned. Such coverage for additional insured
shall apply as primary insurance and any other insurance, or self-insurance, maintained by County, its
officers, agents and employees shall be excess only and not contributing with insurance provided under
Contractor's policies herein. This insurance shall not be cancelled without a minimum of thirty (30)days
advance written notice given to County.
Contractor hereby waives its right to recover from County, its officers, agents, and employees any
amounts paid by the policy of worker's compensation insurance required by this Agreement. Contractor
is solely responsible to obtain any endorsement to such policy that may be necessary to accomplish such
waiver of subrogation, but Contractor's waiver of subrogation under this paragraph is effective whether or
not Contractor obtains such an endorsement.
Within Thirty(30) days from the date Contractor signs and executes this Agreement, Contractor shall
provide certificates of insurance and endorsement as stated above for all of the foregoing policies, as
required herein, to the County of Fresno, ISD-Security Division, 2220 Tulare Street, Plaza Level,
Fresno, CA 93721, stating that such insurance coverage have been obtained and are in full force; that
the County of Fresno, its officers, agents and employees will not be responsible for any premiums on the
policies; that for such worker's compensation insurance the CONTRACTOR has waived its right to
recover from the COUNTY, its officers, agents, and employees any amounts paid under the insurance
policy and that waiver does not invalidate the insurance policy; that such Commercial General Liability

insurance names the County of Fresno, its officers, agents and employees, individually and collectively,
as additional insured, but only insofar as the operations under this Agreement are concerned; that such
coverage for additional insured shall apply as primary insurance and any other insurance, or self-
insurance, maintained by County, its officers, agents and employees, shall be excess only and not
contributing with insurance provided under Contractor's policies herein; and that this insurance shall not be
cancelled without a minimum of thirty (30) days advance, written notice given to County.
In the event Contractor fails to keep in effect at all times insurance coverage as herein provided, the
County may, in addition to other remedies it may have, suspend, or terminate this Agreement upon the
occurrence of such event.
All policies shall be with admitted insurers licensed to do business in the State of California. Insurance
purchased shall be purchased from companies possessing a current A.M. Best, Inc. rating of A FSC VII or
better.
COMING ON COUNTY PROPERTY TO DO WORK: If Contractor comes onto County Property,
Contractor agrees to provide maintain and furnish proof of Comprehensive General Liability Insurance
with limits of not less than $500,000 per occurrence.
INDEPENDENT CONTRACTOR: In performance of the work, duties and obligations assumed by
Contractor under this Agreement, it is mutually understood and agreed that Contractor, including any and
all of Contractor's officers, agents, and employees will at all times be acting and performing as an
independent contractor, and shall act in an independent capacity and not as an officer, agent, servant,
employee,joint venturer, partner, or associate of the County. Furthermore, County shall have no right to
control or supervise or direct the manner or method by which Contractor shall perform its work and
function. However, County shall retain the right to administer this Agreement so as to verify that
Contractor is performing its obligations in accordance with the terms and conditions thereof. Contractor
and County shall comply with all applicable provisions of law and the rules and regulations, if any, of
governmental authorities having jurisdiction over matters the subject thereof.
Contractor agrees to comply with all Applicable Laws and at Contractor's expense, secure and maintain
in full force during the term of this Agreement all licenses, permits, approvals, authorizations,
registrations, and certificates, if any, required by Applicable Laws in connection with the performance of
its obligations hereunder. At County's request, Contractor shall provide copies of any or all such all
licenses, permits, approvals, authorizations, registrations, and certificates.
Because of its status as an independent contractor, Contractor shall have absolutely no right to
employment rights and benefits available to County employees. Contractor shall be solely liable and
responsible for providing to, or on behalf of, its employees all legally-required employee benefits. In
addition, Contractor shall be solely responsible and save County harmless from all matters relating to
payment of Contractor's employees, including compliance with Social Security, withholding, and all other
regulations governing such matters. It is acknowledged that during the term of this Agreement,
Contractor may be providing services to others unrelated to the County or to this Agreement.
NON-ASSIGNMENT: Neither party shall assign, transfer or sub-contract this Agreement nor their rights or
duties under this Agreement without the written consent of the other party.
AMENDMENTS: This Agreement , along with Axon's Master Services and Purchasing Agreement
located at https://www.axon.com/sales-terms-and-conditions ("MSPA"), incorporated herein by reference,
constitutes the entire Agreement between the Contractor and the County with respect to the subject matter
hereof, and supersedes all previous negotiations, proposals, commitments, writings,
advertisements, publications, Request for Proposals, Bids and understandings of any nature whatsoever
unless expressly included in this Agreement. This Agreement supersedes any and all terms set forth in
Contractor's invoice. This Agreement may be amended only by written addendum signed by both parties.

INCONSISTENCIES: In the event of any inconsistency in interpreting the documents which constitute
this Agreement, the inconsistency shall be resolved by giving precedence in the following order of priority:
(1)the text of this Agreement (excluding Attachment"A"); (2)Attachment"A" (3) MSPA and (4)and other
attachments or appendices
GOVERNING LAWS: This Agreement shall be construed, interpreted and enforced under the laws of the
State of California. Venue for any action shall only be in County of Fresno.
ELECTRONIC SIGNATURES: The parties agree that this Agreement may be executed by electronic
signature as provided in this section.
A. An "electronic signature" means any symbol or process intended by an individual signing this
Agreement to represent their signature, including but not limited to (1) a digital signature; (2)a faxed
version of an original handwritten signature; or(3) an electronically scanned and transmitted (for
example by PDF document)of a handwritten signature.
B. Each electronic signature affixed or attached to this Agreement (1) is deemed equivalent to a valid
original handwritten signature of the person signing this Agreement for all purposes, including but not
limited to evidentiary proof in any administrative or judicial proceeding, and (2) has the same force
and effect as the valid original handwritten signature of that person.
C. The provisions of this section satisfy the requirements of Civil Code section 1633.5, subdivision (b), in
the Uniform Electronic Transaction Act(Civil Code, Division 3, Part 2, Title 2.5, beginning with section
1633.1).
D. Each party using a digital signature represents that it has undertaken and satisfied the requirements
of Government Code section 16.5, subdivision (a), paragraphs (1)through (5), and agrees that each
other party may rely upon that representation.
This Agreement is not conditioned upon the parties conducting the transactions under it by electronic
means and either party may sign this Agreement with an original handwritten signature.
