AMENDMENT I TO AGREEMENT
THIS AMENDMENT, hereinafter referred to as Amendment I, is made and entered into this
4th day of April , 2017, by and between the COUNTY OF FRESNO, a Political
Subdivision of the State of California, hereafter referred to as "COUNTY", and each provider listed
in Exhibit A, attached to this Agreement and by this reference incorporated herein, and collectively
hereinafter referred to as "CONTRACTOR(S)" (collectively the "parties").
WHEREAS, the parties entered into that certain Agreement identified as COUNTY Agreement
No . A-16-294, effective July 1, 2016 whereby, pursuant to various provisions of California Welfare
and Institutions Code, CONTRACTOR(S) agreed to provide geropsychiatric skilled nursing care,
locked skilled nursing care with special mental health treatment programs, mental health
rehabilitation center services, and other enhanced treatment services and facilities to house and treat
adults with severe and persistent mental health conditions; and
WHEREAS, COUNTY and CONTRACTOR(S) now desire to amend the Agreement regarding
changes as stated below and restate the Agreement in its entirety.
NOW , THEREFORE, in consideration of their mutual promises, convenants and conditions ,
hereinafter set forth, the sufficiency of which is acknowledged, the parties agree as follows:
I . That all references in Agreement No . A-16-294 to "Exhibit A" shall be changed to read
"Revised Exhibit A" where appropriate , which is attached hereto and incorporated herein by this
19 reference.
2 0 2 . That the existing COUNTY Agreement No. A-16-294, page Six (6), beginning with line
21 One (1), with the word "The" and ending on page Six (6), line Twenty-Four (24), with the amount
22 "($56,085,157.00)" be deleted and the following inserted in its place :
2 3 "4. COMPENSATION
2 4 The maximum amount of compensation to be paid to all CONTRACTORS collectively
2 5 for daily rate charges for the first 12 -month period of the initial contract term, (July 1, 2016 through
2 6 June 30, 20 17) shall not exceed the amount of Thirteen Million, Three Hundred Fifty-Two, Two
27 Hundred Twenty-Eight and NollOO Dollars ($13,352,228 .00).
