EQUIPMENT SUBLEASE AGREEMENT
THIS EQUIPMENT SUBLEASE AGREEMENT (“SUBLEASE”) is made and entered
into this day of , 2019, by and between the COUNTY OF FRESNO, a
political subdivision of the State of California, whose address is 333 West Pontiac Way, Clovis,
CA 93612 (“LESSOR”), and CALIFORNIA STATE UNIVERSITY, FRESNO, POLICE
DEPARTMENT whose address is 2311 E. Barstow Ave, Fresno, CA 93740 (“LESSEE”).
LESSOR and LESSEE shall also be referred to herein singularly as a “Party” and collectively
as “Parties.”
1.LEASED EQUIPMENT - LESSOR hereby subleases to LESSEE the Zetron
ACOM hardware and equipment for dispatch communication (“Equipment”). A description of
the Equipment is attached as Exhibit A and incorporated by this reference.
2.TERM AND TERMINATION -The term of this SUBLEASE shall commence
upon LESSOR’s delivery of the Equipment (“Effective Date”) and shall continue for a period of
sixty (60) months. LESSEE may terminate the SUBLEASE with a sixty (60) day notice and
return all equipment as per specified in the SUBLEASE.
3.RENT - LESSEE shall pay to LESSOR a rental fee of $1,025.00 per month for
the sublease of the Equipment. In addition to the monthly rental fee, LESSEE may request
technical assistance services from LESSOR’s Information Technology staff at LESSOR’s then-
current rate for the requested service(s). LESSEE shall mak e payments to the County of
Fresno, Internal Services Department, Attention: Business Office, 333 W. Pontiac Way, Clovis,
CA, 93612.
4.MAINTENANCE – LESSOR shall have no duty to maintain the Equipment, and
the Equipment shall be maintained by the original vendor of the Equipment, Zetron, Inc
(“Zetron”). A description of the maintenance that will be provided by the original vendor is
provided in the Statement of Work provided by Zetron, attached as Exhibit A and incorporated
by this reference.
5.WARRANTY – The original manufacturer warranty shall be the only warranty
for the Equipment and LESSOR shall provide no warranty for the Equipment. LESSOR does
