1 SECOND AMENDMENT TO AGREEMENT
2 THIS SECOND AMENDMENT TO AGREEMENT (hereinafter "Amendment") is made and
3 entered into this 9th day of April, 2019, by and between COUNTY OF FRESNO, a Political Subdivision
4 of the State of California, Fresno, California (hereinafter "COUNTY"), and CALIFORNIA INSTITUTE
5 OF BEHAVIORAL HEALTH SOLUTIONS (CIBHS), a private, Non-Profit, 501 (c) (3), Corporation,
6 whose address is 2125 19th Street, Sacramento, California, 95818, (hereinafter "CONTRACTOR").
7 WITNESSETH:
8 WHEREAS, COUNTY and CONTRACTOR entered into Agreement No . 16-172, dated the 26th
9 day of April, 2016 (hereinafter "Agreement"), pursuant to which CONTRACTOR agreed to provide
10 system transformation consultation services and behavioral health related training to COUNTY ; and
11 WHEREAS, COUNTY and CONTRACTOR now desire to amend the Agreement in order to
12 increase the compensation to CONTRACTOR to allow for additional trainings and consultations to
13 COUNTY .
14 NOW, THEREFORE , for good and valuable consideration, the receipt and adequacy of which
15 is hereby acknowledged, COUNTY and CONTRACTOR agree as follows:
16 1 . Section 5 of the Agreement, located on page 4, lines 13 through 19 of the original
17 agreement , as well as on page 1, line 21 through page 2, line 21 of the First Amendment to Agreement
18 16-172-1 , and located on page 2, line 24 through page 3, line 3 of the First Amendment to Agreement
19 16-172-1, is deleted in its entirety and replaced with the following:
20 "For the period of July 1, 2016 through June 30, 2017, the maximum compensation for
21 services rendered by CONTRACTOR related to behavioral health training and consultat ion shall not
22 exceed Three Hundred Five Thousand and No/100 Dollars ($305,000.00) for all services with the
23 exception of Health Care Reform Training and Consultations to Drug Medi-Cal Organized Delivery
24 System Waiver Implementation activities .
25 For the period of July 1, 2017 through June 30, 2018, the maximum compensation for
26 services rendered by CONTRACTOR related to behavioral health training and consultation shall not
27 exceed One Million Fifty Five Thousand and No/100 Dollars ($1 ,055,000 .00) for all services with the
28 exception of Health Care Reform Training and Consultations to Drug Medi-Cal Organized Delivery

1 System Waiver Implementation activities.
2 For the period of July 1, 2018 through June 30, 2019, the maximum compensation for
3 services rendered by CONTRACTOR related to behavioral health training and consultation shall not
4 exceed One Million Fifty Five Thousand and No/100 Dollars ($1,055,000.00) for all services with the
5 exception of Health Care Reform Training and Consultations to Drug Medi-Cal Organized Delivery
6 System Waiver Implementation activities.
7 For the period of July 1, 2019 through June 30, 2020, the maximum compensation for
8 services rendered by CONTRACTOR related to behavioral health training and consultation shall not
9 exceed Six Hundred Eighty Thousand and No/100 Dollars ($680,000.00) for all services with the
10 exception of Health Care Reform Training and Consultations to Drug Medi-Cal Organized Delivery
11 System Waiver Implementation activities.
12 For the period of July 1, 2020 through June 30, 2021, the maximum compensation for
13 services rendered by CONTRACTOR related to behavioral health training and consultation shall not
14 exceed Six Hundred Eighty Thousand and No/100 Dollars ($680,000.00) for all services with the
15 exception of Health Care Reform Training and Consultations to Drug Medi-Cal Organized Delivery
16 System Waiver Implementation activities.
17 In no event shall services performed under this Agreement, nor the total maximum
18 compensation of funds paid by COUNTY to CONTRACTOR, for the period of July 1, 2016 through
19 June 30, 2021, exceed Four Million Thirty Five Thousand and No/100 Dollars ($4,035,000.00)"
20 COUNTY and CONTRACTOR agree that this Amendment is sufficient to amend the
21 Agreement and, that upon execution of this Amendment. the Agreement and this Amendment together
22 shall be considered the Agreement.
23 Payment by COUNTY shall be in arrears, based on CONTRACTOR's monthly invoice and
24 proper documentation submitted for actual services provided during the preceding month, within sixty
25 (60) days after receipt, and subject to verification and approval of CONTRACTOR's invoices by
26 COUNTY staff. If CONTRACTOR should fail to comply with any provisions of this Agreement,
27 COUNTY shall be relieved of its obligation for further compensation.
28 2.That existing COUNTY Agreement No. 16-172 "Exhibit A" shall be deleted in its entirety

and replaced with "Revised Exhibit A-2", a copy of which is attached hereto and incorporated by this
2 reference .
3 3 . That all references in existing COUNTY Agreement No. 16-172 to Exhibit A and
4 Revised Exhibit A shall be changed to read "Revised Exhibit A-2 ," attached hereto and incorporated
5 herein by this reference .
6 COUNTY and CONTRACTOR AGREE THAT THIS Amendment is sufficient to amend the
7 Agreement and , that uon execution of this Amendment, the Agreement and this Amendment together
8 shall be considered the Agreement .
9 The Agreement, as hereby amended, is ratified and continued . All provisions, terms,
10 covenants, conditions and promises contained in the Agreement and not amended herein shall remain
11 in full force and effect.
12 EXECUTED AND EFFECTIVE as of the date first above set forth .

Cost associated with consultation, training, purchasing of materials. Development
and implementation to support measureable outcomes to achieve
program/individual/system success and/or modification of services to meet the
needs of clients/family members.
Health Care Reform Training & Consultation $
Cost associated with trainings/consultation related to National Health Care Reform
legislation/requirements. Training and consultations to include but not be limited to
increasing access to services, improving quality of services, building infrastructure
to be compliant with new regulations, primary health care integration, collaborations
with community partners, as well as educational trainings related to Health Care
Reform laws and regulations and impact on clients/families.
