AGREEMENT
THIS AGREEMENT is made and entered into this 25th day of September , 2018,
3 by and between the COUNTY OF FRESNO , a Political Subdivision of the State of California,
4 hereinafter referred to as "COUNTY", and COMMUNITY HEALTH IMPROVEMENT
5 PARTNERS, a California Non-Profit Organization, whose address is 5095 Murphy Canyon Rd, # 105 ,
6 San Diego, California, 92123, hereinafter referred to as "CONTRACTOR".
7 W I T N E S S E T H:
8 WHEREAS, COUNTY, through its Department of Behavioral Health (DBH), desires to increase
9 housing capacity for individuals living with a severe mental illness that utilize DBH services; in
10 particular, housing capacity as it relates to owner/operators of "Room and Board " housing within
11 Fresno County; and
12 WHEREAS, CONTRACTOR has the experience and expertise to create and operate a
13 sustainable quality improvement program, titled "Independent Living Association," that expands the
14 number of high quality housing units of Room and Board operators in Fresno County .
15 NOW, THEREFORE, in consideration of their mutual covenants and conditions, the parties
16 hereto agree as follows:
17 1. SERVICES AND RESPONSIBILITIES OF CONTRACTOR
18 CONTRACTOR shall perform all services and fulfill all responsibilities set forth in
19 Exhibit A "Scope of Work, Independent Living Association", which is attached hereto and incorporated
2 o herein by this reference.

2. TERM
The term of this Agreement shall be for a period of two (2) years and nine (9) months,
commencing on October 1, 2018 through and including June 30, 2021. This Agreement may be
extended for two (2) additional consecutive twelve (12) month periods; July 1, 2021 through June 30,
2022 and July 1, 2022 through June 30 , 2023 , upon written approval of both parties no later than sixty
(60) days prior to the first day of the next twelve (12) month extension period. The DBH Director or
her designee is authorized to execute such written approval on behalf of COUNTY based on
CONTRACTOR's satisfactory performance, including satisfactory performance of outcomes identified ·
in Exhibit A
