1 AGREEMENT FOR LEGAL SERVICES
2 This agreement is dated May 8, 2018 and is between ORANGE COVE FIRE
3 PROTECTION DISTRICT, a fire protection district established under California Health and
4 Safety Code, Division 12, Part 2.7 ("District"), and the COUNTY OF FRESNO, a political
5 subdivision of the State of California ("County").
6 The District is authorized by Health and Safety Code section 13861, subdivision (e), to
7 engage legal counsel. The Office of the Fresno County Counsel ("County Counsel") is
8 authorized by Government Code sections 26529 and 26520 to provide legal services to the
9 District for a fee, not to exceed the total cost to the County, for the legal services rendered.
1 O The District seeks general legal services from County Counsel, and County Counsel is
11 willing and able to provide general legal services to the District as provided in this agreement.
12 The parties therefore agree as follows:
13 Article 1
14 Scope of General Legal Services
15 1.1 County Counsel shall provide legal services ("Services") to the District as requested
16 by the District under Article 2 of this agreement. ·
17 (A) Legal services provided under this agreement are limited to the types of legal
18 services customarily provided by County Counsel to departments of the County and may
19 include, but are not limited to: (1) legal research; (2) legal advice and opinions; (3)
20 drafting, preparing, and reviewing legal documents, such as contracts, resolutions, and
21 ordinances.
22 (8) Legal services under this agreement do not include: (1) litigation services, such
23 as representing the District in administrative hearings, court proceedings, or alternative
24 dispute resolution proceedings such as mediation or arbitration; or (2) specialized legal
25 services, such as those related to employment, workers compensation, heath care,
26 insurance, collections, bankruptcy, municipal securities and public finance, or federal
