1 AMENDMENT III TO AGREEMENT
2 THIS AMENDMENT, hereinafter referred to as Amendment III, is made and entered into this 7th
3 day of November , 2023, by and between the COUNTY OF FRESNO, a Political Subdivision of the
4 State of California, hereinafter referred to as "COUNTY", and each CONTRACTOR to be listed in
5 Revised Exhibit A-2 "List of Contractors," collectively hereinafter referred to as "CONTRACTORS".
6 Reference in this Agreement to party or"parties" shall be understood to refer to COUNTY and each
7 individual CONTRACTOR(S), unless otherwise specified.
8 WITNESSETH:
9 WHEREAS, COUNTY, through its Department of Behavioral Health (DBH), is a Mental Health Plan
10 ("MHP"), as defined in Title 9 of the California Code of Regulations, section 1810.226; and
11 WHEREAS, COUNTY, through its DBH, is in need of providers to use telecommunications and
12 information technology to provide specialty mental health services across distance (telemedicine) as part
13 of the MHP, submitted to the California State Department of Health Care Services (DHCS) pursuant to
14 Article 5, section 14680-14685, Chapter 8.8, Division 9, Welfare and Institutions Code; and
15 WHEREAS, the parties entered into that certain Agreement, identified as COUNTY Agreement No.
16 20-015, effective January 7, 2020, Amendment I, identified as COUNTY Agreement No. 23-082, effective
17 February 28, 2023, and Amendment II, identified as COUNTY Agreement No. 23-306, effective June 20,
18 2023, collectively referred to as the "Agreement," whereby CONTRACTORS are qualified and willing to
19 source, screen, present, and coordinate certain logistics for locum tenens psychiatrists; and
20 WHEREAS, the COUNTY now desires to add CONTRACTORS Lavaca Street Ventures LLC and
21 Orbit Health, A Professional Corporation to COUNTY Agreement No. 20-015.
22 NOW, THEREFORE, for good and valuable consideration, the receipt and adequacy of which is
23 hereby acknowledged, the parties agree as follows:
24 1. That all references in the existing Agreement to "Revised Exhibit A-1" shall be deemed
25 references to "Revised Exhibit A-2", which is attached and incorporated by this reference.
26 2. The CONTRACTORS' Exhibit B sub-parts, "Rates of Reimbursement," as indicated on
27 Revised Exhibit A-2, are attached and incorporated by this reference.
28 3. CONTRACTORS hereby agree to all terms of the Agreement, as amended, and agree to

1 be bound by the terms of the Agreement, as amended. CONTRACTORS hereby acknowledge that
2 they have received a complete copy of the Agreement, as amended.
3 4. The parties agree that upon execution of this Amendment III, COUNTY Agreement No.
4 20-015 is further revised, updated and amended to add CONTRACTORS: (1) Lavaca Street Ventures,
5 LLC and (2) Orbit Health, A Professional Corporation.
6 5. The parties agree that this Amendment I I I is sufficient to amend the Agreement; and that
7 upon execution of the Agreement, Amendment 1, Amendment 11, and Amendment II I together shall be
8 considered the Agreement.
9 6. The Agreement, as hereby amended, is ratified and continued. All provisions, terms,
10 covenants, conditions, and promises contained in the Agreement and not amended herein shall remain in
11 full force and effect. This Amendment III shall be effective upon execution.
