AGREEMENT
Agreement No. 18-107
3 THIS AGREEMENT is entered into as of this 1st day of April , 2018, by and between the
4 COUNTY OF FRESNO, a political subdivision of the State of California, (hereinafter referred to
5 as "COUNTY), and DFM ASSOCIATES, INCORPORATED, a California corporation, whose
6 address is 10 Chrysler, Irvine, California 92618-2008, (hereinafter referred to as "DFM").

WITNESSETH:
WHEREAS, DFM responded to the COUNTY'S Request for Proposal (RFP) No. 208-
9 3335 dated October 4, 2000 for the first Agreement, Agreement No. 02-046; and,,

WHEREAS, DFM installed, and has been providing the licensing and maintenance for
12 the Election Information Management System (EIMS) Software in accordance with Agreement
13 No. 02-046 dated February 5, <2002, Agreement No. 08-133 dated March 25, 2008, and
14 Agreement iN~. '13:;1'36 dat'ed Ap.ril :1, :2013; and,

WHER:EAS, the EIMSSoftware has been meeting the requirements.of the COUNTY;

WHE~EA$, COUNTY and DFM desire to execute a new Agreement for the license, and
19 maintenance .of the El MS Software; and,

WHEREA~, this.Agreement is ~ntered into to document the parties' understanding and
agreementwith_-respect to th~ licensing and maintenance of the EIMS Software and the
respective right~ and obligations between the COUNTY and DFM.

AGREEMENT
NOW/THEREFORE, for and in consideration of the promises herein, and for other good
26 and valuable consideration, the parties agree that the following provisions shall apply to the

licensing, installation, training in use of, maintenance and support of the EIMS Software.
