Agreement No. 16-172-1
FIRST AMENDMENT TO AGREEMENT
THIS FIRST AMENDMENT TO AGREEMENT (hereinafter "Amendment") is made and
3 entered into this 5th day of December, 2017, by and between COUNTY OF FRESNO, a
4 Political Subdivision of the State of California, Fresno, California (hereinafter "COUNTY"), and
5 CALIFORNIA INSTITUTE OF BEHAVIORAL HEALTH SOLUTIONS (CIBHS), a private, Non-
6 Profit, 501 (c) (3), Corporation, whose address is 2125 19th Street, Sacramento, California,
7 95818, (hereinafter "CONTRACTOR").
8 WITNESSETH:
9 WHEREAS, COUNTY and CONTRACTOR entered into Agreement No. 16-172, dated
10 the 26th day of April, 2016 (hereinafter "Agreement"), pursuant to which CONTRACTOR
11 agreed to provide system transformation consultation services and behavioral health related
12 training to COUNTY; and
13 WHEREAS, COUNTY and CONTRACTOR now desire to amend the Agreement in
14 order to increase the compensation to CONTRACTOR to allow for additional training and
15 consultations to COUNTY.
16 NOW, THEREFORE, for good and valuable consideration, the receipt and adequacy of
17 which is hereby acknowledged, COUNTY and CONTRACTOR agree as follows:
18 1. That Section 5 of the Agreement, located on page 4, line 13 beginning with the
19 word "In" through line 16 ending with the word "activities", is deleted and replaced with the
20 following:
21 "For the period of July 1, 2016 through June 30, 2017, the maximum compensation for
22 services rendered by CONTRACTOR related to behavioral health training and consultation
23 shall not exceed Three Hundred Five Thousand and No/100 Dollars {$305,000.00) for all
24 services with the exception of Health Care Reform Training and Consultations related to Drug

1 Medi-Cal Organized Delivery System Waiver Implementation activities.
2 Fo r the period of July 1, 2017 through June 30, 2018 , the maximum compensation for
3 services rendered by CONTRACTOR shall not exceed One Million Fifty Five Thousand and
4 No/100 Dollars ($1,055 ,000.00) for all services with the exception of Health Care Reform
5 Training and Consultations related to Drug Medi-Ca l Organized Delivery System Waiver
6 Implementation activities.
7 For the period July 1, 2018 through June 30 , 2019 , the maximum compensation for
8 services rendered by CONTRACTOR shall not exceed Three Hundred Five Thousand and
9 No/100 Dollars ($305,000 .00) for all services with the exception of Health Care Reform

11 Implementation activities.
12 For the period July 1, 2019 through June 30, 2020, the maximum compensation for
13 services rendered by CONTRACTOR shall not exceed Three Hundred Five Thousand and
14 No/100 Dollars ($305 ,000.00) for all services with the exception of Health Care Reform
15 Training and Consultations re lated to Drug Medi-Cal Organized Delivery System Waiver
16 Implementation activities .
17 For the period July 1, 2020 through June 30, 2021 , the maximum compensation for
18 services rendered by CONTRACTOR shall not exceed Three Hundred Five Thousand and
19 No/100 Dollars ($305,000.00) for all services with the exception of Health Care Reform
20 Training and Consultations related to Drug Medi-Cal Organized Delivery System Waiver
21 Implementation activities."
22 2 . T hat the following be added to Section 5 of the Agreement, located on page 4 ,

line 26, which is currently blank:
"In no event shall services performed under this Agreement, nor the total maximum

1 compensation of funds paid by COUNTY to CONTRACTOR, for the period July 1, 2016
2 through June 30, 2021, exceed Two Million Five Hundred Thirty Five Thousand and Nol100
3 Dollars ($2,535.000 .00)."
4 3. That existing COUNTY Agreement No. 16-172 "Exhibit A" shall be amended to
5 include the additional training related services to be provided by CONTRACTOR during FY
6 2017-18 and shall be renamed "Revised Exhibit A," a copy of which is attached hereto and
7 incorporated by this reference.
8 COUNTY and CONTRACTOR agree that this Amendment is sufficient to amend the
9 Agreement and, that upon execution of this Amendment, the Agreement and this Amendment
10 together shall be considered the Agreement.
11 The Agreement, as hereby amended, is ratified and continued. All provisions, terms ,
12 covenants, conditions and promises contained in the Agreement and not amended herein
13 shall remain in full force and effect. This Amendment shall be effective upon execution.

Training and Consultation Agreement
Base Budget for FYs 2016-17, 2017-18, 2018-19, 2019-20, & 2020-21, in the
amount of $305,000 (Combined Max Compensation of $1,525,000)
Outcomes and Monitoring $
Cost associated with consultation, training, purchasing of materials. Development
and implementation to support measureable outcomes to achieve
program/individual/system success and/or modification of services to meet the
needs of clients/family members.
Health Care Reform Training & Consultation $
Cost associated with trainings/consultation related to National Health Care Reform
legislation/requirements. Training and consultations to include but not be limited to
increasing access to services, improving quality of services, building infrastructure
to be compliant with new re gulations, primary health care integration, collaborations
with community partners, as well as educational trainings related to Health Care
Reform laws and regulations and impact on clients/families.

Wellness & Recovery Trainings & Consultations $
Trainings aligned with guiding principles and goals of the Department. This
category will include trainings related to consultation promoting system -wide
integration of mental health and substance abuse. Examples of these trainings &
consultation include but not limited to:

* Advanced Assessment, Differential Diagnosis & Treatment Planning (e.g. Co-
* Dialectical Behavior Therapy (DBT)
* Cognitive Behavioral Therapy (CBT-T) Depression, Bipolar, Anxiety,
* Levels of Care/ Services Structure (CMHDA approved)
* System Assessment (Wellness)
* Recovery & Wellness education for Managers
* Infant Mental Health
* Play Therapy, Art Therapy, Trauma related, Family Therapy, Autism, and Eating
* Applied Behavioral Analysis (Child & Family Services)
* Suicide/Self-harm Risk Assessment & Intervention
* Substance Use/Abuse by age group and mental health
* Basic Case Management Services
* Evidence-Based Practices/Best practice models
* Leadership in Staff Management and Recovery for Consumers

Cultural Awareness Trainings $
Development and implementation costs associated with cultural competency
trainings, Workforce Education and Training (WET) related cultural awareness
training documents, design of education materials, consultation, content experts,
train the trainer events, the purchasing of training modules/materials if not available
through E-Learning, translation/interpretation, and cost associated with facility/site
fees. Examples of these trainings & consultation include but not limited to:
* Cultural Awareness and Linguistic abilities regarding Latino, Hmong, Vietnamese,
Cambodian, Location, Punjabi/Indian, Middle Eastern, African American, Native
American Cultures
* Appreciation of mental health disorders and related stigma in particular cultures
* The role of gender, age, birth order and relationship within specific cultures and
* How to work with disabled, deaf and hard of hearing community
* Evidence-Based cultural awareness practices and standards
* Promising Practices and Best Practices
* Cultural aspects of mental health epidemiology and clinical decision making
* Involving client/family members in all levels of training
* Other cultural trainings as needed

are not limited to: stakeholder meetings, conducting needs assessments,
increasing access to services, improving quality of services and building
infrastructure to be compliant with new regulations.
