AMENDMENT NO. 2 TO AGREEMENT #09-126
FOR ENGINEERING CONSULTANT SERVICES FOR IMPROVEMENTS AT THE MONTE VERDI
WASTEWATER TREATMENT FACILITY
THIS AMENDMENT to Agreement (Amendment No. 2) is made and entered into this
______ day of _________________, 2017, by and between the County of Fresno, a political
subdivision of the State of California (COUNTY) and Carollo Engineers, Inc., a Delaware
Corporation (CONSULTANT).
RECITALS
WHEREAS, on April 14, 2009, Agreement No. 09-126 (AGREEMENT) was entered into by
and between COUNTY and CONSULTANT, pursuant to which CONSULTANT agreed to provide
engineering services necessary for the preparation of plans, specifications and estimate for the
design of improvements to the CSA No. 44-D Wastewater Treatment Facility (FACILITY), intended
to provide compliant wastewater discharge suitable for landscape irrigation and to improve overall
FACILITY performance (DESIGN PROJECT); and
WHEREAS, on June 17, 2017, Amendment No. 1 to AGREEMENT updated the
COUNTY’S and CONSULTANT’S contact people, amended the scope of services to include
CONSULTANT’S assistance to COUNTY during the bidding process, construction and post-
construction phases of the FACILITY improvements, increased the total compensation allowed
under the AGREEMENT, and extended the term of the AGREEMENT: and
WHEREAS, COUNTY’S contact person identified in Amendment No. 1 has changed; and
WHEREAS, the term of AGREEMENT identified in Section XX, “Term and Renewal” of
AGREEMENT, as identified by Amendment No. 1, is December 31, 2017; and
WHEREAS, COUNTY now desires to amend the AGREEMENT, by modifying the
COUNTY’S contact person and to further extend the term of the AGREEMENT.
NOW, THEREFORE, CONSULTANT and COUNTY agree that the AGREEMENT shall
hereby be amended by this Amendment No. 2 thereto, as follows:
1.The text at page 2, lines 20-21, inclusive, of Amendment No. 1, is hereby deleted in
its entirety and replaced with the following:

2. Paragraph A of Article XX (entitled “TERM AND RENEWAL”), at page 12, lines 2-5,
inclusive, of AGREEMENT, as previously modified by Amendment No. 1, is hereby deleted in its
entirety and replaced with the following:
“A. This AGREEMENT shall expire on December 31, 2020, unless its term is subsequently
further extended by another formal amendment pursuant to the provisions of Article XV (entitled
‘CHANGES OR AMENDMENTS’), or it is terminated earlier pursuant to the provisions of Article
XXI (entitled ‘TERMINATION OF AGREEMENT’) .”
All other provisions, terms, covenants, conditions and provisions contained in
AGREEMENT, as previously modified by Amendment No. 1, are unchanged by this Amendment
No. 2 and shall remain in full force and effect.
This Amendment No. 2 shall be effective immediately upon execution by all of the parties
hereto.
