Note #1 • Flexible Subscription Usage Modal: During the tenn ofthe subscription, eleven (11) months after the Order date and on the
anniversary of such date thereafter, Saba shall audit the number of Recorded Users. The audit shall be perfOrmed as follows: Saba shall
detennine the peak daily usage for. each day in the calendar month and then shall average these to determine the average usage for such
morith. All such monthly averages shall be averaged to detennlne the actual subscription usage by Customer (~Real Usage"). If. such Real
Usage is at or no more than 10% above the number of Recorded Users reflected in this Order, the payment for the following subscription~year
shall be as set forth above. lf.suc~ Real Usage is below the number of Recorded UseJs reflected in this Order, the payment for the following
subscription year shall be flexed down accordingly up to a maximum reduction of 10%. If such Real Usage exceeds by more than 10% the
number of Recorded Users reflected in this Order, payment for the following subscription year shall be adjusted up to reflect such Real Usage.
Additional Renewal Periods: The Subscription Services will renew automatically with the samfi! period, tenns, and amounts due for one (1)
additional twelve (12) month period, unless Customer notifies Saba in writing at least thirty (30} days prior to the end of the then-current
Subscription Tenn that customer has elected to discontinue such Subscription Services.

Payment for the 12 month Subscription Period will be .invoiced on the Order Date and is due thirty (30) days after invoice date. The terms and
conditions of any purchase order shall not apply. The pricing included in this Order is not valid unless an executed copy of this Order Is
received by Saba on or before 11/3/17. The above-listed pricing is exclusive of all taxes, duties, withholdings and similar charges. Customer
acknowledges that this Order Is not reliant or contingent upon the delivery, or promise of delivery, of any future functionality, features, or
products. This Order is subject to the terms and conditions of the Saba Cloud Subscription Services Agreement between the parties, Saba
Contract #14-S-1870-MSA, the term of which is extended consistent with the term provision of this Order.
