HomeMy WebLinkAboutAgreement A-23-643 with Fresno Sheriffs Memorial Foundation.pdf Agreement No. 23-643 AGREEMENT This AGREEMENT ("Agreement") is executed at Fresno, California, this 28th day of November , 2023 by and between the COUNTY OF FRESNO, a political subdivision of the State of California, ("County"), and the FRESNO SHERIFF'S MEMORIAL FOUNDATION, a California non-profit mutual benefit corporation, ("Foundation"). RECITALS WHEREAS, Foundation is engaged in designing and building the Fresno Sheriff Memorial ("Memorial") and Education Center to honor those members of the Fresno County Sheriff's Office who paid the ultimate sacrifice while in service to the citizens of Fresno County, and to serve as a gathering place for survivors, families, friends, and community members to come together to pay their respects and to seek solace and comfort; WHEREAS, County and Foundation desire to enter into this Agreement to provide that Foundation may use portions of the Fresno County Sheriff Metro Substation property located at 1129 N. Armstrong Ave., Fresno, California, as the locations for the Memorial and Education Center; and WHEREAS, the installation and use of the Memorial and Education Center will benefit those members of the Fresno County Sheriff's Office who died in the line of duty by honoring their memory, supporting their family's needs, and paying tribute to their ultimate sacrifice. AGREEMENT NOW, THEREFORE, the parties hereto, in consideration of the foregoing and of the covenants, conditions, and promises hereinafter contained, to be kept and performed by the respective parties, IT IS AGREED AS FOLLOWS: SECTION 1. DESCRIPTION OF THE PREMISES. County hereby licenses to Foundation, on the terms and conditions set forth herein, a portion of the Fresno Sheriff Metro Substation real property situated in the County of Fresno, State of California, located at 1129 N. Armstrong Ave., Fresno, California, and more particularly described in Exhibit A ("Outdoor Premises") to construct the Memorial, and for the purposes described in this Agreement. County hereby licenses to Foundation, on the terms and conditions set forth in this Agreement, a portion of the interior of the Fresno Sheriff Metro Substation real property situated in the County of Fresno, State of California, located at 1129 N. Armstrong Ave., Fresno, California, and more particularly described in Exhibit B ("Indoor Premises") to use as an Education Center, and for the purposes described in this Agreement. Page 1 of 49 The Indoor Premises and Outdoor Premises may also be collectively referred to as the "Premises" in this Agreement where appropriate. SECTION 2. TERM AND EFFECTIVE DATE. The term of this Agreement ("Term") is for a period of ten (10) years, commencing on November 28, 2023, and ending on November 27, 2033, unless sooner terminated in accordance with the provisions of this Agreement. The Sheriff shall have the authority to extend this Agreement for two (2) additional ten (10) year terms, with the agreement of the Foundation. These extensions may be exercised at least thirty (30) days prior to the end of each ten-year term, and shall be memorialized by a writing signed by both parties. SECTION 3. CONSIDERATION. The parties agree that the benefit provided to both parties through the provision of the Memorial and Education Center as set forth in the Recitals above, are adequate consideration for this Agreement. SECTION 4. MEMORIAL AND EDUCATION CENTER. (a) The Premises are licensed to Foundation for the purpose of constructing the Memorial and Education Center, as well as utilizing the Memorial and Education Center for the purposes described in the Recitals above. (b) Foundation has examined the Premises prior to execution of this Agreement and determined the Premises are suitable for the stated purposes contained in this Agreement. (c) Foundation shall construct Memorial and Education Center according to Foundation's plans, specifications and criteria, in accordance with all applicable laws and regulations. The anticipated designs of the Memorial and Education Center, as developed by the Foundation, are attached as Exhibit C, and incorporated by this reference. SECTION 5. TERMINATION OF AGREEMENT. This Agreement may be terminated by either party without cause, upon 60 days prior written notice. SECTION 6. ASSIGNMENT. Foundation shall not assign or otherwise transfer this Agreement, any right or interest in the Premises, any part thereof or improvement therein without first obtaining the prior written consent of County. Any such attempted assignment or transfer shall be void and shall, at County's option, terminate this Agreement. Necessary prior written consent shall first be approved by the Board of Supervisors of the County of Fresno. Page 2 of 49 SECTION 7. CONSTRUCTION COSTS. Foundation shall pay all costs associated with constructing the Memorial and Education Center, including but not limited to design and build, and no County or other public funds shall be used for this purpose. SECTION 8. MAINTENANCE AND REPAIRS. Foundation, at its own cost and expense, shall provide all necessary maintenance and repairs of the Memorial and Education Center within the Premises. SECTION 9. RIGHT OF ENTRY AND INSPECTION. (a) County, by its officers, agents or employees, shall have the right to enter the Premises during construction of the Memorial and Education Center at all reasonable times for purposes of: (1) inspecting the Premises; (2) observing the performance by Foundation of its obligations under this Agreement; (3) making necessary repairs, alterations, or replacements; or (4) doing any act which County is obligated or has the right to do under this Agreement or otherwise. (b) County shall have the right to make alterations to the Premises, and to the common areas, which determination may be made by County at any reasonable time. (c) Nothing in this Section 9 shall be construed to impose upon County any obligations, nor to create any liability for failure to satisfy any obligations. SECTION 10. WASTE, NUISANCE, UNLAWFUL USE PROHIBITED. Foundation shall: (a) not commit or permit any waste in or on the Premises; (b) at all times cooperate with County to keep and maintain the Premises and common areas in a neat, clean and orderly condition; (c) keep the Premises and common areas free from any refuse or waste materials which might constitute a fire hazard or a public or private nuisance; and Page 3 of 49 (d) not use or permit the Premises or common areas to be used for any unlawful purpose. SECTION 11. QUIET ENJOYMENT. The Foundation shall not do any act or thing which may or does disturb the quiet enjoyment of the County. None of the uses set forth in Section 4 above shall constitute a violation of this section. SECTION 12. REPRESENTATIONS OF COUNTY. (a) Prior to the execution of this Agreement, both Foundation and County shall inspect the Premises to determine their present condition. (b) Neither County, nor any agent of County, has made any representation or promise with respect to the Premises, except as herein expressly set forth. SECTION 13. INDEMNIFICATION. The Foundation shall indemnify and hold harmless and defend the County (including its officers, agents, employees, and volunteers) against all claims, demands, injuries, damages, costs, expenses (including attorney fees and costs), fines, penalties, and liabilities of any kind to the County, the Foundation, or any third party that arise from or relate to the performance or failure to perform by the Foundation (or any of its officers, agents, subcontractors, or employees) under this Agreement. The County may conduct or participate in its own defense without affecting the Foundation's obligation to indemnify and hold harmless or defend the County. Foundation shall indemnify County against any and all costs, claims, penalties, damages, or actions arising from this Agreement or made by any person or entity arising from any violation or alleged violation of Section 17(B), herein. Such indemnification shall not be limited to the term of this Agreement. This Section survives the termination or expiration of this Agreement. SECTION 14. DEFAULT BY FOUNDATION. (a) The failure of the Foundation to fulfill, perform or observe any promise, covenant, condition, or term of this Agreement, where such failure continues for more than 30 days after written notice for correction thereof, shall constitute a material default and breach of this Agreement and the County may terminate the Agreement immediately. (b) In the event the County terminates the Agreement, the County may exercise any right, remedy (in law or equity), or privilege which may be available to it under applicable laws of the State of California or any other applicable law or proceed by appropriate court action to enforce the terms of the Agreement, or to recover direct, Page 4 of 49 indirect, consequential, or incidental damages for the breach of the Agreement. SECTION 15. SURRENDER AND REMOVAL. Foundation agrees to surrender to County, at the expiration of the Term of this Agreement, or any extension thereof or period of holding over, or upon any sooner termination of the Term, its use of the Premises. Foundation shall have the right to remove all memorabilia displayed in the Indoor Premises by Foundation, and any personal property belonging to Foundation in the Indoor Premises. Any personal property left in the Indoor Premises after the expiration or sooner termination of the Term of this Agreement, or any extension thereof or period of holding over, shall, at County's election, become the property of County. All damage done to the Indoor Premises or any improvement thereon belonging to County, by or during the removal by Foundation of its personal property shall be repaired by Foundation at Foundation's expense. SECTION 16. PAYMENTS, NOTICES AND DEMANDS. All sums payable by Foundation to County hereunder shall be delivered in person or mailed to the address listed below. SECTION 17. COMPLIANCE WITH ALL RULES, REGULATIONS, LAWS, AND PERMITS; PREVAILING WAGE. A. Foundation agrees to observe, obey and abide by all rules and regulations adopted by County governing the Premises, common areas, and facilities used by Foundation. In addition to the foregoing, Foundation shall observe, obey, and comply with all applicable rules, regulations, laws, ordinances, statutes, or orders of any governmental authority, including but not limited to, all permit requirements during the construction of the Memorial and Education Center. B. Prevailing Wage. a. For any portion of any of construction of the Memorial and Education Center (including, but not limited to, any construction, alteration, installation, demolition, repair, or maintenance work), to be performed, either directly or on behalf of Foundation under any agreements with any contractors and/or suppliers (including their respective sub-contractors at any tier) or otherwise, that is a "public work" for the purposes of Chapter 1 (commencing with § 1720) of Part 7 of Division 2 of the California Labor Code (collectively, "Chapter 1 of the Labor Code"), (i) Foundation shall comply with, and cause all such contractors and/or suppliers (including their respective sub-contractors at any tier) to comply with, all applicable provisions of Chapter 1 of the Labor Code. b. Foundation acknowledges that the DIR provides the following internet resource: https://www.dir.ca.gov/OPRL/DPreWageDetermination.htm. c. County does not make any representation, or provide any guidance to Foundation as to (i) the nature, type, or scope of the work, or any portion Page 5 of 49 thereof, to be performed by Foundation, either directly or under any agreements with any contractors and/or suppliers (including their respective sub-contractors at any tier), that constitutes a "public work," or (ii) the sufficiency of the DIR's internet resource, above, for purposes of compliance with this Section 17. d. Foundation is not relying on any representation or lack of representation of County with respect to this Agreement, or the construction of the Memorial, or as to any matter described in this Section 17(B) to any contractors and/or suppliers (including their respective sub-contractors at any tier) or otherwise, retained or contracted with by Foundation, and no such person or entity may rely on any purported representation of the County with respect to this subject matter. SECTION 18. NONWAIVER. Any waiver by either party of any breach of covenant or condition required herein to be performed and observed shall not be deemed or considered a continuing waiver and shall not operate to prevent said party from declaring a default for any subsequent breach, either of the same covenant or condition, or otherwise. SECTION 19. NOTICES A. Method of Delivery. Each notice between the County and each Contractor provided for or permitted under this Agreement must be in writing, state that it is a notice provided under this Agreement, and be delivered either by personal service, by first-class United States mail, by an overnight commercial courier service, by telephonic facsimile transmission, or by Portable Document Format (PDF) document attached to an email. a. A notice delivered by personal service is effective upon service to the recipient. b. A notice delivered by first-class United States mail is effective three County business days after deposit in the United States mail, postage prepaid, addressed to the recipient. Page 6 of 49 c. A notice delivered by an overnight commercial courier service is effective one County business day after deposit with the overnight commercial courier service, delivery fees prepaid, with delivery instructions given for next day delivery, addressed to the recipient. d. A notice delivered by telephonic facsimile transmission or by PDF document attached to an email is effective when transmission to the recipient is completed (but, if such transmission is completed outside of County business hours, then such delivery is deemed to be effective at the next beginning of a County business day), provided that the sender maintains a machine record of the completed transmission. D. Claims Presentation. For all claims arising from or related to this Agreement, nothing in this Agreement establishes, waives, or modifies any claims presentation requirements or procedures provided by law, including the Government Claims Act (Division 3.6 of Title 1 of the Government Code, beginning with section 810). SECTION 20. MODIFICATION. Except as provided in Section 5, "Termination," this Agreement may not be modified, and no waiver is effective, except by written agreement signed by both parties. Foundation acknowledges that County employees have no authority to modify this Agreement except as expressly provided in this Agreement. SECTION 21. JURISDICTION AND VENUE. This Agreement is signed and performed in Fresno County, California. Foundation consents to California jurisdiction for actions arising from or related to this Agreement, and, subject to the Government Claims Act, all such actions must be brought and maintained in Fresno County. SECTION 22. GOVERNING LAW. The laws of the State of California govern all matters arising from or related to this Agreement. SECTION 23. TIME OF ESSENCE. Time is of the essence in this Agreement. SECTION 24. NO THIRD-PARTY BENEFICIARIES. This Agreement does not and is not intended to create any rights or obligations for any person or entity except for the parties. Page 7 of 49 SECTION 25. NONDISCRIMINATION. During the performance of this Agreement, Foundation shall not unlawfully discriminate against any employee or applicant for employment, or recipient of services, because of race, religious creed, color, national origin, ancestry, physical disability, mental disability, medical condition, genetic information, marital status, sex, gender, gender identity, gender expression, age, sexual orientation, military status or veteran status pursuant to all applicable State of California and federal statutes and regulation. SECTION 26. AUTHORIZED SIGNATURE. Foundation represents and warrants to the County that: A. Foundation is duly authorized and empowered to sign and perform its obligations under this Agreement. B. The individual signing this Agreement on behalf of the Foundation is duly authorized to do so and his or her signature on this Agreement legally binds the Foundation to the terms of this Agreement. SECTION 27. INSURANCE. Foundation, and all its contractors utilized in construction of the Memorial, shall comply with all the insurance requirements in Exhibit D to this Agreement. SECTION 28. COUNTERPARTS. This Agreement may be signed in counterparts, each of which is an original, and all of which together constitute this Agreement. SECTION 29. ENTIRE AGREEMENT. This Agreement represents the entire and integrated agreement between the parties and supersedes all prior negotiations, representations or agreements, either written or oral. This Agreement may be modified only by written instrument duly authorized and executed by both County and Foundation. One of the consensus items was "Action." The Membership desires for us to take action, have a just cause, and lead professionally. We know that we cannot do everything, but we can do something, and we can do it well.The Board believes that our actions should primarily be based on internal causes, in support of our peers and/or those we supervise. We believe that our causes should support those who have made the ultimate sacrifice, their families, and the organizations that support and honor them.We believe that our actions should provide support to those in need, pay tribute to those wearing the badge, and create opportunities for us to gather to build fraternal relationships and memories. Our Mission The Fresno Sheriff's Memorial Foundation was established in January of 2022, as a non-profit project of the Fresno Sheriff's Sergeants Association.Our sole mission is to Honor those members of the Fresno County Sheriff's Office who gave the ultimate sacrifice and died in the line of duty. The FSSA,through the establishment of the Fresno Sheriff's Memorial Foundation, has already taken the first steps in honoring our fallen. The Association has dedicated its money,time, and energy to design a Memorial at the site of our new Area 2 Metro Substation. We have also pledged to the Sheriff's Office that the FSSA will maintain the Memorial in perpetuity. The lion also symbolizes the protective role of law enforcement officers and helps to convey the strength, courage and valor that are hallmarks of those who serve and protect. Flames, lamps, and torches are all familiar features signifying remem- brances and purification.They are widely accepted as a symbol of eternal life. Fresno Sheriff's Memorial Foundation 22 11 i Moving Water The Memorial will have a slow trickle of water rolling over the names of the fallen, and a substantial waterfall behind the lion. The water will then collect into a catch basin at the bottom, which surrounds the entire Memorial. This basin will create an atmosphere of reflection by mirroring the world around it. The Eastern Basin is meant to represent the Kings River, and the Western Basin, the San Joaquin River.The moving water itself will signify regeneration and cleansing.The moving water summons contemplation and intrinsically promotes reflection upon the sacrifice of those inscribed. It charges the visitor with a sense of duty to live their life in a way that pays tribute to so great a sacrifice. Cenotaph A cenotaph is an empty tomb or monument erected in honor of those who are inscribed on the wall, but whose remains are located elsewhere. It is known as a"mourning band"for a fallen s. law enforcement officer in service to their community. + ; It is often worn from the moment of the death until the sunset on the day of internment. It is an outward symbol of the internal mourning those who wear the IWAV badge endure at the loss of a brother or sister. Perma- nently affixed, the swath and badge will stand as a testament to the everlasting mourning the community endures at the loss of one of their valiant. Memorial '} Donor Garden The donor appreciation area will be located on the west side of the Memorial, within a Memorial Donor Garden. It is intentionally separated from the names of the fallen so as not to detract from them. It is mindfully incorporated though, to remind the visitor that the community supports law enforcement and appreciates the sacrifices made by the fallen on their behalf. It further serves to remind the survivors, the families, the friends, and the community that the service and sacrifice of the fallen has not gone ignored. Visitors will leave assured that others have not and will not forget so worthy a sacrifice. Wreath Directly affixed to the cenotaph will be a dedicated area - for a wreath at the base of the lion.The wreath has long j" symbolized the circle of life. Wreath laying ceremonies are a ritual offering of flowers to symbolize the beauty and brevity of life. The names of the fallen will be engraved on slabs of black polished granite in between these grandiose features. On the west side of the monument will be boulders recovered from the Coastal Diablo Mountain Range.The east side of the monument will include granite boulders recovered from the Sierra Nevada Mountains.This will serve to highlight the unique geographic layout of Fresno County. The visitor will also have a forced perspective of the Memorial to their north. The North has always represented permanency and a moment of serious contemplation. It is the constant direction upon which we orient ourselves. We hope the visitor leaves this perspective with a renewed sense of orientation and purpose. The deeper meaning of these five simple words is that the valor demonstrated by the fallen gives us hope for a safe and civilized nation. It causes an introspection and challenges those who heed this call to live a more valiant life in hope of the greater good. Bollards Although bollards will serve a practical purpose to light-up the Memorial for visitors, the bollards are deeply rooted in symbolism. Historically speaking, bollards served as posts or pillars built along the edge of a wharf so that sailors had something to tie their mooring lines PF around. The 6 bollards at the front of the Memorial will be embossed with a Sheriff's Office badge and adorned with one of the 6 values of the Sheriff's Office: Professionalism, Accountability, Integrity, Trust, Commitment, and Service.They will represent not only our values, but also be the 6 points of light signified in the Sheriff's Star. Just as these anchoring points were used to moor ships, these bollards will serve to anchor the visitor to the permanent understanding that those who have fallen, did so in an effort to manifest these values. This policy must be issued on a per occurrence basis. Coverage must include 8 products, completed operations, property damage, bodily injury, personal injury, and advertising injury. The Foundation shall obtain an endorsement to this policy naming the County of Fresno, 9 its officers, agents, employees, and volunteers, individually and collectively, as additional 10 insureds, but only insofar as the operations under this Agreement are concerned. Such coverage for additional insureds will apply as primary insurance and any other insurance, or self- 11 insurance, maintained by the County is excess only and not contributing with insurance provided 12 under the Foundation's policy. (B) Automobile Liability. Automobile liability insurance with limits of not less than One Million 13 Dollars ($1,000,000) per occurrence for bodily injury and for property damages. Coverage must 14 include any auto used in connection with this Agreement. 15 (C)Workers Compensation. Workers compensation insurance as required by the laws of the State of California with statutory limits. 16 (D) Employer's Liability. Within 30 days after the Foundation signs this Agreement, and at any time during the term of this Agreement as requested by the County's Risk Manager or the 20 County Administrative Office, the Foundation shall deliver, or cause its broker or producer to 21 deliver, to the County Risk Manager, at 2220 Tulare Street, 16th Floor, Fresno, California 93721, or HRRiskManagement@fresnocountyca.gov, and by mail or email to the person identified to 22 receive notices under this Agreement, certificates of insurance and endorsements for all of the coverages required under this Agreement. 23 (i) Each insurance certificate must state that: (1) the insurance coverage has been obtained 24 and is in full force; (2) the County, its officers, agents, employees, and volunteers are not 25 responsible for any premiums on the policy; and (3) the Foundation has waived its right to recover from the County, its officers, agents, employees, and volunteers any amounts 26 paid under any insurance policy required by this Agreement and that waiver does not invalidate the insurance policy. 27 (ii) The commercial general liability insurance certificate must also state, and include an 28 endorsement, that the County of Fresno, its officers, agents, employees, and volunteers, Page 48 of 49 1 individually and collectively, are additional insureds insofar as the operations under this Agreement are concerned. The commercial general liability insurance certificate must 2 also state that the coverage shall apply as primary insurance and any other insurance, or 3 self-insurance, maintained by the County shall be excess only and not contributing with insurance provided under the Foundation's policy. 4 (iii) The automobile liability insurance certificate must state that the policy covers any auto 5 used in connection with this Agreement. 6 (B) Acceptability of Insurers. All insurance policies required under this Agreement must be issued by admitted insurers licensed to do business in the State of California and possessing at all 7 times during the term of this Agreement an A.M. Best, Inc. rating of no less than A: VII. 8 (C) Notice of Cancellation or Change. For each insurance policy required under this Agreement, 9 the Foundation shall provide to the County, or ensure that the policy requires the insurer to provide to the County, written notice of any cancellation or change in the policy as required in 10 this paragraph. For cancellation of the policy for nonpayment of premium, the Foundation shall, or shall cause the insurer to, provide written notice to the County not less than 10 days in 11 advance of cancellation. For cancellation of the policy for any other reason, and for any other 12 change to the policy, the Foundation shall, or shall cause the insurer to, provide written notice to the County not less than 30 days in advance of cancellation or change. The County in its sole 13 discretion may determine that the failure of the Foundation or its insurer to timely provide a written notice required by this paragraph is a breach of this Agreement. 14 (D) County's Entitlement to Greater Coverage. If the Foundation has or obtains insurance with 15 broader coverage, higher limits, or both, than what is required under this Agreement, then the County requires and is entitled to the broader coverage, higher limits, or both. To that end, the 16 Foundation shall deliver, or cause its broker or producer to deliver, to the County's Risk Manager 17 certificates of insurance and endorsements for all of the coverages that have such broader coverage, higher limits, or both, as required under this Agreement. 18 (E) Waiver of Subrogation. The Foundation waives any right to recover from the County, its 19 officers, agents, employees, and volunteers any amounts paid under the policy of worker's compensation insurance required by this Agreement. The Foundation is solely responsible to 20 obtain any policy endorsement that may be necessary to accomplish that waiver, but the 21 Foundation's waiver of subrogation under this paragraph is effective whether or not the Foundation obtains such an endorsement. 22 (F) County's Remedy for Foundation's Failure to Maintain. If the Foundation fails to keep in 23 effect at all times any insurance coverage required under this Agreement, the County may, in addition to any other remedies it may have, suspend or terminate this Agreement upon the 24 occurrence of that failure, or purchase such insurance coverage, and charge the cost of that 25 coverage to the Foundation. The County may offset such charges against any amounts owed by the County to the Foundation under this Agreement. 26 (G)Subcontractors. The Foundation shall require and verify that all subcontractors used by the 27 Foundation to provide services under this Agreement maintain insurance meeting all insurance requirements provided in this Agreement. 28 Page 49 of 49
