HomeMy WebLinkAboutAgreement A-14-313-1 with Each Provider Listed in Revised Exhibit A.pdf12345678910111213141516171819202122232425262728AMENDMENTITOAGREEMENTTHISAMENDMENT,hereinafterreferredtoasAmendmentI,ismadeandenteredintothis__dayof,2017,byandbetweentheCOUNTYOFFRESNO,aPoliticalSubdivisionoftheStateofCalifornia,hereafterreferredtoas“COUNTY”,andeachproviderlistedinRevisedExhibitA,attachedtothisAgreementandbythisreferenceincorporatedherein,andcollectivelyhereinafterreferredtoas“CONTRACTOR(S)”(collectivelythe“parties”).WHEREAS,thepartiesenteredintothatcertainAgreementidentifiedasCOUNTYAgreementNo.A-14-313,effectiveJuly1,2014whereby,CONTRACTOR(S)agreedtoprovidespecializedmentalhealthservicesintheformoflevel12,13,14,andCommunityTreatmentFacility(CTF)placementandotherlevelsofplacementsanddesirestoplaceclientsintreatmentprogramsforsaidservicesforadolescentsagessix(6)toeighteen(18)withseriousemotionaldisorderssufficienttoputthematriskofbeingadmittedtoaStateHospital;andWHEREAS,thepartiesdesiretoamendCOUNTYAgreementNo.14-313effectiveuponexecution,regardingchangesasstatedbelowandrestatetheAgreementinitsentirety.NOW,THEREFORE,inconsiderationoftheirmutualpromises,convenantsandconditions,hereinaftersetforth,thesufficiencyofwhichisacknowledged,thepartiesagreeasfollows:1.ThisAgreementshallbeextendedfortwo(2)additionalyears,beginningJuly1,2017throughandincludingJune30,2019uponthesametermsandconditionshereinsetforth.2.ThattheexistingCOUNTYAgreementNo.A-14-313,pageSix(6),beginningwithlineTwenty-One(21),withtheword“In”andendingonpageSix(6),lineTwenty-Five(25),withtheword“CONTRACTOR(S)”bedeletedandthefollowinginsertedinitsplace:“InnoeventshallservicesperformedunderthisAgreementforallCONTRACTOR(S)combinedbeinexcessofNineHundredThousandandNo/100Dollars($900,000.00),foreachtwelve(12)monthperiodduringwhichthisAgreementisineffect.ThemaximumcompensationamountshallnotexceedFourMillion,FiveHundredThousand,COUNTYOFFRESNOFresno,CA
12345678910111213141516171819202122232425262728andNo/100Dollars($4,500,000.00)duringthefiveyeartermofthisAgreement.ItisunderstoodthatallexpensesincidentaltoCONTRACTOR(S)’performanceofservicesunderthisAgreementshallbebornebyCONTRACTOR(S).”3.ThatthefollowingbeaddedtoexistingCOUNTYAgreementNo.A-14-313,PageTwelve(12),afterLineEleven(11):“E.SexualAbuse/MolestationLiabilitySexualAbuse/MolestationLiabilityInsurance(includingbutnotlimitedtocorporalpunishmentliability,sexualabuseandmolestationliability,andchildabductionliability)withlimitsofnotlessthanOneMillionDollar($1,000,000.00)peroccurrence,TwoMillionDollars($2,000,000.00)annualaggregate.Thispolicyshallbeissuedonaperoccurrencebasis.”4.COUNTYandCONTRACTORSagreethatthisAmendmentIissufficienttoamenttheAgreement;andthatuponexecutionofthisAmendmentI,theAgreementandAmendmentItogethershallbeconsideredtheAgreement.5.ExceptasotherwiseprovidedinthisAmendmentI,allotherprovisionsofCOUNTYAgreementNo.A-14-313remainunchangedandinfullforceandeffect.ThisAmendmentIshallbecomeeffectiveretrotoJuly1,2017.IllIIIIIIIIIIIIIIIIIIIIIIIIIIIIIICOUNTYOFFRESNOFresno,CA
