HomeMy WebLinkAboutAgreement A-14-292-1 with Family Development Center, LLC.pdf12345678910111213141516171819202122232425262728AMENDMENTITOAGREEMENTTHISAMENDMENTismadeandenteredintothisdayof,2017,byandbetweentheCOUNTYOFFRESNO,apoliticalsubdivisionoftheStateofCalifornia,hereinafterreferredtoas"COUNTY",andFamilyDevelopmentCenter,LLC,aCaliforniacorporation,whoseaddressis175N.PollaskyAve#111,ClovisCA93612,hereinafterreferredtoas“CONTRACTOR”.WHEREAS,thepartiesenteredintothatcertainAgreement,identifiedasCOUNTYAgreementNo.A-14-292,effectiveJuly1,2014,hereinafterreferredtoastheAgreement,wherebyCONTRACTORagreedtoprovidetherapeuticchildcareservicestoqualifiedclientsenrolledinPathways;andWHEREASthepartiesdesiretoamendtheAgreement,regardingchangesasstatedbelowandrestatetheAgreementinitsentirety.NOW,THEREFORE,inconsiderationoftheirmutualpromises,covenantsandconditions,hereinaftersetforth,thesufficiencyofwhichisacknowledged,thepartiesagreeasfollows:1.ThatthefollowingtextintheAgreement,PageSeven(7),beginningwithParagraphSeven(7),LineNineteen(19)andendingonPageEight(8),LineFive(5)withtheword“manner”bedeletedandthefollowinginsertedinitsplace:“7.MODIFICATIONAnymattersofthisAgreementmaybemodifiedfromtimetotimebythewrittenconsentofallthepartieswithout,inanyway,affectingtheremainder.Notwithstandingtheabove,changestoservicesasneededtoaccommodatechangesinthelawrelatingtosubstanceusedisordertreatment,assetforthinExhibitB,“Budget,”maybemadewiththesignedwrittenapprovalofCOUNTY’SDBHDirector,orherdesignee,andCONTRACTORthroughanamendmentapprovedbyCountyCounselandAuditor.Changestolineitemsinthebudgets,attachedheretoasExhibitB,“Budgets,”asappropriate,thatdonotexceedtenpercent(10%)oftheCONTRACTOR’SprogramtotalmaximumcompensationpayabletoCONTRACTOR,maybemadewiththewrittenapprovalofCOUNTY’SDBHDirector,orherdesignee,andCONTRACTOR.Changestothelineitemsinthebudgetthatexceedtenpercent(10%)oftheCOUNTYOFFRESNOFresno,CA
12345678910111213141516171819202122232425262728maximumcompensationpayabletotheCONTRACTORmaybemadewiththesignedwrittenapprovalofCOUNTY’SDBHDirector,orherdesignee,throughanamendmentapprovedbyCountyCounselandAuditor,andCONTRACTOR.SaidbudgetlineitemchangesshallnotresultinanychangetotheCONTRACTOR’SprogrammaximumcompensationamountpayabletoCONTRACTOR,asstatedherein.”2.ThatthefollowingtextintheAgreement,PageTwenty-One(21),beginningwithParagraphSixteen(16),LineFifteen(15)andendingonPageTwenty-Two(22),LineThree(3)withtheword“Agreement”bedeletedandthefollowinginsertedinitsplace:“16.COMPLIANCEWITHLAWSANDPOLICIESCONTRACTORshallcomplywithallapplicablerulesandregulationssetforthinTitles9and22oftheCaliforniaCodeofRegulations,andCaliforniaHealthandSafetyCodesection11750etseq.CONTRACTORshallcomplywithanyotherFederalandStatelawsorguidelinesapplicabletoCONTRACTOR’SperformanceunderthisAgreementoranylocalordinances,regulations,orpoliciesapplicable.Suchprovisionsinclude,butarenotrestrictedto:A.Forrenewalofmulti-yearcontractswithnon-profitorganizationswhichprimarilyserveFresnoCountyandprofessionalservicescontractswhereFresnoCountyisthesoleclient,theadministrativeandemployeebenefitscostsshouldbebothreasonableandnecessaryfortheadministrationoftheprogram.B.CONTRACTORshallfurnishclientrecordsinaccordancewiththeapplicableFederalandStateregulations.C.CONTRACTORshallsubmitaccurate,completeandtimelyclaimsandcostreports,reportingonlyallowablecosts.D.CONTRACTORshallcomplywithstatisticalreportingandprogramevaluationsystemsasprovidedinStateofCaliforniaregulationsandinthisAgreement.E.CONTRACTORshallcomplywithrequirementscontainedintheState-CountyContractwithDHCSbythisreferenceincorporatedherein,untilsuchtimethatanewState-CountyContractisestablished.UponamendmentoftheState-CountyContract,thetermsoftheamendedContractshallautomaticallybeincorporatedintothisAgreement.”COUNTYOFFRESNOFresno,CA
123456789101112131415161718192021222324252627283.ThatthefollowingclauseisbeingaddedtotheAgreementasParagraphTwenty(20)onPageTwenty-Three(23),LineTwenty-Four(24).“20.TRAFFICKINGINPERSONSPROVISIONS-PRIVATEENTITYCONTRACTORshallconformtoallFederalstatutesandregulationsprohibitingtraffickinginpersons,aswellastrafficking-relatedactivities,including,butnotlimitedtothetraffickingofpersonsprovisionsinSection106(g)oftheTraffickingVictimsProtectionActof2000(TVPA)asamendedbySection1702.CONTRACTOR,CONTRACTOR’Semployees,subrecipients,andsubrecipients’employeesmaynot:A)Engageinsevereformsoftraffickinginpersonsduringtheperiodoftimethattheawardisineffect;B)Procureacommercialsexactduringtheperiodoftimethattheawardisineffect;orC)Useforcedlaborintheperformanceoftheawardorsubawardsundertheaward.Thisagreementmaybeunilaterallyterminated,withoutpenalty,ifCONTRACTORorasubrecipientthatisaprivateentityisdeterminedtohaveviolatedaprohibitionoftheTVPAorhasanemployeewhoisdeterminedbytheDBHDirectororherdesigneetohaveviolatedaprohibitionoftheTVPAthroughconductthatiseitherassociatedwithperformanceundertheawardorimputedtotheCONTRACTORortheirsubrecipientusingthestandardsanddueprocessforimputingtheconductofanindividualtoanorganizationthatareprovidedin2C.F.R.Part180,“OMBGuidelinestoAgenciesonGovernment-wideDebarmentandSuspension(Nonprocurement).CONTRACTORmustinformtheDBHDirectororherdesigneeimmediatelyofanyinformationreceivedfromanysourceallegingaviolationofaprohibitionoftheTVPA.CONTRACTORmustsignacertificationannuallyacknowledgingtheTraffickingVictimsProtectionActof2000requirements(TVPACertification),attachedheretoasExhibitG,incorporatedhereinbyreferenceandmadepartofthisAgreementandmustrequireallemployeestocompleteannualTVPAtraining.”4.ThatthefollowingparagraphisbeingaddedtotheAgreementasParagraphThirty-EightCOUNTYOFFRESNOFresno,CA
