1 AGREEMENT
2 This AGREEMENT eAgreement") is made and entered into this 2nd day of May
3 2017, by and between the COUNTY OF FRESNO, a political subdivision of the State of California ,
4 hereinafter "COUNTY", and Velis Engineering, Inc., hereinafter "CONTRACTOR".
5 WHEREAS , the COUNTY has a need for Job Order Contracting services; and
6 WHEREAS, the CONTRACTOR is qualified and willing to perform said services.
7 NOW, THEREFORE, the part ies agree as follows :
8 WI T N E S S E T H:
9 This Agreement shall establish a competitively bid , fixed price, indefinite quantity, Job Order
1 0 Contract. The scope of work to be performed pursuant to th is Agreement includes a comprehensive
11 listing of detailed repair and construction tasks and specifications that have pre-established units of
12 measure and unit prices listed in the Construction Task Catalog developed for the COUNTY by the
13 Gordian Group. The work under this Agreement shall be c arried out pursuant to individual Job (or
14 Task) Orders and shall involve the repa ir, a lterati on , modernization, maintenance, rehabilitation,
15 reconstruction, or construction of publi c buildings, streets, utilities, and other public works.
16 The obligations of all parties unde r thi s Agreement shall be as set forth in this Agreement and
17 detailed in accordance with COUNTY's Request f or Quotation No. 17-059 and all addendums thereto
18 (collectively, the "RFQ") and CONTRACT OR's Response to the RFQ ("Response") both of which are
19 attached hereto as Exhibits "A " and "8 " respectiv ely, and made a part of this Agreement. All
20 capitalized terms used in this Agreement shall have the meanings attached to them as set forth in
21 COUNTY's RFQ.
22 I. OBLIGATIONS OF CONTRACTOR
23 A. CONTRACTOR agrees to furnish all labor and materials , i ncluding tools ,
24 implements, and appliances r equ ired , and to perform all the work in a good and workmanlike
25 manner, free from any and all liens and claims of mec hanics, material-men, subcontractors,
26 artisans , machinists , teamste rs , d ay-men and laborers required for completing specific Job Orders
27 as directed by COUNTY.
