AMENDMENT 1 TO AGREEMENT WITH SOUTHTECH SYSTEMS, INC
2 THIS AMENDMENT, hereinafter referred to as Amendment 1, is made and entered into
3 this 31st day of January, 2017, by and between the COUNTY OF FRESNO, a P olitical
4 Subdivi sion of the State of Cali fornia, hereinafter referred to as "COUNTY", and SOUTHTECH
5 SYSTEMS, INC, a Corporation, whose address is 4181 Fl a t Rock Drive, Suite 300, Riverside, CA
6 92505, hereinafter referred to as "CONTRACTOR".
7 W I T N E S S E T H:
8 WHEREAS , the parties entered into that certain Agreement, identified as COUNTY
9 Agreement No. A-14-123, effective April 15 , 2014, hereinafter referred to as the "Agreement";
10 and
11 WHEREAS, the County Clerk-Elections Department engaged the CONTRACTOR for the
12 purpose of providing software mainte nance and support, including telephone support, consulting
13 services, and software updates as needed; and
14 WHEREAS, CONTRACTOR curre ntl y provides a variety of proprietary products to
15 COUNTY , which are manufactured by CONTRACTOR. These products include "Clerk.Docs™",
16 "Online Marriage", "Online FBN", "Cornerstone™ Cashiering/Fee Accounting", "Check.Log™",
17 "CampaignDocs™", and "WebPublisher™", and
18 WHEREAS, CONTRACTOR s hall provide eCampaign™ software and support to
19 COUNTY, unlimited form updates and fee-for-service s pecialized services.
20 WHEREAS , the parties now de sire to amend the Agreement regarding changes as stated
21 below.
22 NOW , THEREFORE, in consideration of their mutual promises, covenants and conditions ,
23 hereinafter set forth, the s ufficiency of which is acknowledged, the parties agree as follows:
24 1. That the following text in the Agreement, Page One ( l ), beginning with Paragraph
25 Two (2), Line Eight (8) with the word "OBLIGATIONS OF THE CONTRACTOR", and ending
26 on Page One (1), Line Sixteen (16) with the word "Schedule A" be deleted and the fo ll owing
27 inserted in its place:
