AGREEMENT FOR SPECIALIZED LEGAL SERVICES

3 THIS AGREEMENT is made and entered into this 21 51 day of February 2017 by
4 and between the COUNTY OF FRESNO , a political subdivision of the State of
5 California , hereinafter referred to as "COUNTY," and McCormick, Barstow, LLP
6 hereinafter referred to as "ATTORNEY."

8 W I T N E S S E T H:
9 WHEREAS , COUNTY is in the process of the adm i nistration and defense of
1o General Liability, Auto Liability and Medical Malpra ctice cla ims against the COUNTY.
II WHEREAS , COUNTY needs and wishes to engage appropriate legal counsel ,
12 who is skilled and knowledgeable in defense of General Liability Employment Law

claims or other claims that are covered under the County's General Liability and Medical
Malpractice Programs, and to adv ise and represent COUNTY in connection with the
matters , as provided here in ; and
WHEREAS , COUNTY issued Re quest for Proposal No. 17-007 on A u g u st 25,
17 2 016, for the purpose of securing sa id service s ; and
18 WHEREAS , ATTORNEY agrees to the requirements in the RFP ; and
19 WHEREAS , ATTORNEY responded to the Request for Proposal stating that it is
20 experienced , possesses expertise in su ch matters , and is willing to perform sa id
2 1 services ,
22 NOW, THEREFORE , in consideration of th e mutual covenants , terms and
23 conditions herein contained , the Parties hereto agree as follows :

26 1.1 COUNTY hereby engag e s ATTORNEY as an independent contractor, and
21 any associated staff ATTORNEYs and paralegals or other legal support staff as
