AGREEMENT FOR SPECIALIZED LEGAL SERVICES

3 THIS AGREEMENT is made and entered into this 21 st day of February 2017 by
4 and between the COUNTY OF FRESNO , a political subdivision of the State of
5 California, hereinafter referred to as "COUNTY," and Liebert Cassidy Whitmore
6 hereinafter referred to as "ATTORNEY."

8 WIT N E S S E T H:
9 WHEREAS, COUNTY is in the process of the administration and defense of
1o General Liability, Auto Liability and Medical Malpractice claims aga inst the COUNTY.
I I WHEREAS, COUNTY needs and wishes to engage appropriate legal counsel ,
12 who is skilled and knowledgeable in defense of General Liability Employment Law
13 claims or other claims that are covered under the County's General Liability and Medical
14 Malpractice Programs, and to advise and represent COUNTY in connection with the
15 matters, as provided herein ; and
16 WHEREAS, COUNTY issued Request for Proposal No. 17-007 on August 25,
17 2016, for the purpose of securing said services; and
18 WHEREAS, ATTORNEY agrees to the requirements in the RFP ; and
19 WHEREAS, ATTORNEY responded to the Request for Proposal stating that it is
20 experienced, possesses expertise in such matters , and is willing to perform said
2 1 services,
22 NOW, THEREFORE , in consideration of the mutual covenants , terms and
23 conditions herein contained , the Parties hereto agree as follows :

25 ENGAGEMENT OF ATTORNEY
26 1.1 COUNTY hereby engages ATTORNEY as an independent contractor, and
21 any associated staff ATTORNEYs and paralegals or other legal support staff as
