3 VII. NON-ASSIGNMENT
4 Neither party shall assign, transfer or subcontract this MOU, nor any of its respective
5 rights or duties hereunder, without the prior written consent of the other party.
6 VIII. RELATIONSHIP OF PAR TIES
7 It is understood that this is an MOU by and between two (2) separate public agencies
8 and is not intended to and shall not be construed to create a relationship of agent, servant,
9 employee, partnership, joint venture or association.
10 IN WITNESS WHEREOF, the parties hereto have caused this MOU to be executed effective
11 as of the day and year first hereinabove written.
