1 AGREEMENT

3 THIS AGREEMENT ("Agreemenf') is made and entered into this 15th day of
4 November, 2016 ("Effective Date") by and between the COUNTY OF FRESNO, a political
5 subdivision of the State of California, hereinafter referred to as "COUNTY", and Here Rentals Inc.,
6 a California Corporation, whose address is 3057 S. Golden State Frontage Rd, Fresno, CA
7 93725 hereinafter referred to as "CONTRACTOR".
8 WI TN E S S E T H:
9 WHEREAS COUNTY has a need to contract with vendors to provide heavy
10 equipment rental for its Road Maintenance & Operations Division and Resources Division; and
11 COUNTY issued Request for Quotation No. 975-5476 to solicit proposals
12 from qualified vendors to provide heavy equipment rental in accordance with specific terms,
13 conditions and requirements; and
14 WHEREAS COUNTY and CONTRACTOR desire to enter into an agreement
15 for such equipment rentals.
16 Therefore, the parties agree as follows:
17 1. RENTAL OF EQUIPMENT
18 CONTRACTOR shall provide all equipment in accordance with the
19 specifications, requirements, terms, conditions, etc., as set forth in COUNTY's Request for
20 Quotation No. 975-5476 and all addendums thereto (collectively, the "RFQ") and
21 CONTRACTOR'S quotation submitted in response to the RFQ ("Response").
22 The RFQ and Response are attached hereto collectively as Attachment "A"
23 and incorporated herein by reference. The originals of such documents shall be maintained by
24 County's Purchasing Division at 4525 East Hamilton Avenue, Fresno, California.
25 2. PARTICIPATING DEPARTMENTS
26 The County department authorized to participate in this AGREEMENT is
27 Public Works and Planning (PW&P), specifically, COUNTY's Road Maintenance & Operations
28 and Resources Divisions of PW&P. No other County department is authorized to rent

1 IN WITNESS WHEREOF, the parties hereto have executed this Agreement
2 as of the day and year first hereinabove written.
