HomeMy WebLinkAboutAgreement A-16-609 with Public School Districts.pdf12345678910111213141516171819202122232425262728AGREEMENTTHISAGREEMENTismadeandenteredintothisdayof,2016,byandbetweentheCOUNTYOFFRESNO,aPoliticalSubdivisionoftheStateofCalifornia,hereinafterreferredtoas"COUNTY",andeachcontractorlistedinExhibitA,attachedheretoandbythisreferenceincorporatedherein,collectivelyhereinafterreferredtoas“CONTRACTORS”,andsuchadditionalContractorsasmay,fromtimetotimeduringthetermofthisAgreement,beaddedbyCOUNTY.W I T N E S S E T H:WHEREAS,COUNTY,throughitsDepartmentofPublicHealth,ismandatedtofulfilltherequirementsoftheCenterforDiseaseControl(CDC)GrantthroughtheCaliforniaStateDepartmentofPublicHealth(CDPH)forthePublicHealthEmergencyPreparednessProgram,CountyAgreementnumberA-14-602,tooperateOpenPointsofDispensing(POD)medication/vaccinesitesandHealthOfficer’srequirementtoprotectthepopulationofFresnoCountyfrombiologicalthreatsand/orepidemics;andWHEREAS,COUNTY,hasaneedfortheuseoffacilitiesintheeventofaLocalPublicHealthEmergencywheremedications/vaccineswouldneedtobedistributedtoalargeportionofthepopulationinashortamountoftime;andWHEREAS,CONTRACTORShavethefacilitieswiththecapacitytoserveasanOpenPODmedication/vaccinesite;andWHEREAS,CONTRACTORS,arewillingtoprovidetheirfacilities,pursuanttothetermsandconditionsofthisAgreementandtherewillbeasignificantpublicneedforuseofsuchfacilitiesintheeventofaLocalPublicHealthEmergency.NOW,THEREFORE,inconsiderationoftheirmutualcovenantsandconditions,thepartiesheretoagreeasfollows:1.DEFINITIONSA.FEMA:FederalEmergencyManagementAgency.FEMAistheFederalagencythatprovidesfinancialsupportafterapresidentialdisasterdeclarationofemergency.B.FEMAEmergency:“Emergency”underFEMA(42U.S.C.§5122)“meansany
12345678910111213141516171819202122232425262728occasionorinstanceforwhich,inthedeterminationofthePresident,FederalassistanceisneededtosupplementStateandlocaleffortsandcapabilitiestosavelivesandtoprotectpropertyandpublichealthandsafety,ortolessenoravertthethreatofacatastropheinanypartoftheUnitedStates.”C.FEMAMajorDisaster:“MajorDisaster”underFEMA(42U.S.C.§5122)meansanynaturalcatastrophe(includinganyhurricane,tornado,storm,highwater,winddrivenwater,tidalwave,tsunami,earthquake,volcaniceruption,landslide,mudslide,snowstorm,ordrought),or,regardlessofcause,anyfire,flood,orexplosion,inanypartoftheUnitedStates,whichinthedeterminationofthePresidentcausesdamageofsufficientseverityandmagnitudetowarrantmajordisasterassistanceunderthisActtosupplementtheeffortsandavailableresourcesofStates,localgovernments,anddisasterrelieforganizationsinalleviatingthedamage,loss,hardship,orsufferingcausedthereby.”D.FEMAReimbursement:Anymonetaryornon-monetarycompensationFEMAprovidestoCOUNTYforreimbursementoftheoccupancyorrepairof“PODsites”under42U.S.C.5121,etseq.duetoaFEMAEmergencyorFEMAMajorDisaster.E.LocalPublicHealthEmergency:means“thedulyproclaimedexistenceofconditionsofdisasterorofextremeperiltothesafetyofpersonsandpropertywithintheterritoriallimitsofFresnoCounty...causedbysuchconditionsasairpollution,fire,flood,storm,epidemic,riot,drought,suddenandsevereenergyshortage,plantoranimalinfestationordisease,theGovernor’swarningofanearthquakeorvolcanicprediction,oranearthquake,orotherconditions,otherthanconditionsresultingfromalaborcontroversy,whichareorarelikelytobebeyondthecontroloftheservices,personnel,equipment,andfacilitiesofthatpoliticalsubdivisionandrequirethecombinedforcesofotherpoliticalsubdivisionstocombat,orwithrespecttoregulatedenergyutilities,asuddenandsevereenergyshortagerequiresextraordinarymeasuresbeyondtheauthorityvestedintheCaliforniaPublicUtilitiesCommission.”(Gov’tCode,§8558,subd.(d),omission).F.OpenPointsofDispensing(POD)sites:CONTRACTORSsiteswithincertaindesignatedlocationsthroughoutCOUNTYwhereCOUNTYmaydispensemedicationsorvaccinestoalargeportionofthepopulationduringatemporaryperiodoftime.G.Prophylaxis:material,equipmentand/orsuppliesutilizedtopreventadisease.COUNTYOFFRESNOFresno,CA
12345678910111213141516171819202122232425262728H.MedicalCountermeasures:medicineandmedicalsuppliesfromtheFederalStrategicNationalStockpiledistributedtolocalcommunitiesfollowingalargescalepublichealthemergency.I.StateofEmergency:“meansthedulyproclaimedexistenceofconditionsofdisasterorofextremeperiltothesafetyofpersonsandpropertywithinthestatecausedbysuchconditionsasairpollution,fire,flood,storm,epidemic,riot,drought,suddenandsevereenergyshortage,plantoranimalinfestationordisease,theGovernor'swarningofanearthquakeorvolcanicprediction,oranearthquake,orotherconditions,otherthanconditionsresultingfromalaborcontroversyorconditionscausinga"stateofwaremergency,"which,byreasonoftheirmagnitude,areorarelikelytobebeyondthecontroloftheservices,personnel,equipment,andfacilitiesofanysinglecounty,cityandcounty,orcityandrequirethecombinedforcesofamutualaidregionorregionstocombat,orwithrespecttoregulatedenergyutilities,asuddenandsevereenergyshortagerequiresextraordinarymeasuresbeyondtheauthorityvestedintheCaliforniaPublicUtilitiesCommission.”(Gov’tCode,§8558,subd,(b)).2.RESPONSIBILITIESOFCONTRACTORSA.CONTRACTORSshalldesignateandplanforasecurelocationwithinitsfacilitiestoefficientlyreceivedeliveryofmedicalcountermeasurematerialandsuppliesfromCOUNTYandprovidesuchsitemaps/floorplanstoCOUNTY.B.CONTRACTORSshallidentifyinternalresourcesandaid,ifany,inthedevelopmentofplanstosupportthemovementofemergencymedicalcountermeasures,equipmentandsuppliestothedesignatedarea(s)ofthefacility.C.CONTRACTORS’facilitiesshallaccommodatealargenumberofpersons,havesufficientavailableparking,beeasilyaccessibletothepublic,andmaximizetheflowofpersonsseekingmedicalcountermeasures.CONTRACTORS’facilitiesmustprovideadequatespaceforPODsitesthatcontainareastoincludeclientcontact,screening,dispensingofmedication/vaccine,first-aid,staff/volunteerregistration,andmedicalsupplyroom.D.CONTRACTORSshallensuretheymaketheirPODsitesavailableforCOUNTYuseuponCOUNTYprovidingCONTRACTORSwithawrittennoticeofaLocalPublicCOUNTYOFFRESNOFresno,CA
12345678910111213141516171819202122232425262728HealthEmergency.CONTRACTORSwillworkwithCOUNTYtoreviewandassessOpenPODoperationplanstoensurethatCOUNTY’SactivitieswillmeettheneedsoftheLocalPublicHealthEmergencywithminimaldisruptionofCONTRACTORS’normaloperations.InmakingthePODsitesavailabletotheCOUNTY,CONTRACTORSshallpermitCOUNTYtogather,store,provideandmaintainmedicalcountermeasures,equipmentandsupplies,includingofficeequipmentandsupplies(e.g.,tables,chairs,extensioncords,computers,faxmachines,signage).E.CONTRACTORSshallmaintainaccuraterecordsinaccordancewithdisasterregulationsofFEMAandtheStatewithrespecttoanyservicesCONTRACTORSprovide(e.g.,set¬up,operation,clean-up,equipment,supplycosts,and/orwindingdownofaPODsite)toCOUNTY,includingarecordofdamage,ifany,toCONTRACTORSfacilitiesandprovidethoserecordstoCOUNTY,theState,and/orFEMAuponrequest.F.CONTRACTORSshall,each,beresponsibletonotifyCOUNTYwhenachangeintheirfacilitiesorpointofcontacthasoccurred,sothatPODsiteandplanupdatesmaybeimplementedbytheCOUNTY.3.RESPONSIBILITIESOFCOUNTYA.COUNTYshallprovidetoCONTRACTORSplans,protocolsandsupportingdocumentsforactivation,deliveryanddispensingoperationsforOpenPODsites.B.COUNTYwillmeetwiththeCONTRACTORStoreviewOpenPODoperationplans.COUNTYwillnotifyCONTRACTORSofanyStateand/orFederalplanningchangesthatwouldaffectoperationsoftheOpenPODsite(s).C.COUNTYshallberesponsiblefordeterminingaLocalPublicHealthEmergency.COUNTYshallprovidewrittennoticeofaLocalPublicHealthEmergencytoCONTRACTORS,whichshallrequireCONTRACTORStomake,assoonasfeasible,theirPODsitesavailableforCOUNTYtoutilize.D.COUNTYshalloverseeallfunctionsofthePODsitesingathering,storing,providingandmaintainingmedicalcountermeasures.Totheextentfeasible,COUNTYshallmakeeveryefforttominimizeitsinterferencewithCONTRACTORS’businessoperations.E.COUNTYshallberesponsibletoprovideandoverseeCOUNTYmanagers,staffCOUNTYOFFRIiSNOFresno.CA
12345678910111213141516171819202122232425262728andvolunteersinoperatingthePODsitesduringaLocalPublicHealthEmergency.StaffprovidedbyCONTRACTORS,ifany,toassisttheCOUNTYwillgenerallybeonavolunteerbasis.F.COUNTYshallberesponsibleforprovidingsecuritysoitmayconductPODsiteoperationsduringaLocalPublicHealthEmergency.G.COUNTYshallexercisereasonablecareinconductingactivitiesatthePODsitesonCONTRACTORS’facilitiesduringaLocalPublicHealthEmergency.COUNTY,atitssolecostandexpense,shallmaintainthePODsitesinagood,clean,safeandsanitaryconditionduringitsactualuseperiod.COUNTYshallnotusethePODsitesorpermitanythingtobedoneinoraboutthePODsiteswhichwillinanywayconflictwithanylaw,statute,zoningrestriction,ordinanceorgovernmentalruleorregulationorrequirementnowinforcerelatingtooraffectingtheuseoroccupancyofthePODsite.H.COUNTYshallberesponsiblefordeterminingwhenaLocalPublicHealthEmergencyhasceased.Insuchcase,COUNTYshallprovidewrittennotificationoftheendofaLocalPublicHealthEmergencytoCONTRACTORS.SuchnotificationshallrequestfromCONTRACTOR,andCONTRACTORshallprovidetoCOUNTY,areasonableamountoftimetowinddownto:(1)packandmoveoutallprophylaxismaterial,equipmentand/orsupplies,includingofficesuppliesandequipment,fromthePODsites;(2)properlyremovealldebris,waste,andhazardousmaterials(includinganymaterialsorsubstancesdefinedashazardousmaterials,substancesorwaste,ortoxicmaterials,substancesorhazardouswasteasthosetermsorsimilartermsaredefinedbyanyotherfederal,stateorlocallaw,rule,regulation,ordinanceororder)fromtheCONTRACTORS’facilitiesinalegalmanner;(3)returntoCONTRACTORanyotheritemsborrowedfortheLocalPublicHealthEmergency;and(4)repairandrestoreCONTRACTORS’facilitiestosubstantiallythesamerepairaspriortotheLocalPublicHealthEmergency.AftertheCOUNTYhasdemobilizedthePODsites,itshallinformCONTRACTORinwritingofsuchdemobilization.4.RESPONSIBILITIESOFCOUNTYANDCONTRACTORA.COUNTYandCONTRACTORSwillparticipateinmassdispensingdrillsandexercisesatCONTRACTORS’facilitiesasmutuallyagreeduponandrequestedbyeitherparty.COUNTYOFFRESNOFresno,CA
12345678910111213141516171819202122232425262728CONTRACTORSwillbepermittedtoselectatimeanddatetoparticipateinmassdispensingdrillsandexercisesthatwillnotinterferewithbusinessoperations.B.COUNTYandCONTRACTORSshallcomplywithallorders,subpoenas,requests,andregulationsfromtheFederalandStategovernmentwithrespecttovisiting,maintainingandoperatingthePODsites.5.TERMThisAgreementshallbecomeeffectiveuponexecutionandshallterminateonthe31dayofDecember,2017.ThisAgreementshallautomaticallybeextendedfortwo(2)additionaltwelve(12)monthperiodsuponthesametermsandconditionshereinsetforth,unlesswrittennoticeofnonrenewalisgivenbyeitherCONTRACTORSorCOUNTYorCOUNTY’SDPHDirector,ordesignee,notlaterthansixty(60)dayspriortothecloseofthecurrentAgreementterm.Writtennoticeofnon-renewalgivenbyaCONTRACTORtotheCOUNTYshallonlybeeffectiveastotheAgreementinrelationtothatCONTRACTORandshallhavenoeffectontherenewaloftheAgreementwithrespecttoallotherCONTRACTORS.Likewise,noticeofnon-renewalgivenbytheCOUNTYshallonlybeeffectiveastotheAgreementinrelationtotheCONTRACTOR(S)towhomthenoticeisaddressedandshallhavenoeffectontherenewaloftheAgreementwithrespecttoallotherCONTRACTORS.6.TERMINATIONA.Non-AllocationofFunds-ThetermsofthisAgreement,andtheservicestobeprovidedthereunder,arecontingentontheapprovaloffundsbytheappropriatinggovernmentagency.Shouldsufficientfundsnotbeallocated,theservicesprovidedmaybemodified,orthisAgreementterminatedatanytimebygivingCONTRACTORSthirty(30)daysadvancewrittennotice.B.BreachofContract-COUNTYmayimmediatelysuspendorterminatethisAgreementinwholeorinpart,whereinthedeterminationofCOUNTYthereis:1)Anillegalorimproperuseoffunds;2)AfailuretocomplywithanytermofthisAgreement;3)AsubstantiallyincorrectorincompletereportsubmittedtoCOUNTY;COUNTYOFFRESNOFresno,CA
123456789101112131415161718192021222324252627284)Improperlyperformedservice.InnoeventshallanypaymentbyCOUNTYconstituteawaiverbyCOUNTYofanybreachofthisAgreementoranydefaultwhichmaythenexistonthepartofCONTRACTORS.NeithershallsuchpaymentimpairorprejudiceanyremedyavailabletoCOUNTYwithrespecttothebreachordefault.COUNTYshallhavetherighttodemandofCONTRACTORStherepaymenttoCOUNTYofanyfundsdisbursedtoCONTRACTORSunderthisAgreement,whichinthereasonablejudgmentofCOUNTYwerenotexpendedinaccordancewiththetermsofthisAgreement.Uponreceiptofthedemand,CONTRACTORSshallhavethirty(30)daystorespond.IntheeventthatCONTRACTORScontesttheallegationsinthedemand,CONTRACTORSshallprovideCOUNTYwithanaccountingofallfundsreceivedbytheCOUNTY.TotheextentCONTRACTORSareunabletodemonstratetotheCOUNTY’SreasonablesatisfactionthatcertainfundswerenotexpendedinaccordancewiththetermsofthisAgreement,CONTRACTORSshallpromptlyrefundanysuchfundstotheCOUNTY.C.WithoutCause-Undercircumstancesotherthanthosesetforthabove,thisAgreementmaybeterminatedbyCOUNTYuponthegivingofsixty(60)daysadvancewrittennoticeofanintentiontoterminatetoCONTRACTOR(S).TheCOUNTY’SterminationwithoutcausenoticeshallonlybeeffectiveastotheAgreementinrelationtotheCONTRACTOR(S)towhomthenoticeisaddressedandshallhavenoeffectontheterminationoftheAgreementwithrespecttoallotherCONTRACTORS.7.WAIVEROFCOMPENSATIONCONTRACTORSagreetowaivetherighttoreceivecompensationfromCOUNTYsubjecttothetermsandconditionsofthisAgreement.Notwithstandingtheforegoing,CONTRACTORSreservetherighttoseekreimbursementfromtheCOUNTYforexpensesincurredinaccordancewithParagraph8.8.NOTIFICATIONOFSTATEORFEMAREIMBURSEMENTUponaStateofEmergency,FEMAEmergenciesand/orFEMAMajorDisastersthatmayoccurwithintheCOUNTY,FEMAorStatereimbursementmaybeavailabletoreimbursetheCOUNTYforexpenses/damagesincurredduetotheparticularStateofEmergency,FEMACOUN'IYOFFRESNOFresno,CA
12345678910111213141516171819202122232425262728Emergencyand/orFEMAMajorDisaster.(See,generally,PublicLaw100-7007(RobertT.StaffordDisasterReliefandEmergencyAssistanceAct[42U.S.C.5121,etseq.];seealsoGov’tCode,§§8550-8668[CaliforniaEmergencyServicesAct]).StateorFEMAreimbursementmayincludemonetaryornon-monetaryreimbursementforexpensesincurredinutilizingCONTRACTORS’facilitiesthroughouttheCOUNTYduetothecatastrophicevent,ordamagestosuchfacilitiesduetotheFEMAEmergency/MajorDisasterorStateofEmergency,ifany.(Id.)IntheeventCOUNTYisnotifiedofavailabilityforFEMAorStatereimbursementforutilizingCONTRACTORS’facilities,COUNTYwillnotifytheCONTRACTORSinwritingwithin30daysofsuchnotificationfromFEMAortheStateandprovideinstructionsinhowtotenderaclaimforreimbursement.IntheeventtheCOUNTYreceivesinadequateStateorFEMAfundstoreimburseallclaimstenderedbyCONTRACTORS,theCOUNTYshallreimburseeachclaimbasedontheproratashareofavailablefunds.9.INDEPENDENTCONTRACTORInperformanceofthework,duties,andobligationsassumedbyCONTRACTORSunderthisAgreement,itismutuallyunderstoodandagreedthatCONTRACTORS,includinganyandallofCONTRACTORS’officers,agents,andemployeeswillatalltimesbeactingandperformingasindependentcontractors,andshallactinanindependentcapacityandnotasanofficer,agent,servant,employee,jointventurer,partner,orassociateoftheCOUNTY.Furthermore,COUNTYshallhavenorighttocontrolorsuperviseordirectthemannerormethodbywhichCONTRACTORSshallperformtheirworkandfunction.Flowever,COUNTYshallretaintherighttoadministerthisAgreementsoastoverifythatCONTRACTORSareperformingtheirobligationsinaccordancewiththetermsandconditionsthereof.CONTRACTORSandCOUNTYshallcomplywithallapplicableprovisionsoflawandtherulesandregulations,ifany,ofgovernmentalauthoritieshavingjurisdictionovermatterswhicharedirectlyorindirectlythesubjectofthisAgreement.Becauseoftheirstatusasindependentcontractors,CONTRACTORSshallhaveabsolutelynorighttoemploymentrightsandbenefitsavailabletoCOUNTYemployees.CONTRACTORSshallbesolelyliableandresponsibleforprovidingto,oronbehalfof,itsCOUNTYOFFRESNOFresno,CA
12345678910111213141516171819202122232425262728employeesalllegally-requiredemployeebenefits.Inaddition,CONTRACTORSshallbesolelyresponsibleandsaveCOUNTYharmlessfromallmattersrelatingtopaymentofCONTRACTORS’employees,includingcompliancewithSocialSecurity,withholding,andallotherregulationsgoverningsuchmatters.ItisacknowledgedthatduringthetermofthisAgreement,CONTRACTORSmaybeprovidingservicestoothersunrelatedtotheCOUNTYortothisAgreement.10.MODIFICATIONExceptasprovidedforinParagraphTwenty(20)ofthisAgreement,anymattersofthisAgreementmaybemodifiedfromtimetotimebythewrittenconsentofallthepartieswithout,inanyway,affectingtheremainder.Anymodifications,madepursuanttotheaboveprovisions,shallbeeffectiveastotheCONTRACTORSidentifiedinthewrittenmodification,andshallnotalteroraffecttheexistingAgreementbetweenCOUNTY,andtheremainingCONTRACTORS.11.NON-ASSIGNMENTCONTRACTORSshallnotassign,transferorsub-contractthisAgreement,northeirrightsordutiesunderthisAgreement,withoutthepriorwrittenconsentoftheCOUNTY.12-HOLD-HARMLESSEachCONTRACTORagreestoindemnify,save,holdharmless,andatCOUNTY'Srequest,defendtheCOUNTY,itsofficers,agentsandemployeesfromanyandallcostsandexpenses,includingattorneys’feesandcourtcosts,damages,liabilities,claimsandlossesoccurringorresultingtoCOUNTYinconnectionwiththeperformance,orfailuretoperform,bysuchCONTRACTOR,theirofficers,agentsoremployeesunderthisAgreement,andfromanyandallcostsandexpenses,includingattorneys’feesandcourtcosts,damages,liabilities,claimsandlossesoccurringorresultingtoanyperson,firmorcorporationwhomaybeinjuredordamagedbytheperformance,orfailuretoperform,ofsuchCONTRACTOR,theirofficers,agentsoremployeesunderthisAgreement.Inaddition,eachCONTRACTORagreestoindemnifyCOUNTYforFederal,StateofCaliforniaand/orlocalauditexceptionsresultingfromnoncompliancehereinonthepartofsuchCONTRACTOR.ACONTRACTORshallnotbeobligatedtoindemnify,save,holdharmlessanddefendtheCOUNTYwithrespecttotheperformanceorfailuretoperformofanyotherCONTRACTOR,andeachCOUNTYOFFRESNOFresno,CA
12345678910111213141516171819202122232425262728CONTRACTORshallonlybeobligatedtoindemnify,save,holdharmlessanddefendtheCOUNTYtotheextentoftheinsurancecoveragemaintainedbyCONTRACTORincompliancewiththisAgreementandshallhavenoobligationinexcessofsuchinsurancecoverage.COUNTYagreestoindemnify,save,holdharmless,andatCONTRACTOR’Srequest,defendanyCONTRACTOR,theirofficers,agentsandemployeesfromanyandallcostsandexpenses,includingattorneys’feesandcourtcosts,damages,liabilities,claimsandlossesoccurringorresultingtosuchCONTRACTORinconnectionwiththeperformance,orfailuretoperform,bytheCOUNTY,itsofficers,agentsoremployeesunderthisAgreement,andfromanyandallcostsandexpenses,includingattorneys’feesandcourtcosts,damages,liabilities,claimsandlossesoccurringorresultingtoanyperson,firmorcorporationwhomaybeinjuredordamagedbytheperformance,orfailuretoperform,ofCOUNTY,itsofficers,agentsoremployeesunderthisAgreement.Inaddition,COUNTYagreestoindemnifyeachCONTRACTORforFederal,StateofCaliforniaand/orlocalauditexceptionsresultingfromnoncompliancehereinonthepartoftheCOUNTY.COUNTYshallnotbeobligatedtoindemnify,save,holdharmlessanddefendanyCONTRACTORwithrespecttotheperformanceorfailuretoperformofanyotherCONTRACTOR,andCOUNTYshallonlybeobligatedtoindemnify,save,holdharmlessanddefendanytotheextentoftheinsurancecoveragemaintainedbyCOUNTYandshallhavenoobligationinexcessofsuchinsurancecoverage.13.INSURANCEWithoutlimitingtheCOUNTY'SrighttoobtainindemnificationfromCONTRACTORSoranythirdparties,CONTRACTORS,attheirsoleexpense,shallmaintaininfullforceandeffectthefollowinginsurancepoliciesthroughoutthetermofthisAgreement:A.CommercialGeneralLiabilityCommercialGeneralLiabilityInsurancewithlimitsofnotlessthanOneMillionDollars($1,000,000)peroccurrenceandanannualaggregateofTwoMillionDollars($2,000,000).Thispolicyshallbeissuedonaperoccurrencebasis.COUNTYmayrequirespecificcoverageincludingcompletedoperations,productliability,contractualliability,Explosion,Collapse,andUnderground(XCU),firelegalliabilityoranyotherliabilityinsurancedeemednecessarybecauseofthenatureoftheAgreement.B.AutomobileLiabilityComprehensiveAutomobileLiabilityInsurancewithlimitsforbodilyinjuryof10COUNTYOFFRESNOFresno,CA
