HomeMy WebLinkAboutAgreement A-15-323-1 with CSUF Foundation.pdf12345678910111213141516171819202122232425262728AMENDMENTITOAGREEMENTTHISAMENDMENT,hereinafterreferredtoas“Amendment1”,ismadeandenteredintothisdayof,2016,byandbetweentheCOUNTYOFFRESNO,aPoliticalSubdivisionoftheStateofCalifornia,hereinafterreferredtoas“COUNTY”,andCALIFORNIASTATEUNIVERSITY,FRESNOFOUNDATION,aPrivateNon-ProfitOrganization,whoseaddressis4910N.ChestnutAvenue,Fresno,California,93726-1852,hereinafterreferredtoas“CONTRACTOR"(collectivelythe“parties”).WHEREASthepartiesenteredintothatcertainAgreement,identifiedasCOUNTYAgreementNo.A-15-323,effectiveJuly14,2015,hereinafterreferredtoas“Agreement”,wherebyCONTRACTORagreedtoprovidecertainprogramevaluationservicestoCOUNTY’SDepartmentofPublicHealth;andWHEREASthepartiesnowdesiretoamendtheAgreementregardingchangesasstatedbelow.NOW,THEREFORE,inconsiderationoftheirmutualpromises,covenantsandconditions,hereinaftersetforth,thesufficiencyofwhichisherebyacknowledged,thepartiesagreeasfollows:1.ThatthefollowingbeaddedtoexistingCOUNTYAgreementNo.A-15-323,Page4,beginningwithParagraph3,Line18:“Notwithstandingtheabove,changestolineitemsinthebudgetthatdonotexceedtenpercent(10%)ofthemaximumcompensationpayabletotheCONTRACTOR,maybemadewiththewrittenapprovalofCOUNTY’SDepartmentofPublicHealthDirector,ordesignee.SaidbudgetlineitemchangesshallnotresultinanychangetothemaximumcompensationamountpayabletotheCONTRACTOR,asstatedherein.”2.ThatallreferencesinexistingCOUNTYAgreementNo.A-15-323to“ExhibitB”shallbechangedtoread“RevisedExhibitB”,whereappropriate,attachedheretoandincorporatedhereinbyreference.3.ExceptasotherwiseprovidedinthisAmendmentI,allotherprovisionsoftheAgreementremainunchangedandinfullforceandeffect.ThisAmendmentIshallbecomeeffectiveretroactivetoJuly14,2015.4.COUNTYandCONTRACTORagreethatthisAmendmentIissufficienttoamendtheCOUNTYOFFRESNOFresno,CA
