SECOND AMENDMENT TO AGREEMENT 12-540
This SECOND AMENDMENT to AGREEMENT (hereinafter "SECOND
4 AMENDMENT") is made and entered into this ...Qt.h day of December 2016, by and between the
5 COUNTY OF FRESNO, a political subdivision of the State of California , hereinafter referred to as
6 "COUNTY'', and MOTOROLA SOLUTIONS, INC., whose principal address is 7237 Church Ranch
7 Boulevard , Suite 406 , Westminster, CO 80021 , hereinafter referred to as "CONTRACTOR" or
8 "MOTOROLA".
9 WIT N E S S E T H:
10 Whereas , COUNTY and CONTRACTOR entered into Agreement Number 12-540
11 effective October 1, 2011 (here inafter, t he "Agreement") whereby CONTRACTOR agreed to
12 provide hardware and softwa re upgrades to COUNTY's Publ ic Safety Information System
13 ("PSIS ") equipment, as well as ma intenance and support for PSIS; and
14 Whereas , COUNTY and CONTRACTOR Amended Agreement Number 12-540 with
15 AMENDMENT I on April 22 , 2014 after replacing an ex isting server with an upgraded server and
16 increasing maintenance and support costs necessitated by installation of new server; and
17 Whereas , COUNTY and CONTRACTOR now desire to amend the Agreement to
18 extend term and provide for ma intenance and support costs of the current system .
19 Now, therefore , in consideration of their mutual promises , the parties hereto agree to
20 amend the AGREEMENT as follows :

1. Exhibits A-1 , 8 -1, C-1 , D-1 , E and F to the existing Agreement are
replaced , respectively , with Exhibits A-2 , B-2 , A-2 , C-2 , D-2 , E-2 attached
hereto and incorporated herein by reference .
2. Section 3.2 on page 3 of the Agreement is deleted in its entirety and
25 replaced with the following :
26 "The Term of th is Ag reement begins October 1, 2011 (the Start Date) and ends August 31,2018.
27 This Agreement may be terminated for any reason by either party providing written notice of
28 termination to the other not less than t hirty (30) days before each annual anniversary of the Start

Dear Mr. Mikow:
By means of this letter, Motorola Solutions , Inc . he reby extends Fresno County Sheriffs Office
maintenance and support agreement as referenced above. Enclosed is one (1) copy of the updated
Exhibit A-2 Covered Products , Support Options and Pri cing , Exhibit B-2 Customer Support Plan , Ex hibit
C-2 Labor Rates, Exh ib it D-2 Self-Dealing Transaction Disclosure Fonn , and Exh ib it E-2 Memorandum of
Insurance for the period January 1, 2017 th rough August 31, 2018. Pursuan t to Section 3 .2 of the
original agreement as referenced above, all tenns and conditions shall rema in in full force and effect.
Please indicate acceptance of th is extension by sign ing the acceptance block below and returning one
copy to my attention by a-mailing it to christi ne.lay@motorolasolutl ons.com on or before January 1,
2017. Failure to return this fully ex ecuted letter on or before January 1, 2017 will resu lt in a lapse in
maintenance , which w ill be subject to a 10% recertificat ion and reimp lementation fee . If you have any
