HomeMy WebLinkAboutAgreement A-13-575-1 with Promesa Behavioral Health.pdfAgreement No. 13-575-1 1 AMENDMENT I TO AGREEMENT 2 THIS AMENDMENT, hereinafter referred to as "Amendment I", is made and entered into this 3 24th day of May , 201§_, by and between the COUNTY OF FRESNO, a Political Subdivision 4 of the State of California, hereinafter referred to as "COUNTY", and PROMESA BEHAVIORAL 5 HEALTH, a California Corporation, whose service addresses are identified on Exhibit A, attached 6 hereto and incorporated herein by this reference, and remittance address is 7120 N. Marks Ave, Suite 7 # 11 0, hereinafter referred to as "CONTRACTOR." 8 WHEREAS the parties entered into that certain Agreement, identified as COUNTY Agreement 9 No . 13-575, effective September 17, 2013 , hereinafter referred to as the "Agreement", 10 WHEREAS, CONTRACTOR agreed to provide non-drug-Medi-Cal alcohol and substance use 11 disorder treatment services to Fresno County minors between the ages of 12 and 17 years old; and 12 WHEREAS the parties now desire to amend the Agreement regarding changes as stated below 13 and restate the Agreement in its entirety. 14 NOW, THEREFORE, in consideration oftheir mutual promises, covenants and conditions, 15 hereinafter set forth, the sufficiency of which is hereby acknowledged, the parties agree as follows: 16 1. That the existing COUNTY Agreement No. 13-575, Page Eight (8), beginning with 17 Paragraph Eleven (11 ), Line Twenty-Two with the word "Notwithstanding" and ending on Line 18 Twenty-Six (26) with the word "herein." be deleted and the following inserted in its place: 19 "Notwithstanding the above, changes to services as needed to accommodate changes in the law relating 2 0 to mental health and substance use disorder treatment, as set forth in Exhibit C, may be made with the 21 signed written approval of COUNTY's DBH Director or designee and CONTRACTOR through an 2 2 amendment approved by County Counsel and Auditor. Changes to line items in the budget, as set forth 23 in Exhibit C, that do not exceed 10% ofthe maximum compensation payable to the CONTRACTOR, 2 4 may be made with the written approval of COUNTY's Department of Behavioral Health Director, or 2 5 her designee. Changes to the line items in the budget that exceed I 0% of the maximum compensation 2 6 payable to the CONTRACTOR, may be made with the signed written approval of COUNTY's 27 Department of Behavioral Health Director, or her designee through an amendment approved by County 2 8 Counsel and Auditor.
