SECOND AMENDMENT TO AGREEMENT
THIS AMENDMENT NO. TWO to AGREEMENT No. 12-054 (hereinafter “Second
Amendment”) is made and entered into this day of _______, 2016, by and between the
COUNTY OF FRESNO, a political subdivision of the State of California, hereinafter referred to as
"COUNTY", and ACCESS SYSTEMS, a California Corporation, whose address is 4947 Hillsdale
Circle, El Dorado Hills, CA 95762 hereinafter referred to as "CONTRACTOR".
W I T N E S S E T H:
WHEREAS, COUNTY and CONTRACTOR entered into Agreement No. 12-054, dated
January 31, 2012 (hereinafter “Agreement”) pursuant to which CONTRACTOR agreed to provide
services and supplies related to the COUNTY’S Hirsch Access Control System employed
throughout many COUNTY facilities;
WHEREAS, COUNTY and CONTRACTOR entered into a First Amendment to Agreement
(hereinafter “First Amendment”) on October 28, 2014 to increase the maximum compensation
under the Agreement; and
WHEREAS COUNTY and CONTRACTOR now desire to amend the Agreement to further
increase the maximum compensation under the Agreement to address a need for additional
services.
NOW, THEREFORE, COUNTY and CONTRACTOR agree to amend the Agreement as
follows:
The entirety of Section 6 COMPENSATION of the Agreement, as amended, is deleted
and replaced with the following:
“6. COMPENSATION
The COUNTY agrees to pay CONTRACTOR and CONTRACTOR agrees to receive
compensation as quoted in Attachments A & B. Rates for maintenance, repair and service
work labor will be charged as seventy dollars ($70.00) per hour. Travel expense will be
reimbursed at a rate of thirty-five dollars ($35.00) per hour and a daily rate of thirty-five
dollars ($35.00) for per diem. Lodging will be reimbursed at eight dollars ($80.00) per day.
Materials to include hardware and software will be charged at a rate as specified in

Attachment ‘A’ minus twenty-five (25%). In no event shall services performed under this
Agreement be in excess of six hundred seventy-five thousand dollars ($675,000) for the
term of the Agreement, inclusive of renewal periods..”
COUNTY and CONTRACTOR agree this Second Amendment is sufficient to amend
the Agreement, and that upon execution of the Second Amendment, the Agreement, together with
the First Amendment and this Second Amendment shall together be considered the Agreement.
The Agreement, as hereby amended, is ratified and continued. All provisions, terms,
covenants, conditions and promises contained in the Agreement and not amended herein shall
remain in full force and effect.
