1 FIRST AMENDMENT TO THE
2 EMERGENCY MEDICAL SERVICES AGREEMENT
3 This First Amendment to the EMERGENCY MEDICAL SERVICES AGREEMENT is entered into this
4 24th day of May, 2016, by and between the COUNTY OF FRESNO, a political subdivision of the State
5 of California, hereinafter referred to as "COUNTY," and K.W.P.H. ENTERPRISES, a California
6 Corporation, doing business as AMERICAN AMBULANCE, hereinafter referred to as
7 "CONTRACTOR."
8 WITNESSETH:
9 WHEREAS, COUNTY and CONTRACTOR entered into that certain Agreement for Emergency
10 Medical Services (the "Agreement") on or aboutJune 17, 2014, identified as County Agreement No. A-14-
11 346; and
12 WHEREAS, pursuant to the Agreement, CONTRACTOR is the non-exclusive provider of
13 emergency ambulance services in Fresno County Ambulance Zone N, which includes the City of Kerman,
14 and the surrounding unincorporated areas of Fresno County; and
15 WHEREAS, CONTRACTOR and COUNTY desire to continue COUNTY Agreement No. A-14-
16 346 past June 30, 2016 to terminate on December 31, 2017 according to the terms and conditions thereof;
17 and;
18 WHEREAS the parties now desire to amend the Agreement regarding changes as stated below
19 and restate the Agreement in its entirety .
2 0 IT IS, THEREFORE, agreed by and between the patties as follows:
21 That the existing COUNTY Agreement No. A-14-346, Page Ten (1 0), beginning with Paragraph
22 Thirteen (13), Line Eleven (11) with the number "13" and ending on Page Ten (1 0), Line Thirteen (13)
2 3 with the word "20 16" be deleted and the following inserted in its place:
"13. TERM OF AGREEMENT 24
25 A. This Agreement shall become effective on the 1st day of July, 20 I 4, and shall
2 6 terminate on the 30th day of June, 2016. Upon the mutual written agreement of the parties hereto, this
2 7 Agreement may be extended beyond that date .
28 B. This Agreement will automatically renew from the 151 day of July, 2016 through the

1 31 st of December, 2017"
2 3. Except as otherwise provided in this Amendment I Emergency Medical Services , all
3 other provisions of the Agreement remain unchanged and in fu ll force and effect. This First
4 Amendment shall become effective upon execution.
5 4. COUNTY and CONTRACTOR agree that this First Amendment is sufficient to amend
6 Agreement No . A -14-346 and together with the Amendment shall be considered the Agreement.
