HomeMy WebLinkAboutAgreement A-16-069 with Children & Families Commission of Fresno.pdfAgreement No. 16-069 County of Fresno Department of Public Health (Community Health & Maternal, Child and Adolescent Health) Department of Behavioral Health Contract #1 01516-1372 Community Learning Center Partnership COMMUNITY LEARNING CENTER (CLC) PARTNERSHIP AGREEMENT THIS COMMUNITY LEARNING CENTER PARTNERSHIP AGREEMENT (this "Agreement"} is made and entered into this February 91h, 2016 (the "Effective Date"), by and between the CHILDREN & FAMILIES COMMISSION OF FRESNO COUNTY, a California public entity established in accordance with the California Children and Families Act of 1998 (the "Commission''), and the County of Fresno, a Political Subdivision of the State of California ("County"). The Commission and County are collectively referred to herein as the "Parties" or singularly by their individual names or as a "Party." RECITALS: A. The Commission is an independent governmental agency formed pursuant to California Health & Safety Code section 1301 00 et seq. B. The Commission is working with Lighthouse For Children, rnc., a California public benefit corporation, to operate a building located in the northwest corner of Tulare and "0" streets in Downtown Fresno (the 11 Facility"). The Facility houses, among other things, a Community Learning Center (the "CLC") that will feature various public entities and community benefit organizations providing services to children aged 0-5 and their families. The Commission is the master tenant of the Facility. C. County provides services as collaborative partner Agencies to families with children ages 0-5 aligned with the Commission's focus areas known as the "Continuum of Care" and supports the lead agency partner to serve as a demonstration site for professional learning exchange on best practices of integrated care and desires to provide the services at the CLC as described in Exhibit ''A,'' attached hereto and incorporated herein by this reference (the "Services"). D. The Parties desire to enter into this Agreement, whereby the Commission will allocate a certain amount of space (the "CLC Space") for County to use nonexclusively to provide the Services on those days and times specified in the Exhibit "A." As part of the Agreement, County agrees to abide by all the requirements in the CLC Partnership Guide which is incorporated herein by this reference, and which will be provided to County separately. In consideration for County providing the Services, the Commission shall not charge County for the use of the CLC Space. The Parties agree that, as a result of the partnership described herein, the total value of the leveraged resources from this Agreement is incorporated into Exhibit "A." NOW, THEREFORE, in consideration of the recitals set forth above, which are hereby incorporated by this reference, and the mutual promises contained herein, the receipt and adequacy of which is hereby acknowledged, the Parties agree as follows: ARTICLE I THE CLC SPACE 1.1 Use of the Facility. The Commission authorizes County the nonexclusive right to use that portion of the CLC Space specified in Exhibit "A." County's use of the Space shall be nonexclusive and other Commission partners may use the CLC Space on alternative days or hours and may share a portion of the CLC Space. The Commission makes no representation as to the availability of the specific CLC Space and may occasionally require, at its own election, to have County use difference space within the CLC. 1.2 Use of the Common Areas.
