3 THIS AGREEMENT is made and entered into this 1ih day of November, 2015, by
4 and between the COUNTY OF FRESNO, a Political Subdivision of the State of California,
5 hereinafter referred to as "COUNTY", and Northwest Capital Management, Inc. dba Heintzberger-
6 Payne Advisors, whose address is 12550 SW 681h Ave Portland, OR 97223, hereinafter referred to
7 as "CONTRACTOR".
8 WHEREAS, the COUNTY intends to maintain the "County of Fresno 457(b)
9 Deferred Compensation Plan", hereinafter referred to as "Deferred Compensation Plan", for its
10 eligible employees in accordance with Section 457 of the Internal Revenue Code for the purpose
11 of providing certain benefits to its employees, and;
12 WHEREAS, the COUNTY desires to contract for consultation services as
13 described in Request for Proposals number 964-5342, and;
14 WHEREAS, CONTRACTOR has demonstrated their ability to provide such
15 consultation services in their response to Request for Proposals number 964-5342.
16 NOW, THEREFORE, it is agreed as follows:
17 COUNTY hereby engages CONTRACTOR, and CONTRACTOR hereby
18 accepts such engagement, to perform those services specified in this Agreement required in
19 connection with the Deferred Compensation Plan consultation services under the terms and
20 subject to conditions provided in the Agreement.
21 1. OBLIGATIONS OF THE CONTRACTOR
22 A. Basic Services
23 CONTRACTOR shall provide the following consultation services, as described
24 in Request for Proposals number 964-5342 (including all Addendums thereto) attached hereto as
25 Exhibit A and incorporated herein by reference and CONTRACTOR'S Response to Request for
26 Proposals number 964-5342, attached hereto as Exhibit B and incorporated by reference,
27 (hereinafter collectively referred to as "the RFP and Response"):
28 1) Provide Investment Oversight, including:
