TITLE AND ESCROW AGREEMENT 1

3 THIS AGREEMENT is made and entered into this l_?+b day of OC Ji>beY"' , 2015,
4 by and between the COUNTY OF FRESNO, a Political Subdivision of the State of California,
5 hereinafter referred to as the "COUNTY'', and Fidelity National Title Company, a California
6 corporation, whose address is 7 475 N Palm Avenue, Suite 101, Fresno CA 93711, hereinafter
7 referred to as the "COMPANY".
8 WIT N E S S E T H:
9 WHEREAS, the COUNTY'S Department of Public Works and Planning desires to acquire
1 0 Litigation Guarantees, Escrow Services, and Title Insurance Policies for parcels to be acquired for
11 various projects that may arise from time to time; and
12 WHEREAS, the COMPANY represents that it is able to provide Litigation Guarantees,
13 Escrow Services and Title Insurance Policies, and is willing to provide them subject to the terms
14 and conditions of this AGREEMENT.
15 NOW, THEREFORE, in consideration of the covenants and conditions of the parties
16 hereinafter expressed, it is agreed as follows:
17 1. DEFINITIONS
18 A. The word "Report(s)" used herein shall mean Litigation Guarantee(s) as
19 currently defined by the California Land Title Association.
20 B. "Escrow Service(s)" shall mean those services which facilitate a transfer of
21 an interest in real property and in which documents and funds are delivered by the COUNTY to
22 ttte COMPANY as escrow holder, pursuant to specific escrow instructions from the COUNTY.
23 C. "Title Insurance Policy" shall mean the California Land Title Association
24 standard coverage policy (current form).
25 D. "Updated Report(s)" shall refer to any Report, as defined herein,
26 originally issued to the COUNTY pursuant to this AGREEMENT and which is then re-issued in
27 an updated form and which covers the same property as described in the original Report.

1 IN WITNESS WHEREOF, the parties hereto have executed this Agreement as of the
2 day and year first hereinabove written.
