Approval of the recommended action will add a program fee of$2,500 for the recruitment and placement of three interns by Health Care Connection (HCC). The students would be in theirjunior and senior year in college and would acquire practical knowledge in health care management through a 10-week summer internship program with the Department of Behavioral Health. Department senior management will supervise the interns. This item is countywide. ALTERNATIVE ACTION(S): There is no viable alternative action. If this item is not approved, the County will be out of compliance with Title IV of the Civil Rights Act of 1964 (42 U.S.C. et seq.; 45 Code of Federal Regulations (CFR), Section 80.1 et seq.; and 28 CFR Sections 42.101-42.112)and Executive Order 13166, which requires recipients of Federal funding to provide LEP persons with meaningful access to government services. FISCAL IMPACT: There is no increase in Net County Cost associated with the recommended action. Costs for the program are funded by Mental Health Services Act-Workforce Education and Training. Sufficient appropriations and estimated revenues will be included in the Department's FY 2021-22 Recommended Budget and included in subsequent budget requests for the duration of the agreement. DISCUSSION: HCC is a national non-profit organization that recruits, screen, finds, and funds internship placements for college students within health care organizations. HCC refers up to three interns annually for the summer internship program. On June 18, 2019, your Board approved Agreement No. 19-291 with HCC for a health care management student internship program for five consecutive years, which included a three-year base contract and two optional one-year extensions at no cost. The agreement was to provide health care management experience County of Fresno page 1 File Number.21-0628 File Number:21-0628 for students (interns), from various colleges and universities through the Department of Public Health. On June 23, 2020, your Board approved Amendment I, retroactive to June 1, 2020, to add a ten-week summer college health care management internship program (internship program)for the Department of Behavioral Health. The program sought partnerships with other organizations to provide health care management experience to interns from various colleges and universities. The internship experience was to be provided at facilities operated by the Departments of Public Health and Behavioral Health with experienced staff who can provide preceptorship and close supervision. The amendment modified the Employment Relationship, added an Agreement and Release of Liability to be completed by the interns, and added liability and indemnity requirements. The recommended amendment will amend the Compensation/Invoicing language to add a program fee for placement of three interns, providing more students the opportunity to learn about the discipline of Behavioral Health. The fee covers the cost of the intern's educational stipend, the recruitment, screening, and initial interviews of students, setting up host partner interviews, and final placement of candidates. With your Board's approval, interns will continue to provide health education support and planning educational meetings, events, and trainings. In addition, interns will provide support with community outreach and in developing, collecting and analyzing survey data. De La Rosa County of Fresno page 2 File Number.21-0628 Agreement No. 19-291-2 1 AMENDMENT II TO AGREEMENT 2 THIS AMENDMENT, hereinafter referred to as "Amendment II", is made and entered into this 3 10th day of August , by and between the COUNTY OF FRESNO, a Political Subdivision of the 4 State of California, hereinafter referred to as "COUNTY", and HEALTH CAREER CONNECTION, a 5 California Non-Profit Organization, whose address is 300 Frank H. Ogawa Plaza, Suite 243, Oakland, 6 California, 94612, hereinafter referred to as "CONTRACTOR" (collectively the "parties"). 7 WHEREAS the parties entered into that certain Agreement, identified as COUNTY Agreement 8 No. 19-291, effective June 18, 2019, and Agreement No. 19-291-1, effective June 23, 2020, 9 hereinafter collectively referred to as "Agreement", whereby CONTRACTOR agreed to provide health 10 care management experience for students, hereinafter referred to as "Interns", from various colleges 11 and universities; and 12 WHEREAS the parties now desire to amend the Agreement regarding changes as stated 13 below and restate the Agreement in its entirety. 14 NOW, THEREFORE, in consideration of their mutual promises, covenants and conditions, 15 hereinafter set forth, the sufficiency of which is hereby acknowledged, the parties agree as follows: 16 1. That the existing COUNTY Agreement No. 19-291, Page six (6), Line seven (7), 17 beginning with the word "COMPENSATION" and ending on Page six (6), Line ten (10)with the word 18 "other" be deleted and the following inserted in its place: 19 " COMPENSATION/INVOICING 20 The COUNTY agrees to pay CONTRACTOR Two Thousand Five Hundred, and 21 No/100 Dollars ($2,500.00) as the Program Fee for the placement of three interns ("Program Fee"), 22 payable within forty-five (45) days of receipt of invoice. The Program Fee covers the cost of the 23 Intern's educational stipend, the CONTRACTOR's recruitment, screening and initial interviews of 24 students, setting up host partner interviews, and final placement of candidates. The Program Fee 25 also covers CONTRACTOR's management and delivery of CONTRACTOR's comprehensive 26 summer educational program activities for the interns, such as but not limited to orientation sessions, 27 educational and professional development workshops, graduate education workshops, mentorship 28 and networking events, career planning activities and a closing luncheon/graduation session for all - 1 - COUNTY OF FRESNO Fresno, CA 1 interns and their preceptors. That the existing COUNTY Agreement No. 19-291, Page eight (8), Line seven (7), 3 beginning with the word "Commercial' and ending on Page eight (8), Line eleven (11)with the word 4 "contract' be deleted and the following inserted in its place: 5 "Commercial General Liability Insurance with limits of not less than Two Million Dollars 6 ($2,000,000.00) per occurrence and an annual aggregate of Four Million Dollars ($4,000,000.00). This 7 policy shall be issued on a per occurrence basis. COUNTY may require specific coverages including 8 completed operations, products liability, contractual liability, Explosion-Collapse-Underground, fire 9 legal liability or any other liability insurance deemed necessary because of the nature of this contract. 10 In the event the CONTRACTOR purchases an Umbrella or Excess insurance policy(ies) to meet the 11 "Minimum Limits of Insurance," this insurance policy(ies) shall "follow form" and afford no less 12 coverage than the primary insurance policy(ies). In addition, such Umbrella or Excess insurance 13 policy(ies) shall also apply on a primary and non-contributory basis for the benefit of the COUNTY, its 14 officers, officials, employees, agents and volunteers." 15 COUNTY and CONTRACTOR agree that this Amendment is sufficient to amend the 16 Agreement and, that upon execution of this Amendment, the Agreement, Amendment I and this 17 Amendment II together shall be considered the Agreement. 18 The parties agree that this Amendment may be executed by electronic signature as provided in 19 this section. An "electronic signature" means any symbol or process intended by an individual signing 20 this Amendment to represent their signature, including but not limited to (1) a digital signature; (2) a 21 faxed version of an original handwritten signature; or (3) an electronically scanned and transmitted (for 22 example by PDF document) of a handwritten signature. Each electronic signature affixed or attached 23 to this Amendment (1) is deemed equivalent to a valid original handwritten signature of the person 24 signing this Amendment for all purposes, including but not limited to evidentiary proof in any 25 administrative or judicial proceeding, and (2) has the same force and effect as the valid original 26 handwritten signature of that person. The provisions of this section satisfy the requirements of Civil 27 Code section 1633.5, subdivision (b), in the Uniform Electronic Transaction Act (Civil Code, Division 3, 28 Part 2, Title 2.5, beginning with section 1633.1). Each party using a digital signature represents that it - 2 - COUNTY OF FRESNO Fresno, CA 1 has undertaken and satisfied the requirements of Government Code section 16.5, subdivision (a), 2 paragraphs (1) through (5), and agrees that each other party may rely upon that representation. This 3 Amendment is not conditioned upon the parties conducting the transactions under it by electronic 4 means and either party may sign this Amendment with an original handwritten signature. 5 The Agreement, as hereby amended, is ratified and continued.
