AGT. # 15-112 CVP-2126 Contract Number 13-LC-20-0365 Indexes 7, 8, 19/Units 9, 10, 15, 20 LND-09-02A (Winchell Cove Phase Two) UNITED STATES DEPARTMENT OF THE INTERIOR BUREAU OF RECLAMATION Friant Division, Central Valley Project LICENSE TO CONSTRUCT, OPERATE AND MAINTAIN FACILITIES ON RECLAMATION LAND THIS LICENSE is given this day of , 2015, in pursuance of the Act of June 17, 1902 (32 Stat. 388) and Acts amendatory thereof or supplementary thereto, by THE UNITED STATES OF AMERICA, acting by and through its Bureau of Reclamation, Department of the Interior, represented by the duly authorized officer executing this License to: COUNTY OF FRESNO Department of Public Works and Planning 2220 Tulare Street, Sixth Floor Fresno, California 93721 Telephone: (559) 262-4078 hereinafter styled the "Licensee." RECITALS: The United States, Bureau of Reclamation (Reclamation), acquired certain lands for Millerton Lake and Friant Dam (Millerton Reservoir) in connection with the Friant Division, Central Valley Project, in Fresno and Madera counties, California; and The Millerton Lake State Recreation Area is located on Reclamation's right of way for Millerton Reservoir; and The State of California, Department of Parks and Recreation (State Parks), through a contract with Reclamation, is responsible for the management of Millerton Reservoir; and In 2009, Reclamation renewed an existing License to allow the Licensee to perform Phase One of their Fresno County Service Area 34 Winchell Cove Pumps and Pipeline Improvement Project (Project). Phase One provided for the continued operation and maintenance of an existing buried twelve-inch (12") water transmission main and appurtenances, the replacement of two existing pumps, the installation of two new pumps, and the installation of an emergency water main connection; and Contract No. 13-LC-20-0365 LND-09-02A Page 1 of 8 The Licensee has requested permission,in writing,to begin Phase Two of the Project.Phase Two will include the construction,operation and maintenance ofa second buried water pipeline and appurtenances (Phase Two Facilities)on Reclamation's right of way for Millerton Reservoir, within a portion of Sections 3 and 10,of Township 11S,Range 2IE,M.D.B.&M.,in the County of Fresno,extending from the Winchell Cove pump station,to run parallel with the existing water transmission main along Winchell Cove Road,and end north of Millerton Road,as shown on "Exhibit A,"attached and made a part hereof; therefore IT IS AGREED: 1.Reclamation does,through the duly authorized officer executing this License,hereby consent to the Licensee's request to construct,operate and maintainthe above-described Phase Two Facilities subject to the terms and conditions herein written. 2.This permission given herein will neither constitute nor be construed as any surrender of the jurisdiction and supervision of Reclamation over the lands described herein. 3. This License is personal,revocable,and non-transferable and unless otherwise sooner terminated,will continue for twenty-five (25)years.Itis the responsibility of the Licensee to request renewal prior to the expiration of this License. 4. The land use fees for the License granted herein are waived in accordance with43 CFR Part 429,Subpart F (429.26(a)(4).In accordance with 43 CFR Part 429,Subpart D (429.16- 429.22),the Licensee shall be responsible for all administrative fees incurred by Reclamation in processing,issuing,and monitoring this License.After this License is issued,periodic field reviews will be conducted to monitor the use to ensure itis in compliance with the provisions of this License. 5. The Licensee,upon termination and/or expiration of this License,will remove the Phase Two Facilities erected for the purposes contained herein.The Licensee will leave the site(s)ina condition satisfactory to Reclamation and State Parks.If the Licensee fails to comply within a reasonable time, Reclamation reserves the right to correct such deficiencies and the Licensee agrees to reimburse Reclamation for any and all costs incurred in connection with the correction of said deficiencies. 6. TheLicenseeherebyagreesto indemnify andhold harmless Reclamation,State Parks, their agents,employees,and assigns,from any loss or damage and from any liability on account of personal injury,death,or property damage,or claims for personal injury,death,or property damage of any nature whatsoever andby whomsoever made arising outof the Licensee's activities under this License. 7. Reclamation, by issuance of this License,herebydisclaims that any water is available to the Licensee. Any water supply and/or agreements are separatefrom this License. Contract No.13-LC-20-0365 LND-09-02A Page 2 of 8 8. The Licensee agrees to not allow other individuals or entities the use of, or access to, the Phase Two Facilities licensed herein without the prior written consent of Reclamation and State Parks. 9. Access to Millerton Reservoir by the Licensee and their contractor(s)and subcontractor(s)forthe purpose of exercising the Licensee's rights and responsibilities hereunder is restricted tothe immediate vicinity of Winchell Cove,a portion of Millerton Reservoir,described in Article 1,above. 10.The Licensee will maintain the Phase Two Facilities ingood condition.Failure tocorrect problems after being advised of them may lead to License revocation. All maintenance work will be accomplished under the supervision of and to the satisfaction of Reclamation and State Parks and at the expense of the Licensee. 11.The Licensee will contactMr.Kent Gresham.San Joaquin Sector Superintendent,State Parks,at 559-822-2332.extension 107,and Mr. Ed Salazar,Civil Engineer.Reclamation,at 559- 487-5257. at least forty-eight (48) hours prior to the commencement of construction activities. 12.The Licensee will not make any extension or alteration of the Phase Two Facilities licensed herein without the prior written concurrence of Reclamation and State Parks. 13.Damage to the Reclamation property, including but not limited to Millerton Reservoir, service roads,access roads,culvert crossings,fences,gatesandposts resulting from the Licensee's exercise of the privileges authorized bythis License will be corrected promptly at the Licensee's expense to the satisfaction of Reclamation and State Parks. No waste will be left on Reclamation right-of-way. 14.All construction work to be performed shall be accomplished to the satisfaction of the United States and State Parks, by and at the expense of the Licensee, and the Licensee shall be in full accordance with,but not limited to, the previously submitted and approved plans and specifications entitled,"Countyof Fresno,CountyServiceArea34.Winchell Cove Pipeline Project,"prepared byor underthe direction of DavidT.Jacobs,Project Engineer,Registered Civil Engineer.R.C.E.No.48339,Exp.06-30-2016.Job No.090131,Quad Knopf,Inc.,Sheets 1-15,datedJanuary 6.2015,as shownon "Exhibit B." attachedand madea part hereof. All work associated with the Phase Two Facilities must be coordinated with Reclamation and State Parksand any changes to the approved plans must be submittedin writingfor prior approval by Reclamation and State Parks. Any changes to Phase Two Facilities construction requirements in subsequent addendums, modifications, change orders, or items agreed to in construction meeting(s) which have the potential to adversely affect Reclamation facilities will besubmittedto and acceptedby Reclamation and State Parks and, upon acceptance,are hereby included and made a part hereof.Copies of all changes to Phase Two Facilities construction requirements will be provided to Reclamation and State Parks within five (5) days of their issuance. Contract No.13-LC-20-0365 LND-09-02A Page 3 of 8 All State Park facilities,including access roads, shall remain open to the public during construction. The Phase Two Facilities shall be constructed in a manner and condition that will protect all structures,facilities and resources from damage;ensure unrestricted flow and quality of water in the facilities at their present designed capacity;not diminish the ability of Reclamation or State Parks to own, operate and maintain the facilities,including access; protect and provide for the unrestricted use of any Reclamation easement,be it for roads,telephone/communications lines, flood and flowage easements,canals,pipelines,gauging stations,or any other purpose;and prevent an unreasonable burden of liability. Upon completion, the Phase Two Facilities shall be inspected by Reclamation or by its authorized representative and the Licensee will be notified in writing of the approval or disapproval thereof. In case of disapproval, the Licensee shall be advised of the corrective action required before the Phase Two Facilities will be approved. Should modification(s) related to the design for the Phase Two Facilities become necessary or beneficial during construction, the request for a modification will be reviewed by Reclamation and State Parks to ensure it is compatiblewiththe approveddesign. The Licenseewill be responsiblefor the costs associated with modification(s).The Licensee and/or its contractor are responsible for construction and contract management. The Licensee will determine, subject to Reclamation and State Parks approval, whether the contract can be amended to include any such proposed modification(s). 15. The Licensee shall maintain in force,for the term of the License,policies of liability insurance or proof of self-insurance, providing limits of not less than SI .000.000 for each person/occurrence and S2.000.000 aggregate for bodily injuryor death,and not less than SI .000.000 for property damage. Said policies shall name Reclamation and Slate Parks as additional insureds and shall provide thai they will not be canceled or reduced in coverage without ten (10)days prior notice from the Licensee to Reclamation and State Parks.Prior to commencement of said construction,the Licensee shall cause to be delivered to Reclamation and State Parks a copy of the Certificate of Insurance reflecting all essential coverage and the above Contract No.13-LC-20-0365 to identify this project. 16.If a contractor is hired to perform any work associated with this License, the contractor will maintain inforce policiesof liabilityinsurancewith the coverage and stipulationsin the above Article and will name Reclamation and State Parks as additional insureds.If a contractor is hired, the Licensee will familiarize the contractor(s)with the provisions and requirements contained in this License and will cause to be delivered to Reclamation and State Parks a copy of the Certificate of Insurance reflecting all essential coverage with the above Contract No.13-LC- 20-0365 provided in the Description portion to identify this project. 17.Cultural Resources Protection.The Licensee will immediately provide an oral notification to Reclamation's and State Park's authorized official of the discovery of any and all antiquities orother objects of cultural,historic,or scientific interest on Reclamation lands.The Licensee will forward a written report of its findings to Reclamation's and State Park's authorized official within forty-eight (48)hours. Contract No.13-LC-20-0365 LND-09-02A Page 4 of 8 Protective and mitigative measures specified by Reclamation's and State Park's authorized official will be the responsibility of the Licensee. 18.Discovery of Human Remains:The Licensee will immediately provide an oral notification to Reclamation's and State Park's authorized official of the discovery of human remains on Reclamation land.The Licensee will forward a written report of its findings to Reclamation's and State Park's authorized official within forty-eight (48)hours by certified mail. The Licensee will cease activity,stabilize,and protect such discoveries until authorized to proceed by the Regional Archaeologist for Reclamation (916-978-5041).Protective and mitigative measures specified by the Regional Archaeologist will be the responsibility of the Licensee. 19.The Licensee will comply with all applicable water,ground,and air pollution laws and regulations of Reclamation,the State of California and local authorities.In addition,the Licensee will comply with the following hazardous materials restrictions: (a)The Licensee will comply with all applicable Federal,State,and local laws and regulations,and Reclamation policies and instructions,existing or hereafter enacted or promulgated,concerning any hazardous material that will be used,produced,transported,stored or disposed of on or in lands,waters or facilities owned by the United States or administered by Reclamation. (b)"Hazardous material"means any substance,pollutant or contaminant listed as hazardous under the Comprehensive Environmental Response,Compensation,and Liability Act of 1980, as amended,42 U.S.C.9601,et seq.,and the regulations promulgated pursuant to that Act. (c) The Licensee may not allow contamination of lands, waters or facilities owned by the United States or administered by Reclamation by hazardous materials,thermal pollution,refuse, garbage,sewage effluent,industrial waste,petroleum products,mine tailings,mineral salts, pesticides (including,but not limited to, the misuse of pesticides),pesticide containers or any other pollutants. (d) The Licensee will report to Reclamation and State Parks, within twenty-four (24) hours of its occurrence,any event which may or does result in pollution or contamination adversely affecting lands, water or facilities owned by the United States or administered by Reclamation. (e)Violation of any of the provisions of this Article will constitute grounds for immediate termination of this contract and will make the Licensee liable for the cost of full and complete remediation and/or restoration of any Federal resources or facilities that are adversely affected as a result of violation. (f) The Licensee agrees to include the provision contained in paragraphs (a) through (e) of this Article in any subcontract or third party contract it may enter into pursuant to this License. Contract No.13-LC-20-0365 LND-09-02A Page 5 of 8 (f) The Licensee agrees to include the provision contained in paragraphs (a) through (e) of this Article in any subcontract or third party contract it may enter into pursuant to this License. (g) Reclamation agrees to provide information necessary for the Licensee, using reasonable diligence,to comply with the provisions of this Article. 20.Environmental Commitments.Environmental commitments have been identified for this projectand are listed in the Environmental CommitmentTable (ECT), hereby incorporated into this License as "Exhibit C." The Licensee shall comply with all environmental commitments as specified therein. Any questions or comments regarding the ECT should be directed to Reclamation's Supervisory Natural Resource Specialist at (559)487-5196. 21.This License is granted subject to the existing rights in favor of the public or third parties for highways,roads,railroads, telegraph, telephone and electrical transmission lines,canals, laterals,ditches, flumes, siphons, and pipelines on.over,and across said land. 22. This License may be revoked by Reclamation upon fifteen (15)days written notice to the Licensee if: (a) The Licensee's use of the land interferes with existing or proposed facilities of the United States and/or State Parks;or (b) The land contained in the License is needed for any Reclamation purpose;or (c) Reclamation disposes of its interest in the land contained in this License; or (d) The Licensee fails to comply with any other terms or conditions of this License. 23.Any activity deemed to be illegal on Federal landswillbecausefor immediate termination of this License. 24. This License will terminate and all rights of the Licensee hereunder will cease, and the Licensee will quietly deliverto the United States possession of the premises inlike condition as when taken,reasonable wear and damage by the elements excepted: (a) At the expiration of the term as provided by Article 3; or (b) On the date of execution first above written, of any year, upon written notice to the Licensee served thirty (30) days in advance thereof; or (c) After failure of the Licensee to observe any of the conditions of this License and on the tenth (10th)day following service of written notice on the Licensee of termination because of failure to observe such condition. The notices provided by this Article will be served by certified mail addressed to the Licensee's respective post office address as shown on Page 1 and the mailing of any such notice properly enclosed,addressed,stamped,and certified,will be considered service. 26.Severability.Each provision of this License will be interpreted in such a manner as to be valid under applicable law, but if any provision of this License will be deemed or determined by competent authority to be invalid or prohibited hereunder,such provision will be ineffective and void only to the extent of such invalidity or prohibition,but will not be deemed ineffective or invalid as to the remainder of such provision or any other remaining provisions,or of the use authorization as a whole. 27.Officials Not To Benefit.No Member of Congress will be admitted to any share or part of this License or to any benefit that may arise herefrom,but this restriction will not be construed to extend to this License if made with a corporation or company for its general benefit. 28.The Licensee warrants that no person or agency has been employed or retained to solicit or secure this License upon an agreement or understanding for a commission,percentage, brokerage,or contingent fee except bona fide employees and bona fide commercial agencies maintained by the Licensee for the purpose of securing business.For breach or violation of this warranty,Reclamation will have the right to revoke this License without liability or in its discretion to require the Licensee to pay the full amount of such commission,percentage, brokerage,or contingency fee to the United States. Environmental Document:EA/IS-10-045 On January 14,2011 the President's Council on Environmental Quality (CEQ)issued guidance for Federal agencies to implement,monitor and evaluate environmental commitments identified in Environmental Assessments and Environmental Impact Statements completed for compliance with the National Environmental Policy Act (NEPA).This guidance also pertains to Categorical Exclusions when environmental commitments have been identified in order to meet the requirements for exclusion. GS-1:Toeliminate potential impacts resulting from excessive erosion and lossof topsoil,the project proponent shall comply with the NPDES Construction General Permit, including implementation of appropriate erosion and sediment control measures.Compliance with the General Permit requires developing a site specific SWPPP that shall identify the location oftemporaryerosion control features necessary todirectand filter stormwater runoff duringconstruction activities.
