Re: FINAL MILESTONE PAYMENT FOR PHASE TWO OF THE MAPPOINT APPLICATION
Hello Michael and Mee,
Thank you again for your time earlier this week. It was a pleasure seeing you both and catching up
on where we collectively are with the application. It is exciting to be at this stage after everyone’s
hard work and we are truly grateful for your efforts to bring us here.
Per our conversation I would like to provide the following summary of what we discussed and,
through the full execution of this document, Shift3 Technologies adherence to the following terms:
1. “Break the Glass” - As defined on page 2 of Exhibit B of Agreement Number 16-692, the
application is to feature a “Break the Glass” role-based access point for law enforcement
in the event of exigent circumstances. As the exact use case and parameters of this
particular feature are not definable in the immediate future, both Shift3 Technologies
(“Shift3”) and Fresno County Department of Behavioral Health (“DBH”) agree that this delay
will not affect the final milestone payment with the understanding that when the exact use
case and parameters are determined by DBH and their partners in law enforcement, Shift3
will develop the feature at that time in adherence to the original agreement.
2. “Reporting Capability” – As defined on page 4 of Exhibit B of Agreement Number 16-692,
Shift3 has proposed to deliver up to ten (10) custom reports and defined by DBH. Since
contract execution, DBH has determined that a more practical solution to the reporting
function is the integration of a third party reporting software, i.e., Tableau, rendering the
ten custom reports obsolete. As such, Shift3 and DBH agree that this delay will not affect

the final milestone payment with the understanding that should DBH request these ten
reports at a later date, Shift3 will provide them.
3.Current State of the Application and “Hot Fixes”: The items listed below have been fixed
and are waiting to be pushed to DBH sandbox to be tested:
a.We are resolving the issues with the deletion of locations which caused the clients
to become unassociated from Action Plan and Survey results
b.Fixed scrolling issue with client view
c.Created the ability for Mappoint admins to inactivate clients. They are not deleted
just made inactive and can be reactivated at anytime.
d.Added the option of other to the document types
e.Requested the file upload size be increased to 20mb by ISD.
f.Requested the MongoDB be upgraded to 3.4.11.
We sincerely hope that this document provides a clear path forward in our partnership on this
project and we look forward to continued success together.

By approving this proposal, Client is expressly approving this Agreement. Upon approval, the above proposal shall
become subject to this Agreement pursuant to Section IV of this Agreement, and the express scope of work for the
subject work. This Agreement shall serve as the governing document for subject transactions between Client and
Shift3, with all subsequent approved proposals and scopes of work becoming subject to this Agreement as other
and further addenda.
Signatory for Client warrants that they have read and understand the terms and conditions of this Agreement, and
any Attachments or Addendums, and have sought the advice of legal counsel if they were in doubt about any of the
terms and conditions, thus waiving their rights of the non-constructing party. Signatory for Client warrants that they
are authorized by Client to sign this Agreement on behalf of Client, and will be personally liable if not so authorized
by Client.
