FIRST AMENDMENT TO AGREEMENT

THIS FIRST AMENDMENT TO AGREEMENT ("Amendment") is made and entered into this
_1.....,9._..th..___ day of November, 2019 , by and between COUNTY OF FRESNO, a political subdivision of
4 the State of California, Fresno , California ("COUNTY "), and Superior Court of California , County of
5 Fresno , an entity of the California Judicial Branch organized under Art icle VI of the California
6 Constitution, whose address is 1100 Van Ness, Fresno , CA 93724-0002 ("COURT").
7 WITNESSETH:
8 WHEREAS , COUNTY and COURT entered into Agreement number 18 -416 , dated August 7th ,
9 2018 ("Agreement"), pursuant to which COURT agreed to provide certain listed County departments
10 Odyssey system access , door access , WiFi usage , and badges for a cost ; and
11 WHEREAS , COUNTY and COURT now desire to amend the Agreement , in order to include a
12 new charge to the Probation Department for printer usage , as provided in Exh ibit 1, as well as an
13 update to the Exhibit 1 rates , which is attached and incorporated by this reference .
14 NOW, THEREFORE , for good and valuable consideration , the receipt and adequacy of which
15 is hereby acknowledged , COUNTY and COURT agree as follows :

1 . The Recitals of the Agreement , located on Page 1, lines 8 through 20 , is deleted in its
entirety , and replaced with the follow ing :
"WITNESS ETH :
WHEREAS , the COURT provides various COUNTY departments , as provided in
Exhibit 2, attached and incorporated by this reference , Odyssey system access , door
access , WiFi usage , badges , and in addition , provides the Probation Department with
printer usage ; and
WHEREAS , the COURT currently allows COUNTY departments access to their
Odyssey system for logons , door access , WiF i usage , badges, and printer usage for the
Probation Department and the Court has absorbed these access costs until now ; and
WHEREAS , the COURT's Odyssey system is a case management system that COUNTY
departments utilize to access various cases types such as criminal , civil , probate , family ,
and juvenile cases ; and

WHEREAS, the COUNTY will pay the COURT for its usage of the Odyssey system,
door access, WiFi usage, and badges as applicable to each COUNTY department, as
provided in Exhibit 1, which is attached and incorporated by this reference.”
2. Section 1 of the Agreement, located on page 1, lines 23 through 27, is deleted in its
entirety, and replaced with the following:
“1. OBLIGATIONS OF THE COURT
A.Provide log-on access to the COURT’s Odyssey system;
B.Provide door access;
C.Provide WiFi usage;
D.Provide COURT-issued badges, as needed; and
E.Provide the Probation Department with printer usage, as needed."
COUNTY and COURT agree that this Amendment is sufficient to amend the Agreement and,
that upon execution of this Amendment, the Agreement and this Amendment together shall be
considered “the Agreement.”
The Agreement, as hereby amended, is ratified and continued. All provisions, terms,
covenants, conditions and promises contained in the Agreement and not amended herein shall remain
in full force and effect.
