("LCPtracker" herein) and the County of Fresno ("COUNTY"). Name of LCPtracker's Client Together, in this Agreement, LCPtracker and COUNTY are called the "Parties". The Parties agree as follows: Section 1.1. Consideration. LCPtracker's consideration supporting this contract is the provision of that which is described herein. COUNTY's consideration supporting this contract is money payment(s), as described herein. Section 1.2. Term. LCPtracker and the COUNTY shall be for a period of three (3) years, commencing on November 11, 2019 through and including November 10, 2022. This Agreement may be extended for two (2) additional consecutive twelve (12) month periods upon written approval of both parties prior to each one-year extension period. The Purchasing Manager for the COUNTY's Internal Services Department or his or her designee is authorized to execute such written approval. Section 2.1. Choice of Law. This Agreement shall be governed by the laws of the State of California, and substantive Federal law that governs intellectual property Section 3.1. Choice of Venue. The Parties agree that any legal action brought pursuant or related to this Agreement shall be brought in the Superior Court of California. Section 4.1. Entire Agreement. This Agreement supersedes any other agreement between the Parties regarding any specific term contained herein. Section 5.1. License. LCPtracker grants to COUNTY a non-exclusive, revocable, limited license to use software, owned by LCPtracker. Such software is named "LCPtracker" and "Daily Reporter". Whether the use of LCPtracker software, or both LCPtracker software and Daily Reporter software, is licensed is delineated in Section 6.1, as is the specific use(s) hereby licensed.
