HomeMy WebLinkAboutAgreement A-22-154 with The Fresno Center.pdf Agreement No. 22-154 1 AGREEMENT 2 This Agreement is made and entered into this 19' day of April , 2022, by and 3 between the COUNTY OF FRESNO, a Political Subdivision of the State of California, hereinafter 4 referred to as "COUNTY", and THE FRESNO CENTER, a Private Non-profit 501(c) (3), 5 Corporation whose address is 4879 E. Kings Canyon Road, Fresno, CA 93727 hereinafter referred to 6 as "CONTRACTOR". 7 WITNESSETH: 8 WHEREAS, COUNTY, through its Department of Behavioral Health (DBH), Mental Health 9 Services Act(MHSA), and through input from the community stakeholder process during 2011 and 10 2012, recognized the need for a culturally diverse holistic wellness center for the education of Fresno 11 County residents who may benefit from the knowledge acquired from the understanding of holistic 12 based complementary healing practices; 13 WHEREAS, COUNTY and THE FRESNO CENTER FOR NEW AMERICANS entered into 14 that certain Agreement, identified as COUNTY Agreement No. 17-287; 15 WHEREAS, THE FRESNO CENTER FOR NEW AMERICANS gave the COUNTY notice 16 that effective March 15, 2018, their name would be changed to The Fresno Center. A new agreement 17 was not entered into at the time that CONTRACTOR changed its name, so this Agreement is being 18 made retroactive to April 1, 2018, and supersedes Agreement No. 17-287 and; 19 WHEREAS, CONTRACTOR, is qualified and willing to provide said services pursuant to the 20 terms and conditions of this Agreement. 21 NOW, THEREFORE, in consideration of their mutual covenants and conditions, the parties 22 hereto agree as follows: 23 1. SERVICES 24 A. CONTRACTOR shall perform all services and fulfill all responsibilities set forth 25 in Exhibit A "Scope of Work",which is attached hereto and incorporated herein by this reference, as 26 well as RFP No. 17-072, dated April 13, 2017, and Addendum No. One (1) to RFP No. 17-072 dated 27 April 28tr', 2017, hereinafter collectively referred to as Revised RFP No. 17-072, and 28 CONTRACTOR's response to said Revised RFP No. 17-072, dated May 10, 2017, all incorporated by — 1 — COUNTY OF FRESNO Fresno,CA 1 reference and herein made part of this Agreement. In the event of any inconsistency among these 2 documents the inconsistency shall be resolved by giving precedence to the following order: 1) to this 3 Agreement including all Exhibits, and all amendments thereto, 2)to the Revised REP No. 17-072, and 4 3) to the Response to the Revised RFP No. 17-072. A copy of the Revised REP No. 17-072 and 5 CONTRACTOR's response shall be retained and made available during the term of this Agreement by 6 COUNTY's DBH Holistic Services Contract Analyst. 7 B. SITE LOCATION: 8 CONTRACTOR shall provide services at the following three (3) locations 9 during the term of this agreement. 10 • Main Site Location—4879 E. Kings Canyon, Fresno Ca., serving 11 primarily Southeast Fresno participants. 12 • Lowell Site Location— 108 N. Poplar, Fresno Ca., serving primarily west 13 Fresno participants. 14 • East Fresno County Site Location—580 Tulare Street, Parlier, Ca. 15 serving primarily rural East Fresno County participants. 16 2. TERM 17 This Agreement shall become effective on the 1 st day of April 2018, and shall terminate 18 on the 30'day of June 2022. 19 3. TERMINATION 20 A. Non-Allocation of Funds -the terms of this Agreement, and the services to be 21 provided hereunder, are contingent on the approval of funds by the appropriating government agency. 22 Should sufficient funds not be allocated, the services provided may be modified, or this Agreement 23 terminated at any time by giving the CONTRACTOR thirty(30) days advance written notice. 24 B. Breach of Contract - The COUNTY may immediately suspend or terminate this 25 Agreement in whole or in part, where in the determination of the COUNTY there is: 26 1) An illegal or improper use of funds; 27 2) A failure to comply with any term of this Agreement; 28 3) A substantially incorrect or incomplete report submitted to the COUNTY; — 2 — COUNTY OF FRESNO Fresno,CA 1 4) Improperly performed service. 2 In no event shall any payment by the COUNTY constitute a waiver by the 3 COUNTY of any breach of this Agreement or any default which may then exist on the part of the 4 CONTRACTOR. Neither shall such payment impair or prejudice any remedy available to the 5 COUNTY with respect to the breach or default. The COUNTY shall have the right to demand of the 6 CONTRACTOR the repayment to the COUNTY of any funds disbursed to the CONTRACTOR under 7 this Agreement, which in the judgment of the COUNTY were not expended in accordance with the 8 terms of this Agreement. The CONTRACTOR shall promptly refund any such funds upon demand or, 9 at the COUNTY's option, such repayment shall be deducted from future payments owing to 10 CONTRACTOR under this Agreement. 11 C. Without Cause -Under circumstances other than those set forth above, this 12 Agreement may be terminated by CONTRACTOR or COUNTY or COUNTY's Department of 13 Behavioral Health Director, or designee, upon the giving of thirty (30) days advance written notice of 14 an intention to terminate. 15 4. COMPENSATION 16 For services provided as identified in the terms and conditions of this Agreement, 17 COUNTY agrees to pay CONTRACTOR and CONTRACTOR agrees to receive compensation in 18 accordance with Exhibit A, "Scope of Work," attached hereto and by this reference incorporated herein. 19 For the period April 1, 2018 through June 30, 2018, the maximum amount of 20 compensation available to CONTRACTOR for services rendered under this Agreement shall not 21 exceed Three Hundred Thirteen Thousand Three Hundred Seventy Nine and 00/100 Dollars 22 ($313,379). For the period July 1, 2018 through June 30, 2019, the maximum amount of compensation 23 available to CONTRACTOR for services rendered under this Agreement shall not exceed Eight 24 Hundred Ninety Six Thousand Seven Hundred Nineteen and No/100 Dollars ($896,719.00). For the 25 period July 1, 2019 through June 30, 2020, the maximum amount of compensation available to 26 CONTRACTOR for services rendered under this Agreement shall not exceed Eight Hundred Ninety 27 Six Thousand Seven Hundred Nineteen and No/l00 Dollars ($896,719.00). For the period July 1, 2020 28 through June 30, 2021, the maximum amount of compensation for services rendered under this — 3 — COUNTY OF FRESNO Fresno,CA 1 Agreement shall not exceed Eight Hundred Ninety Six Thousand Seven Hundred Nineteen and 2 No/100 Dollars ($896,719.00). For the period July 1, 2021 through June 30, 2022, the maximum 3 amount of compensation available to CONTRACTOR for services rendered under this Agreement 4 shall not exceed Eight Hundred Ninety Six Thousand Seven Hundred Nineteen and No/100 Dollars 5 ($896,719.00). 6 In no event shall services performed under this Agreement be in excess of Three Million 7 Nine Hundred Thousand Two Hundred Fifty-Five and 0/100 Dollars ($3,900,255) during the entire 8 term of this Agreement. 9 COUNTY shall not be obligated to make payments under this Agreement if the request 10 for payment is received by COUNTY more than sixty (60) days after this Agreement has terminated or 11 expired. Any compensation not consumed by expenditures of CONTRACTOR by the expiration or 12 termination date of this Agreement shall be remitted to COUNTY within sixty (60) days of expiration 13 or termination of said Agreement. 14 CONTRACTOR shall be held financially liable for any and all future 15 disallowances/audit exceptions due to CONTRACTOR's deficiency discovered through the State audit 16 process. At COUNTY's election, the disallowed amount will be remitted within forty-five (45) days 17 to COUNTY upon notification or shall be withheld from subsequent payments to CONTRACTOR. 18 In the event that funding for these services is delayed by the State Controller, COUNTY 19 may defer payment to CONTRACTOR. The amount of the deferred payment shall not exceed the 20 amount of funding delayed by State Controller to the COUNTY. The period of time of the deferral by 21 COUNTY shall not exceed the period of time of the State Controller's delay of payment to COUNTY 22 plus forty-five (45) days. 23 Should CONTRACTOR wish to revise its budget, attached hereto as Exhibit B, 24 "Budgets," and incorporated herein by reference, for any subsequent fiscal year associated with this 25 Agreement, CONTRACTOR shall submit such a request, along with the proposed revised budget to 26 COUNTY's DBH Director or designee prior to March Pt of the preceding fiscal year. 27 CONTRACTOR's proposed revised budget must be approved in writing by COUNTY to be effective 28 and become a part of this Agreement. A revised budget that merely makes changes to line items not — 4 — COUNTY OF FRESNO Fresno,CA 1 exceeding 10% of the CONTRACTOR's fiscal year maximum compensation under this Agreement, 2 may be made with the written approval of COUNTY's DBH Director or designee. All other budget 3 revisions require approval of the Board of Supervisors. If said revised budget is not received by the 4 March 1st due date, or the COUNTY DBH Director or designee, does not approve the proposed 5 revised budget, the appropriate Fiscal Year budget attached herein to this Agreement shall remain in 6 effect. The compensation amount of any approved revised budget shall not exceed the maximum 7 compensation of the current Agreement term as stated herein. If CONTRACTOR should fail to 8 comply with any provision of this Agreement, COUNTY shall be relieved of its obligation for further 9 compensation. 10 COUNTY shall make no payments to CONTRACTOR under this Agreement for services that 11 advance or support religious or sectarian purposes. Payments by COUNTY shall be in arrears, for 12 services provided during the preceding month, within forty-five (45) days after receipt and verification 13 of CONTRACTOR's invoices by COUNTY. If CONTRACTOR should fail to comply with any 14 provision of this Agreement, COUNTY shall be relieved of its obligation for further compensation. It 15 is understood that all expenses incidental to CONTRACTOR's performance of services under this 16 Agreement shall be borne by CONTRACTOR. 17 5. INVOICING 18 CONTRACTOR shall invoice COUNTY monthly,by the 201h of the following month, 19 via e-mail, addressed to dbh-invoicesnfresnocount, c�a._og_v,with a copy to the Mental Health Services 20 Act Contract Analyst assigned to the program. Each invoice shall be accompanied by an appropriate 21 general ledger, a password protected roster identifying clients detailing at a minimum date of 22 service/visit,name, social security number, education services received,place of referral/linkage 23 services rendered, sex, birth date, and any additional demographics agreed to by CONTRACTOR and 24 COUNTY's DBH, as well as the Holistic Center's program calendar of events. 25 Payment shall be made by COUNTY in arrears, for services provided during the 26 preceding month, within forty (45) days after the date of receipt and verification by COUNTY of the 27 monthly invoicing. 28 — 5 — COUNTY OF FRESNO Fresno,CA 1 6. INDEPENDENT CONTRACTOR 2 In performance of the work, duties, and obligations assumed by CONTRACTOR under 3 this Agreement, it is mutually understood and agreed that CONTRACTOR, including any and all of 4 CONTRACTOR's officers, agents, and employees will at all times be acting and performing as an 5 independent contractor, and shall act in an independent capacity and not as an officer, agent, servant, 6 employee,joint venturer, partner, or associate of the COUNTY. Furthermore, COUNTY shall have 7 no right to control or supervise or direct the manner or method by which CONTRACTOR shall 8 perform its work and function. However, COUNTY shall retain the right to administer this 9 Agreement so as to verify that CONTRACTOR is performing its obligations in accordance with the 10 terms and conditions thereof. CONTRACTOR and COUNTY shall comply with all applicable 11 provisions of law and the rules and regulations, if any, of governmental authorities having jurisdiction 12 over matters which are directly or indirectly the subject of this Agreement. 13 Because of its status as an independent contractor, CONTRACTOR shall have 14 absolutely no right to employment rights and benefits available to COUNTY employees. 15 CONTRACTOR shall be solely liable and responsible for providing to, or on behalf of, its employees 16 all legally-required employee benefits. In addition, CONTRACTOR shall be solely responsible and 17 save COUNTY harmless from all matters relating to payment of CONTRACTOR's employees, 18 including compliance with Social Security, withholding, and all other regulations governing such 19 matters. It is acknowledged that during the term of this Agreement, CONTRACTOR may be 20 providing services to others unrelated to the COUNTY or to this Agreement. 21 7. MODIFICATION 22 Any matters of this Agreement may be modified from time to time by the written 23 consent of all the parties without, in any way, affecting the remainder. 24 Notwithstanding the above, minor changes, as determined by COUNTY's Department 25 of Behavioral Health Director or designee may be made with the written approval of COUNTY's 26 Department of Behavioral Health Director or designee and CONTRACTOR. Minor changes may 27 include, but are not limited to changes that will not significantly alter the services and responsibilities 28 identified in this Agreement, changes in addresses to which notices or invoices are to be sent. Any — 6 — COUNTY OF FRESNO Fresno,CA 1 changes to the services shall not result in any change to the maximum compensation. 2 Not withstanding the above, changes to line items in the budgets, attached hereto as 3 Exhibit B, as appropriate, that do not exceed 10% of the total maximum compensation payable to 4 CONTRACTOR, may be made with the written approval of COUNTY's DBH Director or designee 5 and CONTRACTOR. Said budget line item changes shall not result in any change to the maximum 6 compensation amount payable to CONTRACTOR, as stated herein. 7 8. NON-ASSIGNMENT 8 Neither party shall assign, transfer or subcontract this Agreement nor their rights or 9 duties under this Agreement without the prior written consent of the other parry. 10 9. SUB-CONTRACTORS/PARTNERS 11 CONTRACTOR shall be responsible to the COUNTY for all services and deliverables 12 stated under this Agreement. CONTRACTOR in its Response to Proposal #17-072, identified local 13 agencies that it will partner with (Youth Centers of America, Stone Soup Daycare, in addition to 14 consultants and trainers as further identified in Exhibit A— Scope of Work and Exhibit B- Budgets) 15 to complete the services identified in this Agreement. Notwithstanding the aforementioned reference 16 to partners, it is understood by all parties that COUNTY shall hold CONTRACTOR responsible for 17 all services, reports, outcomes, etc as identified herein. 18 If CONTRACTOR should propose to subcontract with one (1) or more third parties to 19 carry out a portion of those services covered by this Agreement, any subcontract shall be in writing 20 and approved as to form and content by COUNTY's DBH Director, or designee prior to execution and 21 implementation. COUNTY's DBH Director or designee shall have the right to reject any such 22 proposed subcontract. An executed copy of any such subcontract shall be received by COUNY before 23 any implementation and shall be retained by COUNTY. CONTRACTOR shall be responsible to 24 COUNTY for the proper performance of any subcontract. Any subcontractor shall be subject to the 25 same terms and conditions that CONTRACTOR is subject to under this Agreement. 26 10. HOLD-HARMLESS 27 CONTRACTOR agrees to indemnify, save, hold harmless, and at COUNTY's request, 28 defend the COUNTY, its officers, agents and employees from any and all costs and expenses, — 7 — COUNTY OF FRESNO Fresno,CA 1 including attorney fees and court costs, damages, liabilities, claims and losses occurring or resulting to 2 COUNTY in connection with the performance, or failure to perform, by CONTRACTOR, its officers, 3 agents or employees and Referred Practitioners (alternative healers)under this Agreement, and from 4 any and all costs and expenses, including attorney fees and court costs, damages, liabilities, claims and 5 losses occurring or resulting to any person, firm or corporation who may be injured or damaged by the 6 performance, or failure to perform, of CONTRACTOR, its officers, agents or employees and Referred 7 Practitioners (alternative healers)under this Agreement. In addition, CONTRACTOR agrees to 8 indemnify COUNTY for Federal, State of California and/or local audit exceptions resulting from 9 noncompliance herein on the part of the CONTRACTOR. 10 11. INSURANCE 11 Without limiting the COUNTY's right to obtain indemnification from CONTRACTOR 12 or any third parties, CONTRACTOR, at its sole expense, shall maintain in full force and effect the 13 following insurance policies throughout the term of this Agreement: 14 A. Commercial General Liability 15 Commercial General Liability Insurance with limits of not less than One Million Dollars ($1,000,000)per occurrence and an annual aggregate of Two Million 16 Dollars ($2,000,000). This policy shall be issued on a per occurrence basis. 17 COUNTY may require specific coverage including completed operations, product liability, contractual liability, Explosion, Collapse, and Underground 18 (XCU), fire legal liability or any other liability insurance deemed necessary 19 because of the nature of the Agreement. 20 B. Automobile Liability Comprehensive Automobile Liability Insurance with limits for bodily injury of 21 not less than One Million Dollars ($1,000,000)per person, One Million Dollars 22 ($1,000,000)per accident and for property damages of not less than One Hundred Thousand Dollars ($100,000), or such coverage with a combined single 23 limit of One Million Dollars ($1,000,000). Coverage should include owned and non-owned vehicles used in connection with this Agreement. 24 25 C. Personal Property CONTRACTOR shall maintain a policy of insurance for all risk personal 26 property coverage which shall be endorsed naming the County of Fresno as an additional loss payee. The personal property coverage shall be in an amount that 27 will cover property as discussed in Paragraph Eighteen (18) of this Agreement. 28 — 8 — COUNTY OF FRESNO Fresno,CA 1 D. Professional Liability 2 If CONTRACTOR employs licensed professional staff(e.g. Ph.D., R.N., 3 L.C.S.W., L.M.F.T.) in providing services, Professional Liability Insurance with limits of not less than One Million Dollars ($1,000,000)per occurrence, Three 4 Million Dollars ($3,000,000) annual aggregate. CONTRACTOR shall maintain in full force and affect a policy or policies of professional liability insurance for a 5 period of not less than three years from the termination date of this agreement. 6 E. Worker's Compensation 7 A policy of Worker's Compensation Insurance as may be required by the California Labor Code. 8 9 10 CONTRACTOR shall obtain endorsements to the Commercial General Liability insurance 11 naming the County of Fresno, its officers, agents, and employees, individually and collectively, as 12 additional insured,but only insofar as the operations under this Agreement are concerned. Such 13 coverage for additional insured shall apply as primary insurance and any other insurance, or self- 14 insurance, maintained by the COUNTY, its officers, agents and employees shall be excess only and 15 not contributing with insurance provided under the CONTRACTOR's policies herein. This insurance 16 shall not be cancelled or changed without a minimum of thirty(30) days advance written notice given 17 to COUNTY. 18 Within thirty (30) days from the date CONTRACTOR signs this Agreement, 19 CONTRACTOR shall provide certificates of insurance and endorsements as stated above for all of the 20 foregoing policies, as required herein, to the County of Fresno, Department of Behavioral Health, 21 1925 E. Dakota Ave. Fresno, CA 93726, Attention: Public Behavioral Health stating that such 22 insurance coverage's have been obtained and are in full force; that the County of Fresno, its officers, 23 agents and employees will not be responsible for any premiums on the policies; that such Commercial 24 General Liability insurance names the County of Fresno, its officers, agents and employees, 25 individually and collectively, as additional insured, but only insofar as the operations under this 26 Agreement are concerned; that such coverage for additional insured shall apply as primary insurance 27 and any other insurance, or self-insurance, maintained by the COUNTY, its officers, agents and 28 employees, shall be excess only and not contributing with insurance provided under the — 9 — COUNTY OF FRESNO Fresno,CA 1 CONTRACTOR's policies herein; and that this insurance shall not be cancelled or changed without a 2 minimum of thirty (30) days advance, written notice given to COUNTY. 3 In the event CONTRACTOR fails to keep in effect at all times insurance coverage as 4 herein provided, the COUNTY may, in addition to other remedies it may have, suspend or terminate 5 this Agreement upon the occurrence of such event. 6 All policies shall be with admitted insurers licensed to do business in the State of 7 California. Insurance purchased shall be from companies possessing a current A.M. Best, Inc. rating 8 of A FSC VIII or better. 9 12. LICENSES/CERTIFICATES 10 Throughout each term of this Agreement, CONTRACTOR and CONTRACTOR's staff 11 shall maintain all necessary licenses, licenses for facility providing services herein,permits, approvals, 12 certificates, waivers and exemptions necessary for the provision of the services hereunder and required 13 by the laws and regulations of the United States of America, State of California, the County of Fresno, 14 and any other applicable governmental agencies. CONTRACTOR shall notify COUNTY immediately 15 in writing of its inability to obtain or maintain such licenses,permits, approvals, certificates, waivers 16 and exemptions irrespective of the pendency of any appeal related thereto. Additionally 17 CONTRACTOR and CONTRACTOR's staff shall comply with all applicable laws, rules or 18 regulations, as may now exist or be hereafter changed. 19 13. REPORTS 20 A. Monthly Reports CONTRACTOR shall submit to COUNTY's DBH by the 21 twentieth(20') of each month all monthly activity and budget reports for the preceding month. 22 Activity reports shall include password protected roster identifying clients detailing at a minimum date 23 of service/visit, name, social security number, education services received, place of referral/linkage 24 services rendered, sex,birth date, and any additional demographics agreed to by CONTRACTOR and 25 COUNTY's Department of Behavioral Health, as well as the Holistic Center's program calendar of 26 events and upcoming activities. 27 In addition, CONTRACTOR shall also furnish to COUNTY such statements, 28 records, reports, data, and other information as COUNTY may request pertaining to matters covered - 10 - COUNTY OF FRESNO Fresno,CA 1 by this Agreement. In the event that CONTRACTOR fails to provide such reports or other 2 information required hereunder, it shall be deemed sufficient cause for COUNTY to withhold monthly 3 payments until there is compliance. In addition, CONTRACTOR shall provide written notification 4 and explanation to COUNTY within five (5) days of any funds received from another source to 5 conduct the same services covered by this Agreement. 6 B. Monitoring CONTRACTOR agrees to extend to COUNTY's staff, COUNTY's 7 DBH Director and the State Department of Health Care Services, or their designees, the right to review 8 and monitor records, program or procedures, at any time, in regard to participants of the Holistic 9 Center, as well as the overall operation of CONTRACTOR's program, in order to ensure compliance 10 with the terms and conditions of this Agreement. 11 14. REFERENCES TO LAWS AND RULES 12 In the event any law, regulation, or policy referred to in this Agreement is amended 13 during the term thereof, the parties hereto agree to comply with the amended provision as of the 14 effective date of such amendment. 15 15. COMPLIANCE WITH STATE REQUIREMENTS 16 CONTRACTOR recognizes that COUNTY operates its mental health programs under 17 an agreement with the State of California Department of Health Care Services, and that under said 18 agreement the State imposes certain requirements on COUNTY and its subcontractors. 19 CONTRACTOR shall adhere to all State Requirements, including those identified in Exhibit C "State 20 Mental Health Requirements", attached hereto and by this reference incorporated herein. 21 16. DATA SECURITY 22 For the purpose of preventing the potential loss, misappropriation or inadvertent access, 23 viewing, use or disclosure of COUNTY data including sensitive or personal client information; abuse 24 of COUNTY resources; and/or disruption to COUNTY operations, individuals and/or agencies that 25 enter into a contractual relationship with the COUNTY for the purpose of providing services under 26 this Agreement must employ adequate data security measures to protect the confidential information 27 provided to CONTRACTOR by the COUNTY, including but not limited to the following: 28 A. CONTRACTOR-Owned Mobile, Wireless, or Handheld Devices 11 - COUNTY OF FRESNO Fresno,CA 1 CONTRACTOR may not connect to COUNTY networks via personally-owned 2 mobile, wireless or handheld devices, unless the following conditions are met: 3 1) CONTRACTOR has received authorization by COUNTY for 4 telecommuting purposes; 5 2) Current virus protection software is in place; 6 3) Mobile device has the remote wipe feature enabled; and 7 4) A secure connection is used. 8 B. CONTRACTOR-Owned Computers or Computer Peripherals 9 CONTRACTOR may not bring CONTRACTOR-owned computers or computer 10 peripherals into the COUNTY for use without prior authorization from the COUNTY's Chief 11 Information Officer, and/or designee(s), including but not limited to mobile storage devices. If data is 12 approved to be transferred, data must be stored on a secure server approved by the COUNTY and 13 transferred by means of a Virtual Private Network(VPN) connection, or another type of secure 14 connection. Said data must be encrypted. 15 C. COUNTY-Owned Computer Equipment 16 CONTRACTOR may not use COUNTY computers or computer peripherals on 17 non-COUNTY premises without prior authorization from the COUNTY's Chief Information Officer, 18 and/or designee(s). 19 D. CONTRACTOR may not store COUNTY's private, confidential or sensitive 20 data on any hard-disk drive,portable storage device, or remote storage installation unless encrypted. 21 E. CONTRACTOR shall be responsible to employ strict controls to ensure the 22 integrity and security of COUNTY's confidential information and to prevent unauthorized access, 23 viewing, use or disclosure of data maintained in computer files, program documentation, data 24 processing systems, data files and data processing equipment which stores or processes COUNTY data 25 internally and externally. 26 F. Confidential client information transmitted to one party by the other by means of 27 electronic transmissions must be encrypted according to Advanced Encryption Standards (AES) of 28 128 BIT or higher. Additionally, a password or pass phrase must be utilized. - 12 - COUNTY OF FRESNO Fresno,CA 1 G. CONTRACTOR is responsible to immediately notify COUNTY of any 2 violations, breaches or potential breaches of security related to COUNTY's confidential information, 3 data maintained in computer files, program documentation, data processing systems, data files and 4 data processing equipment which stores or processes COUNTY data internally or externally. 5 H. COUNTY shall provide oversight to CONTRACTOR's response to all incidents 6 arising from a possible breach of security related to COUNTY's confidential client information 7 provided to CONTRACTOR. CONTRACTOR will be responsible to issue any notification to 8 affected individuals as required by law or as deemed necessary by COUNTY in its sole discretion. 9 CONTRACTOR will be responsible for all costs incurred as a result of providing the required 10 notification. 11 17. HEALTH INSURANCE PORTABILITY AND ACCOUNTABILITY ACT 12 A. The parties to this Agreement shall be in strict conformance with all applicable 13 Federal and State of California laws and regulations, including but not limited to Sections 5328, 14 10850, and 14100.2 et seq. of the Welfare and Institutions Code, Sections 2.1 and 431.300 et seq. of 15 Title 42, Code of Federal Regulations (CFR), Section 56 et seq. of the California Civil Code, Sections 16 11977 and 11812 of Title 22 of the California Code of Regulations, and the Health Insurance 17 Portability and Accountability Act(HIPAA), including but not limited to Section 1320 D et seq. of 18 Title 42,United States Code (USC) and its implementing regulations, including, but not limited to 19 Title 45, CFR, Sections 142, 160, 162, and 164, and The Health Information Technology for 20 Economic and Clinical Health Act(HITECH)regarding the confidentiality and security of patient 21 information. 22 Except as otherwise provided in this Agreement, CONTRACTOR, as a Business 23 Associate of COUNTY, may use or disclose Protected Health Information(PHI)to perform functions, 24 activities or services for or on behalf of COUNTY, as specified in this Agreement,provided that such 25 use or disclosure shall not violate the HIPAA, USC 1320d et seq. The uses and disclosures of PHI 26 may not be more expansive than those applicable to COUNTY, as the "Covered Entity"under the 27 HIPAA Privacy Rule (45 CFR 164.500 et seq), except as authorized for management, administrative 28 or legal responsibilities of the Business Associate. - 13 - COUNTY OF FRESNO Fresno,CA 1 B. CONTRACTOR shall protect, from unauthorized access, use, or disclosure of 2 names and other identifying information concerning persons receiving services pursuant to this 3 Agreement, except where permitted in order to carry out data aggregation purposes for health care 4 operations [45 CFR Sections 164.504 (e)(2)(i), 164.504 (3)(2)(ii)(A), and 164.504 (e)(4)(i)] This 5 pertains to any and all persons receiving services pursuant to a COUNTY funded program. 6 CONTRACTOR shall not use such identifying information for any purpose other than carrying out 7 CONTRACTOR's obligations under this Agreement. 8 C. CONTRACTOR shall not disclose any such identifying information to any 9 person or entity, except as otherwise specifically permitted by this Agreement, authorized by law, or 10 authorized by the client/patient. 11 D. For purposes of the above sections, identifying information shall include,but not 12 be limited to name, identifying number, symbol, or other identifying particular assigned to the 13 individual, such as finger or voice print, or a photograph. 14 E. CONTRACTOR shall provide access, at the request of COUNTY, and in the 15 time and manner designated by COUNTY, to PHI in a designated record set(as defined in 45 CFR 16 Section 164.501), to an individual or to COUNTY in order to meet the requirements of 45 CFR 17 Section164.524 regarding access by individuals to their PHI. 18 CONTRACTOR shall make any amendment(s) to PHI in a designated record set at the request of 19 COUNTY, and in the time and manner designated by COUNTY in accordance with 45 CFR Section 20 164.526. 21 CONTRACTOR shall provide to COUNTY or to an individual, in a time and manner 22 designated by COUNTY, information collected in accordance with 45 CFR Section 164.528, to permit 23 COUNTY to respond to a request by the individual for an accounting of disclosures of PHI in 24 accordance with 45 CFR Section 164.528. 25 F. CONTRACTOR shall report to COUNTY, in writing, any knowledge or 26 reasonable belief that there has been unauthorized access, viewing, use, disclosure, or breach of 27 Protected Information not permitted by this Agreement, and any breach of unsecured PHI of which it 28 becomes aware, immediately and without reasonable delay and in no case later than two (2)business - 14 - COUNTY OF FRESNO Fresno,CA 1 days of discovery. Immediate notification shall be made to COUNTY's Information Security Officer 2 and Privacy Officer and COUNTY's DBH HIPAA Representative,within two (2)business days of 3 discovery. The notification shall include, to the extent possible, the identification of each individual 4 whose unsecured PHI has been, or is reasonably believed to have been, accessed, acquired, used, 5 disclosed, or breached. CONTRACTOR shall take prompt corrective action to cure any deficiencies 6 and any action pertaining to such unauthorized disclosure required by applicable Federal and State 7 Laws and regulations. CONTRACTOR shall investigate such breach and is responsible for all 8 notifications required by law and regulation or deemed necessary by COUNTY and shall provide a 9 written report of the investigation and reporting required to COUNTY's Information Security Officer 10 and Privacy Officer and COUNTY's DBH HIPAA Representative. CONTRACTOR shall make its internal practices,books, and records relating to 18 the use and disclosure of PHI received from COUNTY, or created or received by the CONTRACTOR 19 on behalf of COUNTY, available to the United States Department of Health and Human Services upon 20 demand. 21 H. Safeguards 22 CONTRACTOR shall implement administrative,physical, and technical 23 safeguards as required by 45 CFR 164.308, 164.310, and 164.312 that reasonably and appropriately 24 protect the confidentiality, integrity, and availability of PHI, including electronic PHI, that it creates, 25 receives, maintains or transmits on behalf of COUNTY; and to prevent access,use or disclosure of 26 PHI other than as provided for by this Agreement. CONTRACTOR shall develop and maintain a 27 written information privacy and security program that includes administrative, technical and physical 28 safeguards appropriate to the size and complexity of CONTRACTOR's operations and the nature and - 15 - COUNTY OF FRESNO Fresno,CA 1 scope of its activities. Upon COUNTY's request, CONTRACTOR shall provide COUNTY with 2 information concerning such safeguards. 3 CONTRACTOR shall implement strong access controls and other security safeguards 4 and precautions in order to restrict logical and physical access to confidential, personal (e.g., PHI) or 5 sensitive data to authorized users only. Said safeguards and precautions shall include the following 6 administrative and technical password controls for all systems used to process or store confidential, 7 personal, or sensitive data: 8 1. Passwords must not be: 9 a. Shared or written down where they are accessible or recognizable 10 by anyone else; such as taped to computer screens, stored under keyboards, or visible in a work area; 11 b. A dictionary word; or 12 C. Stored in clear text 13 2. Passwords must be: 14 a. Eight(8) characters or more in length; 15 b. Changed every ninety (90) days; 16 C. Changed immediately if revealed or compromised; and 17 d. Composed of characters from at least three of the following four 18 groups from the standard keyboard: 19 1) Upper case letters (A-Z); 20 2) Lowercase letters (a-z); 21 3) Arabic numerals (0 through 9); and 22 4) Non-alphanumeric characters (punctuation symbols). 23 CONTRACTOR shall implement the following security controls on each workstation or 24 portable computing device (e.g., laptop computer) containing confidential, 25 personal, or sensitive data: 26 1. Network-based firewall and/or personal firewall; 27 2. Continuously updated anti-virus software; and 28 3. Patch management process including installation of all operating - 16 - COUNTY OF FRESNO Fresno,CA 1 system/software vendor security patches. 2 CONTRACTOR shall utilize a commercial encryption solution that has received FIPS 3 140-2 validation to encrypt all confidential, personal, or sensitive data stored on portable electronic 4 media(including, but not limited to, compact disks and thumb drives) and on portable computing 5 devices (including, but not limited to, laptop and notebook computers). 6 CONTRACTOR shall not transmit confidential,personal, or sensitive data via e-mail or 7 other internet transport protocol unless the data is encrypted by a solution that has been validated by 8 the National Institute of Standards and Technology (MIST) as conforming to the Advanced Encryption 9 Standard (AES) Algorithm. 10 I. Mitigation of Harmful Effects 11 CONTRACTOR shall mitigate, to the extent practicable, any harmful effect that 12 is known to CONTRACTOR of an unauthorized access, viewing, use, disclosure, or breach of PHI by 13 CONTRACTOR or its subcontractors in violation of the requirements of these provisions. 14 J. Contractor's Subcontractors 15 CONTRACTOR shall ensure that any of its contractors, including 16 subcontractors, if applicable, to whom CONTRACTOR provides PHI received from or created or 17 received by CONTRACTOR on behalf of COUNTY, agree to the same restrictions and conditions that 18 apply to CONTRACTOR with respect to such PHI; and to incorporate, when applicable, the relevant 19 provisions of these provisions into each subcontract or sub-award to such agents or subcontractors.. 20 K. Employee Training and Discipline 21 CONTRACTOR shall train and use reasonable measures to ensure compliance 22 with the requirements of these provisions by employees who assist in the performance of functions or 23 activities on behalf of COUNTY under this Agreement and use or disclose PHI and discipline such 24 employees who intentionally violate any provisions of these provisions, including termination of 25 employment. 26 L. Termination for Cause 27 Upon COUNTY's knowledge of a material breach of these provisions by 28 CONTRACTOR, COUNTY shall either: - 17 - COUNTY OF FRESNO Fresno,CA 1 1. Provide an opportunity for CONTRACTOR to cure the breach or end the 2 violation and terminate this Agreement if CONTRACTOR does not cure the breach or end the 3 violation within the time specified by COUNTY; or 4 2. Immediately terminate this Agreement if CONTRACTOR has breached a 5 material term of these provisions and cure is not possible. 6 3. If neither cure nor termination is feasible, the COUNTY Privacy Officer 7 shall report the violation to the Secretary of the U.S. Department of Health and Human Services. 8 M. Judicial or Administrative Proceedings 9 COUNTY may terminate this Agreement in accordance with the terms and 10 conditions of this Agreement as written hereinabove, if. (1) CONTRACTOR is found guilty in a 11 criminal proceeding for a violation of the HIPAA Privacy or Security Laws or the HITECH Act; or(2) 12 a finding or stipulation that the CONTRACTOR has violated a privacy or security standard or 13 requirement of the HITECH Act, HIPAA; or other security or privacy laws in an administrative or 14 civil proceeding in which the CONTRACTOR is a parry. 15 N. Effect of Termination 16 Upon termination or expiration of this Agreement for any reason, 17 CONTRACTOR shall return or destroy all PHI received from COUNTY(or created or received by 18 CONTRACTOR on behalf of COUNTY) that CONTRACTOR still maintains in any form, and shall 19 retain no copies of such PHI. If return or destruction of PHI is not feasible, it shall continue to extend 20 the protections of these provisions to such information, and limit further use of such PHI to those 21 purposes that make the return or destruction of such PHI infeasible. This provision shall apply to PHI 22 that is in the possession of subcontractors or agents, if applicable, of CONTRACTOR. If Contractor 23 destroys the PHI data, a certification of date and time of destruction shall be provided to the COUNTY 24 by CONTRACTOR. 25 O. Disclaimer 26 COUNTY makes no warranty or representation that compliance by 27 CONTRACTOR with these provisions, the HITECH Act, HIPAA or the HIPAA regulations will be 28 adequate or satisfactory for CONTRACTOR's own purposes or that any information in - 18 - COUNTY OF FRESNO Fresno,CA 1 CONTRACTOR's possession or control, or transmitted or received by CONTRACTOR, is or will be 2 secure from unauthorized access, viewing,use, disclosure, or breach. CONTRACTOR is solely 3 responsible for all decisions made by CONTRACTOR regarding the safeguarding of PHI. 4 P. Amendment 5 The parties acknowledge that Federal and State laws relating to electronic data 6 security and privacy are rapidly evolving and that amendment of these provisions may be required to 7 provide for procedures to ensure compliance with such developments. The parties specifically agree 8 to take such action as is necessary to amend this agreement in order to implement the standards and 9 requirements of HIPAA, the HIPAA regulations, the HITECH Act and other applicable laws relating 10 to the security or privacy of PHI. COUNTY may terminate this Agreement upon thirty(30) days 11 written notice in the event that CONTRACTOR does not enter into an amendment providing 12 assurances regarding the safeguarding of PHI that COUNTY in its sole discretion deems sufficient to 13 satisfy the standards and requirements of HIPAA, the HIPAA regulations and the HITECH Act. 14 Q. No Third-Party Beneficiaries 15 Nothing express or implied in the terms and conditions of these provisions is 16 intended to confer,nor shall anything herein confer, upon any person other than COUNTY or 17 CONTRACTOR and their respective successors or assignees, any rights, remedies, obligations or 18 liabilities whatsoever. 19 R. Interpretation 20 The terms and conditions in these provisions shall be interpreted as broadly as 21 necessary to implement and comply with HIPAA, the HIPAA regulations and applicable State laws. 22 The parties agree that any ambiguity in the terms and conditions of these provisions shall be resolved 23 in favor of a meaning that complies and is consistent with HIPAA and the HIPAA regulations. 24 S. Re-u�ry References 25 A reference in the terms and conditions of these provisions to a section in the 26 HIPAA regulations means the section as in effect or as amended. 27 T. Survival 28 The respective rights and obligations of CONTRACTOR as stated in this Section - 19 - COUNTY OF FRESNO Fresno,CA 1 shall survive the termination or expiration of this Agreement. 2 U. No Waiver of Obli atg ions 3 No change, waiver or discharge of any liability or obligation hereunder on any 4 one or more occasions shall be deemed a waiver of performance of any continuing or other obligation, 5 or shall prohibit enforcement of any obligation on any other occasion. 6 18. EQUIPMENT 7 A. All purchases over Five Thousand and No/100 Dollars ($5,000.00) including sales 8 tax, and certain purchases under said amount such as cameras, televisions, VCRs/DVDs and other 9 sensitive items, made during the life of this Agreement with funds paid pursuant to this Agreement and 10 that will outlive the life of this Agreement, shall be identified as fixed assets with an assigned Fresno 11 County Inventory Numbers. All fixed assets shall be reported to COUNTY utilizing Exhibit D "Fixed 12 Assets and Sensitive Items Tracking Form", attached hereto and by this reference incorporated herein. 13 These fixed assets shall be retained by COUNTY, as COUNTY property, in the event this Agreement is 14 terminated or upon expiration of this Agreement. CONTRACTOR agrees to participate in an annual 15 inventory of all COUNTY fixed assets and shall be physically present when fixed assets are returned to 16 COUNTY possession at the termination or expiration of this Agreement. CONTRACTOR is 17 responsible for returning to COUNTY all COUNTY owned fixed assets at the expiration or termination 18 of this Agreement. 19 CONTRACTOR further agrees to the following: 20 1. To maintain all items of capital equipment in good working order and 21 condition, normal wear and tear excepted; and 22 2. To label all items of capital equipment, to perform periodic inventories as 23 required by COUNTY and to maintain an inventory list showing where and how the capital equipment is 24 being used in accordance with procedures developed by COUNTY. All such lists shall be submitted to 25 COUNTY within ten(10) days of any request therefore. 26 3. To report in writing to COUNTY immediately after discovery, the loss or 27 theft of any items of capital equipment. For stolen items, the local law enforcement agency must be 28 contacted and a copy of the police report submitted to COUNTY. - 20 - COUNTY OF FRESNO Fresno,CA 1 4. CONTRACTOR shall maintain a policy of insurance for all risk personal 2 property coverage which shall be endorsed naming the County of Fresno as an additional loss payee. 3 B. The purchase of any capital equipment over Five Thousand and No/Dollars 4 ($5,000.00)by CONTRACTOR with funds provided hereunder shall require the prior written approval 5 of COUNTY's DBH Director or designee, shall fulfill the provisions of this Agreement as appropriate 6 and must be directly related to CONTRACTOR's services or activity under the terms and conditions of 7 this Agreement. COUNTY's DBH may refuse reimbursement for any costs resulting from capital 8 equipment purchased, which are incurred by CONTRACTOR, if prior written approval has not been 9 obtained from COUNTY's DBH Director or designee. 10 C. CONTRACTOR must obtain prior written approval form COUNTY's DBH 11 whenever there is any modification or change in the use of any property acquired or improved, in whole 12 or in part,using MHSA funds. If any real or personal property acquired or improved with MHSA funds 13 is sold and/or is utilized by CONTRACTOR for a use which does not qualify under the MHSA 14 program, CONTRACTOR shall reimburse COUNTY in an amount equal to the current fair market 15 value of the property, less any portion thereof attributable to expenditures of non-MHSA funds. These 16 requirements shall continue in effect for the life of the property. In the event the MHSA program is 17 closed out, the requirements for this Section shall remain in effect for activities or property funded with 18 MHSA funds,unless action is taken by the State government to relieve COUNTY of these obligations. 19 D. The terms and conditions described in this Section are not applicable to the leasing 20 of vehicles by CONTRACTOR with the funds provided under this Agreement. 21 19. NON-DISCRIMINATION 22 During the performance of this Agreement CONTRACTOR shall not unlawfully 23 discriminate against any employee or applicant for employment, or recipient of services, because of 24 race, religion, color, national origin, ancestry, physical disability, medical condition, marital status, age 25 or gender,pursuant to all applicable State of California and Federal statutes and regulations. 26 20. CULTURAL COMPETENCY 27 As related to Cultural and Linguistic Competence CONTRACTOR shall comply with 28 the following requirements: - 21 - COUNTY OF FRESNO Fresno,CA 1 A. CONTRACTOR shall be required to ensure compliance with Title 6 of the 2 Civil Rights Act of 1964 (42 U.S.C. Section 2000d, and 45 C.F.R Part 80) and Executive Order 3 12250 of 1979 which prohibits recipients of federal financial assistance from discriminating against 4 persons based on race, color, national origin, sex, disability or religion. This is interpreted to mean 5 that a limited English proficient (LEP) individual is entitled to equal access and participation in 6 federally funded programs through the provision of comprehensive and quality bilingual services. 7 B. CONTRACTOR shall develop and implement policies and procedures for 8 ensuring access and appropriate use of trained interpreters and material translation services for all 9 LEP consumers, including, but not limited to, accessing the cultural and linguistic needs of its 10 consumers, training of staff on the policies and procedures, and monitoring its language assistance 11 program. CONTRACTOR procedures must include ensuring compliance of any sub-contracted 12 providers with these requirements 13 C. CONTRACTOR agrees that minors shall not be used as interpreters 14 D. CONTRACTOR shall be required to conduct and submit to County an annual 15 cultural and linguistic needs assessment to promote the provision and utilization of appropriate 16 services for its diverse consumer population. The needs assessment report shall include findings and 17 a plan outlining the proposed services to be improved or implemented as a result of the assessment 18 findings, with special attention to addressing cultural and linguistic barriers and reducing racial, 19 ethnic, language, abilities, and gender and age disparities. 20 E. CONTRACTOR shall develop internal systems to meet the cultural and 21 linguistic needs of the vendor's consumer census including the incorporation of cultural competency 22 in the mission; establishing and maintaining a process to evaluate and determine the need for special 23 —administrative, clinical, welcoming, billing, etc. — initiatives related to cultural competency as 24 appropriate. 25 F. CONTRACTOR shall develop recruitment and retention initiatives to establish 26 contracted program staffing that is reflective and responsive to the needs of the program and target 27 population. 28 - 22 - COUNTY OF FRESNO Fresno,CA 1 CONTRACTOR shall establish a designated staff person to coordinate and facilitate 2 the integration of cultural competency guidelines and attend the Fresno County Department of 3 Behavioral Health Cultural Competency Committee monthly meetings. The designated person will 4 provide an array of communication tools to distribute information to staff relating to cultural 5 competency issues. 6 G. CONTRACTOR shall keep abreast of evidence-based and best practices in 7 cultural competency in mental health care and services to ensure that the CONTRACTOR maintains 8 current information and external perspective in its policies. CONTRACTOR shall evaluate the 9 effectiveness of strategies and programs in improving the health status of cultural-defined 10 populations. 11 H. CONTRACTOR shall make sure that an assessment of a consumer's sexual 12 orientation is included in the bio-psychosocial intake process as appropriate. CONTRACTOR staff 13 shall assume that the populations served may not be in heterosexual relationships. Gender 14 sensitivity and sexual orientation (LGBTQ) must be covered in annual training. 15 I. CONTRACTOR staff may utilize community supports, referrals to transgender 16 support groups, etc., when appropriate. 17 J. Community resources include not only mental health and co-occurring 18 disorders professionals and provider agencies, but also social, religious and cultural organizations 19 and other natural community support networks. 20 K. CONTRACTOR is required to annually attend the Cultural Competence, 21 Compliance, Billing, and Documentation training provided by the COUNTY's Department of 22 Behavioral Health. 23 L. CONTRACTOR shall report its efforts to evaluate cultural and linguistic 24 activities as part of the vendor's ongoing quality improvement efforts in the monthly activities 25 report. Reported information may include consumer's complaints and grievances, results from 26 consumer satisfaction surveys, and utilization and other data that may reveal health disparities as a 27 result of cultural and linguistic barriers. 28 M. CONTRACTOR staff shall be recruited and hired that have demonstrated - 23 - COUNTY OF FRESNO Fresno,CA 1 experience working with culturally and linguistically underserved minority populations and have 2 knowledge about the culture and languages of these intended groups as well as other diverse 3 communities. 4 21. ENGLISH PROFICIENCY 5 CONTRACTOR shall provide interpreting and translation services to persons 6 participating in CONTRACTOR's services who have limited or no English language proficiency, 7 including services to persons who are deaf or blind. Interpreter and translation services shall be 8 provided as necessary to allow such participants meaningful access to the programs, services and 9 benefits provided by CONTRACTOR. Interpreter and translation services, including translation of 10 CONTRACTOR's "vital documents" (those documents that contain information that is critical for 11 accessing CONTRACTOR's services or are required by law) shall be provided to participants at no 12 cost to the participant. CONTRACTOR shall ensure that any employees, agents, subcontractors, or 13 partners who interpret or translate for a program participant, or who directly communicate with a 14 program participant in a language other than English, demonstrate proficiency in the participant's 15 language and can effectively communicate any specialized terms and concepts peculiar to 16 CONTRACTOR's services. 17 22. TAX EQUITY AND FISCAL RESPONSIBILITY ACT 18 To the extent necessary to prevent disallowance of reimbursement under Section 19 1861(v) (1) (1) of the Social Security Act, (42 U.S.C. § 139x, subd. (v)(1)111), until the expiration of 20 four(4)years after the furnishing of services under this Agreement, CONTRACTOR shall make 21 available upon written request of the Secretary of the United States Department of Health and Human 22 Services, or upon request of the Comptroller General of the United States General Accounting Office, 23 or any of their duly authorized representatives, a copy of this Agreement and such books, documents, 24 and records as are necessary to certify the nature and extent of the costs of these services provided by 25 CONTRACTOR under this Agreement. CONTRACTOR further agrees that in the event 26 CONTRACTOR carries out any of its duties under this Agreement through a subcontract, with a 27 value or cost of Ten Thousand and No/100 Dollars ($10,000.00) or more over a twelve (12) month 28 period, with a related organization, such Agreement shall contain a clause to the effect that until the - 24 - COUNTY OF FRESNO Fresno,CA 1 expiration of four(4)years after the furnishing of such services pursuant to such subcontract, the 2 related organizations shall make available, upon written request of the Secretary of the United States 3 Department of Health and Human Services, or upon request of the Comptroller General of the United 4 States General Accounting Office, or any of their duly authorized representatives, a copy of such 5 subcontract and such books, documents, and records of such organization as are necessary to verify the 6 nature and extent of such costs. 7 23. SINGLE AUDIT CLAUSE 8 A. If CONTRACTOR expends Seven Hundred Fifty Thousand Dollars 9 ($750,000.00) or more in Federal and Federal flow-through monies, CONTRACTOR agrees to 10 conduct an annual audit in accordance with the requirements of the Single Audit Standards as set forth 11 in Office of Management and Budget(OMB) Circular A-133. CONTRACTOR shall submit said audit 12 and management letter to COUNTY. The audit must include a statement of findings or a statement 13 that there were no findings. If there were negative findings, CONTRACTOR must include a 14 corrective action plan signed by an authorized individual. CONTRACTOR agrees to take action to 15 correct any material non-compliance or weakness found as a result of such audit. Such audit shall be 16 delivered to COUNTY's DBH Business Office for review within nine (9)months of the end of any 17 fiscal year in which funds were expended and/or received for the program. Failure to perform the 18 requisite audit functions as required by this Agreement may result in COUNTY performing the 19 necessary audit tasks, or at COUNTY's option, contracting with a public accountant to perform said 20 audit, or, may result in the inability of COUNTY to enter into future agreements with 21 CONTRACTOR. All audit costs related to this Agreement are the sole responsibility of 22 CONTRACTOR. 23 B. A single audit report is not applicable if CONTRACTOR's Federal contracts do 24 not exceed the Seven Hundred Fifty Thousand Dollars ($750,000.00)requirement or 25 CONTRACTOR's only funding is through Drug related Medi-Cal. If a single audit is not applicable, 26 a program audit must be performed and a program audit report with management letter shall be 27 submitted by CONTRACTOR to COUNTY as a minimum requirement to attest to CONTRACTOR's 28 solvency. Said audit report shall be delivered to COUNTY's DBH Business Office for review, no - 25 - COUNTY OF FRESNO Fresno,CA 1 later than nine (9)months after the close of the fiscal year in which the funds supplied through this 2 Agreement are expended. Failure to comply with this Act may result in COUNTY performing the 3 necessary audit tasks or contracting with a qualified accountant to perform said audit. All audit costs 4 related to this Agreement are the sole responsibility of CONTRACTOR who agrees to take corrective 5 action to eliminate any material noncompliance or weakness found as a result of such audit. Audit 6 work performed by COUNTY under this section shall be billed to the CONTRACTOR at COUNTY's 7 cost, as determined by COUNTY's Auditor-Controller/Treasurer-Tax Collector. 8 C. CONTRACTOR shall make available all records and accounts for inspection by 9 COUNTY, the State of California, if applicable,the Comptroller General of the United States, the 10 Federal Grantor Agency, or any of their duly authorized representatives, at all reasonable times for a 11 period of at least three (3)years following final payment under this Agreement or the closure of all 12 other pending matters, whichever is later. 13 24. DISCLOSURE—CRIMINAL HISTORY AND CIVIL ACTIONS 14 CONTRACTOR is required to disclose if any of the following conditions apply to 15 them, their owners, officers, corporate managers and partners: 16 A. Within the three-year period preceding the Agreement award, they have been 17 convicted of, or had a civil judgment rendered against them for: 18 1. Fraud or a criminal offense in connection with obtaining, attempting to 19 obtain, or performing a public (federal, state, or local) transaction or contract under a public 20 transaction; 21 2. Violation of a federal or state antitrust statute; 22 3. Embezzlement, theft, forgery, bribery, falsification, or destruction of 23 records; or 24 4. False statements or receipt of stolen property. 25 B. Within a three-year period preceding their Agreement award, they have had a 26 public transaction (federal, state, or local) terminated for cause or default. 27 Disclosure of the above information will not automatically eliminate CONTRACTOR 28 from further business consideration. The information will be considered as part of the determination - 26 - COUNTY OF FRESNO Fresno,CA I of whether to continue and/or renew the contract and any additional information or explanation that 2 a CONTRACTOR elects to submit with the disclosed information will be considered. If it is later 3 determined that the CONTRACTOR failed to disclose required information, any contract awarded to 4 such CONTRACTOR may be immediately voided and terminated for material failure to comply 5 with the terms and conditions of the award. 6 CONTRACTOR must sign an appropriate "Certification Regarding Debarment, 7 Suspension, and Other Responsibility Matters—Primary Covered Transactions", Exhibit E, attached 8 hereto and by this reference incorporated herein. Additionally, CONTRACTOR must immediately 9 advise the County in writing if, during the term of the agreement: (1) CONTRACTOR becomes 10 suspended, debarred, excluded or ineligible for participation in federal or state funded programs or 11 from receiving federal funds as listed in the excluded parties list system (http://www/epls/gov); or(2) 12 any of the above listed conditions become applicable to CONTRACTOR. The CONTRACTOR will 13 indemnify, defend and hold the COUNTY harmless for any loss or damage resulting from a conviction, 14 debarment, exclusion, ineligibility or other matter listed in the signed Certification Regarding 15 Debarment, Suspension, and Other Responsibility Matters. 16 26. PROHIBITION ON PUBLICITY 17 None of the funds, materials,property or services provided directly or indirectly under 18 this Agreement shall be used for CONTRACTOR's advertising, fundraising, or publicity (i.e., 19 purchasing tickets/tables, silent auction donations, etc.) for the purpose of self-promotion. 20 Notwithstanding the above,publicity of the services described in Section One (1) of this Agreement 21 shall be allowed as necessary to raise public awareness about the availability of such specific services 22 when approved in advance by COUNTY's DBH Director or designee and at a cost to be provided in 23 Exhibit B as appropriate, attached hereto, for such items as written/printed materials, the use of media 24 (i.e., radio, television, newspapers) and any other related expense(s). 25 27. SELF DEALING 26 This provision is only applicable if the CONTRACTOR is operating as a corporation (a 27 for-profit or non-profit corporation) or if during the term of this agreement, the CONTRACTOR 28 changes its status to operate as a corporation. 27 - COUNTY OF FRESNO Fresno,CA 1 Members of the CONTRACTOR's Board of Directors shall disclose any self-dealing 2 transactions that they are a party to while CONTRACTOR is providing goods or performing services 3 under this agreement. A self-dealing transaction shall mean a transaction to which the CONTRACTOR 4 is a party and in which one or more of its directors has a material financial interest. Members of the 5 Board of Directors shall disclose any self-dealing transactions that they are a party to by completing 6 and signing a Self-Dealing Transaction Disclosure Form (Exhibit F) and submitting it to the COUNTY 7 prior to commencing with the self-dealing transaction or immediately thereafter." 8 28. AUDITS AND INSPECTIONS 9 The CONTRACTOR shall at any time during business hours, and as often as the 10 COUNTY may deem necessary, make available to the COUNTY for examination all of its records and 11 data with respect to the matters covered by this Agreement. The CONTRACTOR shall, upon request 12 by the COUNTY, permit the COUNTY to audit and inspect all such records and data necessary to 13 ensure CONTRACTOR's compliance with the terms of this Agreement. 14 If this Agreement exceeds Ten Thousand and No/100 Dollars ($10,000.00), 15 CONTRACTOR shall be subject to the examination and audit of the State of California Auditor 16 General for a period of three (3)years after final payment under contract(California Government 17 Code section 8546.7). 18 In addition, CONTRACTOR shall cooperate and participate with COUNTY's fiscal 19 review process and comply with all final determinations rendered by the COUNTY's fiscal review 20 process. If COUNTY reaches an adverse decision regarding CONTRACTOR's services to consumers, 21 it may result in the disallowance of payment for services rendered; or in additional controls to the 22 delivery of services, or in the termination of this Agreement, at the discretion of COUNTY's DBH 23 Director or designee. If as a result of COUNTY'S fiscal review process a disallowance is discovered 24 due to CONTRACTOR's deficiency, CONTRACTOR shall be financially liable for the amount 25 previously paid by COUNTY to CONTRACTOR and this disallowance will be adjusted from 26 CONTRACTOR's future payments, at the discretion of COUNTY's DBH Director or designee. ELECTRONIC SIGNATURE 18 The parties agree that this Agreement may be executed by electronic signature as 19 provided in this section. Target Population Fresno County residents who are unserved and underserved including but not limited to people who are Native American, Southeast Asian/Asian, African American, Hispanic/Latino, Punjabi, veterans, individuals experiencing job loss, new mothers, non-Heterosexual, and other underserved community populations as well as individuals facing depression, anxiety, and suicidal thoughts and/or individuals seeking to learn complementary methods that promote wellness and recovery. Project Description The Holistic Center is a non-treatment innovative program designed to promote the wellness and recovery of clients based on a complementary/non-traditional holistic practices. This innovative concept incorporates spiritual and cultural approaches to wellness and recovery in a natural and welcoming community setting to the unserved, underserved and/or inappropriately served cultural communities. The Holistic Center is designed to promote opportunities that support the wellness of the 'whole person' while complementing traditional clinical treatment methods. Other services provided by the Holistic Center may include traditional outreach, linkage and referral to community-based services, educational opportunities, and stigma reduction activities. The Holistic Center is a safe, welcoming place where the various cultures of the County of Fresno are represented. Exhibit A Page 3 of 9 Scope of Work Services to be performed by Contractor shall include the following: Contractor shall be responsible for all services provided under this Agreement. In order to fulfill its requirements under this Agreement, Contractor shall create partnerships with local agencies/partners, in addition to consultants and other trainers to complete the scope of services identified in this Agreement. Services In accordance with the Innovation Work Plan for the Holistic Cultural Education Wellness Center (Holistic Center), the Holistic Center will promote learning and shall ensure education activities and services contribute to learning, which is one of the key components of MHSA Innovation programming_ MHSA Innovation Guidelines and Principals state learning must be measured to determine the effectiveness of education in relation to the client's wellness and recovery. Therefore, the Holistic Center has developed "Learning Goals" which are directly related to the original Holistic Cultural Education Wellness Center Innovation Work Plan, designed to demonstrate and measure the impact of services provided at the Holistic Center. The Learning Goals are listed and described in more detail within this document and are a required service of this Agreement. The Holistic Center shall form and maintain an Advisory Council consisting of representative members of the community. The Advisory Council provides recommendations on the type of services to be offered, program design and policy development of the Holistic Center under the guidance of the Department of Behavioral Health. The Holistic Center and the Advisory Council will continue to select and incorporate Complementary/Non-Traditional Holistic Healers from the community, using the developed Policy& Procedure Guide (PPG) which will allow for the Holistic Center to provide a client with a list of local Holistic Healers, if a client seeks complementary healing practices. Participant Record Management System The Holistic Center shall develop, implement and maintain an electronic record management system that collects participant data related to educational and learning activities that allow for the evaluation of participant's learning experience at the Holistic Center. The system must also allow the Holistic Center to remain connected to participants that are referred or linked to other services, in order to learn of the outcome of the referral and the impact upon the participant. The Holistic Center will work with COUNTY to develop an electronic system that is compatible with COUNTY's AVATAR client systems. Education / Learning / Training Activities The Holistic Center will provide education opportunities regarding complementary/holistic options, and accessibility to services for targeted populations who can benefit and utilize the skills of Cultural Brokers. These holistic approaches may incorporate spiritual and cultural approaches to wellness, recovery and resiliency. Education and awareness will also be inclusive of available services such as 'traditional mental health' to demonstrate the collaboration and connection between 'traditional' and 'non-traditional' services. Training and education opportunities are provided to Cultural Brokers of the Holistic Center, so that linkage to and referral of a participant to a traditional or Western clinical based provider is available if desired. Training and ongoing education for staff and the community are vital to the program to ensure: services are delivered and received in a culturally sensitive manner; that current and relative information about mental illness and available resources is shared to reduce stigma associated with mental illness; and to intervene early with individuals/families to prevent and/or minimize the impact of mental illness. The diversity of educational opportunities and learning activities at the Holistic Center will be intended to increase the general public's awareness of mental health, thereby reducing stigma associated with mental illness. The Holistic Center will outreach to these populations to engage currently unserved, underserved, and/or inappropriately served individuals with the intent of providing service or increasing access to available service. In this capacity the Holistic Center staff functions as the first link in the chain to ultimately connect individuals to wellness and recovery, and/or traditional mental health wellness and recovery services through a collaborative effort with other support service agencies and county entities. Linkage and Referral The Holistic Center will provide client linkage or referral to practitioners of holistic healing and other non- traditional healing practitioners. The Holistic Center will also refer and link clients to the Department of Behavioral Health and/or other community-based mental health agencies for traditional clinical treatment. Cultural Brokers can encourage client's attendance, participation, and access to services. Linkage to traditional Western clinical-based practices will increase access to non-traditional and/or traditional mental health services as well as other community-based mental health services. Multi- Year Participant Research The Holistic Center shall conduct research related to the impact of services provided to participants. The Holistic Center shall clearly identify the sample group and define how the sample group will be utilized in research efforts over the term of this Agreement. In the first year of the Agreement CONTRACTOR shall provide a minimum of 25 Holistic Healers and increase Healers by 6 each year thereafter during the term of this Agreement. Holistic Healers shall be reputable and vetted by respective community standards; additionally Holistic Healers shall be added to the existing list of approved Holistic Healers available to participants. • Shall provide to the COUNTY's Department of Behavioral Health, in advance, all activities and schedules of the Holistic Center. • Shall follow the recommendations of the Holistic Center Advisory Council if aligned with program outcomes. • Shall appoint and maintain a supervisor for the Holistic Center whose qualifications shall include but not be limited to a degree in Behavioral Health Science or a related degree acceptable to the COUNTY's Department of Behavioral Health and experience working in mental health programs. The program manager/supervisor shall be a mental health staff person with mental health background. • Shall ensure the Holistic Center provides a welcoming environment in which all cultures of Fresno County are represented. • Shall utilize Cultural Brokers who will share their experiences with other cultures, the Department of Behavioral Health, and those who visit the Holistic Center. • Shall communicate with the Department of Behavioral Health, Holistic Center Staff Analyst if hours of operation or other requirements are not meeting the needs of the target population. • Shall provide services in a de-stigmatized environment while avoiding treatment practices at the Holistic Center. CONTRACTOR may refer consultations to spiritual leaders, complementary healers, and clinically based providers. • Shall provide, to County staff and other contracted staff, education and training related to holistic practices. • Shall, with Advisory Council approval, recruit Holistic healers, spiritual leaders to provide education and activities at the Holistic Center. • Shall collaborate with the Fresno County Cultural Competency Committee to expand COUNTY's approved Complementary Holistic Healer Resource List. Exhibit A Page 8 of 9 PROGRAM OUTCOMES During the term of the Agreement, CONTRACTOR shall provide the following: • Shall implement a satisfaction survey.At a minimum, eighty percent (80%) of Holistic Center participants will report satisfaction with the services they receive. • Shall identify services provided to consumers on a monthly basis. • Shall identify cultural and linguistic barriers to the behavioral health system and report such to COUNTY. • Shall ensure activities and services at the Holistic Center contribute to learning. Contribution to learning is one of the key components to Innovation projects. • Shall develop, implement,maintain and put into place a measurable system for identifying best practices learned from this Holistic Center. This system must describe how the Holistic Center was developed, implemented, monitored, and how it can be duplicated/replicated in future projects in other locations based on the outcomes of the Holistic Center as a learning project. Therefore a report needs to be provided to the COUNTY's Department of Behavioral Health within thirty (60) days of the end of the contract term with a Holistic Center new model of service recommendation based on the Holistic Center's performance and how the Holistic Center can be replicated. This requirement is in addition to the required monthly program reports of the Holistic Center implementation activities/outcomes stated in this Agreement. • Shall increase access to behavioral health and related services. • Ensure all services be client and family driven. • Shall promote wellness, recovery, and resilience. The Cultural Broker II is a more experienced Broker with over 2 years of working in the Holistic Center. Broker 11 will be responsible for planning and directing activities related to Holistic Center culturally competent center (Holistic Center) as it relates to alternative healing education, referral, linkage, and related services_ The Cultural Broker 11 will also work directly with different ethnic groups and communities to provide services and resources. • Three Cultural Brokers I @ $2,918/month x 12 months x 100% FTE x 3 staff= $105,048. The Cultural Broker I will be responsible for planning and directing activities related to Holistic Center culturally competent center (Holistic Center) as it relates to alternative healing education, referral, linkage, and related services. •One Childcare Provider @ $2,427/month x 12 months x 50% FTE x 1 staff= $14,562. The childcare provider will be part-time and work at the holistic center work with the children's of clients during Holistic activities. • One Healing Gardner @ $2,253/month x 12 months x 75% FTE _ $20,277.
