1 AMENDMENT II TO AGREEMENT
2 THIS AMENDMENT, hereinafter referred to as Amendment II, is made and entered into this 20th
3 day of June , 2023, by and between the COUNTY OF FRESNO, a Political Subdivision of the
4 State of California, hereinafter referred to as "COUNTY", and each CONTRACTOR to be listed in
5 Revised Exhibit A-1 "List of Contractors," collectively hereinafter referred to as "CONTRACTORS".
6 Reference in this Agreement to party or"parties" shall be understood to refer to COUNTY and each
7 individual CONTRACTOR(S), unless otherwise specified.
8 WHEREAS, the parties entered into that certain Agreement, identified as COUNTY Agreement No.
9 20-015, effective January 7, 2020, and Amendment I, identified as COUNTY Agreement No. 23-082,
10 effective February 28, 2023, collectively referred to as the "Agreement," whereby CONTRACTORS are
11 qualified and willing to source, screen, present, and coordinate certain logistics for locum tenens
12 psychiatrists; and
13 WHEREAS, the CONTRACTORS have updated Rates of Reimbursement as indicated on Revised
14 Exhibit A-1; and
15 WHEREAS, the COUNTY now desires to add CONTRACTOR Curative Talent, LLC to COUNTY
16 Agreement No. 23-082. Its current"Rates" and signature page are attached to this Amendment as
17 Exhibit B-8; and
18 WHEREAS, the parties now desire to amend the Agreement to memorialize these changes as
19 stated below.
20 NOW, THEREFORE, for good and valuable consideration, the receipt and adequacy of which is
21 hereby acknowledged, the parties agree as follows:
22 1. That all references in the existing Agreement No. 23-082 to "Revised Exhibit A" shall be
23 deemed references to "Revised Exhibit A-1", which is attached and incorporated by this reference.
24 2. The CONTRACTORS' updated Exhibit B sub-parts, "Rates of Reimbursement," as
25 indicated on Revised Exhibit A-1, are attached and incorporated by this reference.
26 3. That Section Three (3) on Page Five (5), Line Ten (10), beginning with the word "This"
27 and ending on Page Five (5), Line Fifteen (15), with the word "performance" be replaced as follows:
28 "This Agreement shall become effective upon execution through June 30, 2024 and may

1 be extended for one (1) additional twelve (12) month period beginning on July 1, 2024 through June
2 30, 2025 with written approval of COUNTY and CONTRACTORS no later than thirty (30) days prior to
3 the first day of the next twelve (12) month extension period. COUNTY's DBH Director or designee is
4 authorized to execute such written approval on behalf of COUNTY based on CONTRACTORS'
5 satisfactory performance."
6 4. That Section Five (5) on Page Seven (7), Line Seventeen (17), beginning with the letter
7 "A" and ending on Page Eight (8), Line Ten (10) with the number "$33,101,120.00" be replaced as
8 follows:
9 "A. Reimbursement to CONTRACTORS for scheduled service sessions shall be
10 made in accordance with CONTRACTORS' corresponding Exhibit B sub-part "Rates of
11 Reimbursement" as indicated on Revised Exhibit A-1. It is agreed by all parties that the actual annual
12 fiscal year rate increases listed in each Exhibit B sub-part shall reflect Consumer Price Index (CPI)
13 rate that is released during the last month of the current fiscal year, not to exceed a maximum
14 increase of four (4) percent from the previous fiscal year's rate for each subsequent fiscal year
15 throughout the contract period, not to exceed the maximum annual compensation amount identified
16 below.
17 In no event shall services provided by all CONTRACTOR(S) pursuant to the
18 MHP exceed a total amount of Three Million Four Hundred Fifty-Two Thousand Eight Hundred and
19 No/100 Dollars ($3,452,800.00) for the period of January 1, 2020 through June 30, 2020. In no event
20 shall services provided by all CONTRACTOR(S) pursuant to the MHP exceed a total amount of Seven
21 Million Seventy-Two Thousand and No/100 Dollars ($7,072,000.00) for the period of July 1, 2020
22 through June 30, 2021. In no event shall services provided by all CONTRACTOR(S) pursuant to the
23 MHP exceed a total amount of Seven Million Two Hundred Eighty-Eight Thousand Three Hundred
24 Twenty and No/100 Dollars ($7,288,320.00) for the period of July 1, 2021 through June 30, 2022. In
25 no event shall services provided by all CONTRACTOR(S) pursuant to the MHP exceed a total amount
26 of Seven Million Five Hundred Twenty-Five Thousand Four Hundred Forty and No/100 Dollars
27 ($7,525,440.00) for the period of July 1, 2022 through June 30, 2023. In no event shall services
28 provided by all CONTRACTOR(S) pursuant to the MHP exceed a total amount of Seven Million Seven

1 Hundred Sixty-Two Thousand Five Hundred Sixty and No/100 Dollars ($7,762,560.00) for the period
2 of July 1, 2023 through June 30, 2024. In no event shall services provided by all CONTRACTOR(S)
3 pursuant to the MHP exceed a total amount of Seven Million Seven Hundred Sixty-Two Thousand
4 Five Hundred Sixty and No/100 Dollars ($7,762,560.00) for the period of July 1, 2024 through June
5 30, 2025. The maximum amount payable under this Agreement throughout the entire term of this
6 Agreement is Forty Million Eight Hundred Sixty-Three Thousand Six Hundred Eighty and No/100
7 Dollars ($40,863,680.00).
8 5. CONTRACTORS hereby agree to all terms of the Agreement, as amended, and agree to
9 be bound by the terms of the Agreement, as amended. CONTRACTORS hereby acknowledge that
10 they have received a complete copy of the Agreement, as amended.
11 6. The parties agree that upon execution of this Amendment II, COUNTY Agreement No.
12 20-015 is further revised, updated and amended to add CONTRACTOR Curative Talent, LLC.
13 7. The parties agree that this Amendment II is sufficient to amend the Agreement; and that
14 upon execution of the Agreement, Amendment I, and Amendment II together shall be considered the
15 Agreement.
16 8. The Agreement, as hereby amended, is ratified and continued. All provisions, terms,
17 covenants, conditions, and promises contained in the Agreement and not amended herein shall remain
18 in full force and effect. This Amendment II shall be effective upon execution.
