Amend 2
1 SECOND AMENDMENT TO AGREEMENT
2 THIS SECOND AMENDMENT TO AGREEMENT (hereinafter"Amendment") is made and
3 entered into this 19th day of July, 2023, by and between COUNTY OF FRESNO, a Political
4 Subdivision of the State of California, Fresno, California (hereinafter"COUNTY"), and Rev. Karen
5 Crozier, Ph.D., a sole proprietorship, whose address is 7 E. Myers Ave., Fresno, CA, 93706
6 (hereinafter "CONTRACTOR").
7 WITNESSETH:
8 WHEREAS, COUNTY and CONTRACTOR entered into Agreement number P-21-202, dated
9 June 8, 2021, pursuant to which CONTRACTOR agreed to lead and facilitate community discussions
10 around maternal and infant health disparities and intervention to COUNTY; and
11 WHEREAS, COUNTY and Contractor entered into First Amendment number P-21-202, dated
12 May 10, 2022, to amend the Agreement in order to waive specific segments of COUNTY's insurance
13 requirements(Agreement and First Amendment number P-21-202, collectively, shall be referred to
14 herein as "Agreement"); and
15 WHEREAS, COUNTY and CONTRACTOR now desire to amend the Agreement in order to
16 revise the compensation terms and conditions and extend the Agreement through June 30, 2024.
17 NOW, THEREFORE, for good and valuable consideration, the receipt and adequacy of which
18 is hereby acknowledged, COUNTY and CONTRACTOR agree as follows:
19 1. Section 2 of the Agreement, located on page 1, lines 24 through 28, is deleted in its
20 entirety and replaced with the following:
21 "The term of this Agreement shall be effective upon execution through and including
22 June 30, 2024."
23 2. Section 4 of the Agreement, beginning on Page 2, line 23 and ending on Page 3, line 7,
24 is deleted in its entirety and replaced with the following:
25 "COUNTY agrees to pay CONTRACTOR and CONTRACTOR agrees to receive
26 compensation at a rate of One Hundred Twenty-Five and No/100 Dollars ($125) per hour of services
27 identified in Exhibit A. CONTRACTOR shall submit an itemized service invoice to COUNTY, by the
28 301h day of each month for the prior month's expenditures to dphboa fresnocountyca.gov. Invoices

1 shall be addressed to the County of Fresno, Department of Public Health, Public Health Nursing
2 Division, P.O. Box 11867, Fresno, CA 93775, Attention: Division Manager.
3 In no event shall services performed under this Agreement be in excess of Seventeen
4 Thousand Five Hundred and No/100 Dollars ($17,500) during the full term of this Agreement. It is
5 understood that all expenses incidental to CONTRACTOR's performance of services under this
6 Agreement shall be borne by CONTRACTOR."
7 COUNTY and CONTRACTOR agree that this Amendment is sufficient to amend the
8 Agreement and, that upon execution of this Amendment, the Agreement and this Amendment together
9 shall be considered the Agreement.
10 The parties agree that this Amendment may be executed by electronic signature as provided in
11 this section. An "electronic signature" means any symbol or process intended by an individual signing
12 this Amendment to represent their signature, including but not limited to (1) a digital signature; (2) a
13 faxed version of an original handwritten signature; or(3) an electronically scanned and transmitted (for
14 example by PDF document) of a handwritten signature. Each electronic signature affixed or attached
15 to this Amendment(1) is deemed equivalent to a valid original handwritten signature of the person
16 signing this Amendment for all purposes, including but not limited to evidentiary proof in any
17 administrative or judicial proceeding, and (2) has the same force and effect as the valid original
18 handwritten signature of that person. The provisions of this section satisfy the requirements of Civil
19 Code section 1633.5, subdivision (b), in the Uniform Electronic Transaction Act (Civil Code, Division 3,
20 Part 2, Title 2.5, beginning with section 1633.1). Each party using a digital signature represents that it
21 has undertaken and satisfied the requirements of Government Code section 16.5, subdivision (a),
22 paragraphs (1) through (5), and agrees that each other party may rely upon that representation. This
23 Amendment is not conditioned upon the parties conducting the transactions under it by electronic
24 means and either party may sign this Amendment with an original handwritten signature.
25 The Agreement, as hereby amended, is ratified and continued. All provisions, terms,
26 covenants, conditions and promises contained in the Agreement and not amended herein shall remain
27 in full force and effect.

1 IN WITNESS WHEREOF, the parties hereto have executed this Second Amendment to
2 Agreement as of the day and year first hereinabove written.
