1 AGREEMENT
2 This Agreement is made and entered into this 19th day of November 2019,by and
3 between the COUNTY OF FRESNO, a Political Subdivision of the State of California, hereinafter
4 referred to as "COUNTY", and CULTURAL BROKERS, INC., a California non-profit corporation,
5 whose address is 2115 Kern Street, Suite 5, Fresno, CA 93721, hereinafter referred to as
6 "CONTRACTOR".
7 WITNESSETH:
8 WHEREAS, COUNTY desires to enter into an agreement whereby COUNTY may obtain
9 Parent Partner/Home Visitor services; and
10 WHEREAS, CONTRACTOR possesses the experience and skills to provide the services
11 desired by COUNTY.
12 NOW, THEREFORE, in consideration of their mutual covenants and conditions, the parties
13 hereto agree as follows:
14 1. SERVICES
15 A. CONTRACTOR shall perform all services and fulfill all responsibilities set
16 forth in Exhibit A, Summary of Services, attached hereto and by this reference incorporated herein.
17 CONTRACTOR's performance shall be in accordance with the COUNTY'S Request for Proposal
18 (RFP)No. 20-006 dated August 61h, 2019 and Addendum No. one (1), dated September 4, 2019,
19 hereinafter collectively referred to as COUNTY'S RFP 20-006, and CONTRACTOR's Response to
20 RFP, dated August 6, 2019.
21 B. In the event of any inconsistency among the documents described in Paragraph
22 LA herein above, the inconsistency shall be resolved by giving precedence in the following order of
23 priority: 1) to this Agreement, including all Exhibits attached hereto; 2) COUNTY's RFP 20-006; and
24 3) CONTRACTOR's Response to RFP. A copy of COUNTY's RFP No. 20-006, and
25 CONTRACTOR's Response to RFP, shall be retained and made available during the term of this
26 Agreement by COUNTY's Department of Social Services (DSS).
27 C. CONTRACTOR shall participate in monthly, or as needed, meetings consisting
28 of staff from COUNTY's DSS to discuss requirements, data reporting, training,policies and

1 procedures, overall program operations and any problems or foreseeable problems that may arise.
2 D. In the event of the termination or expiration of this Agreement in accordance
3 with Section Three (3) of this Agreement, CONTRACTOR shall provide transitional services to
4 clients currently receiving services, working with DSS staff and/or COUNTY's contracted vendor(s).
5 Transitional services shall include but is not limited to the transfer of client records and shall not
6 exceed a maximum of thirty(30) days. This section of the Agreement shall survive thirty(30) days
7 from the expiration or written termination date of this Agreement.
8 2. TERM
9 This Agreement shall become effective January 1, 2020 and shall terminate on the 31 st
10 day of December 2022.
11 This Agreement may be extended for two (2) additional consecutive twelve (12) month
12 periods upon written approval of both parties no later than thirty(30) days prior to the first day of the
13 next twelve (12) month extension period. The DSS Director or designee is authorized to execute such
14 written approval on behalf of COUNTY based on.
15 3. TERMINATION
16 A. Non-Allocation of Funds - The terms of this Agreement, and the services to be
17 provided thereunder, are contingent on the approval of funds by the appropriating government agency.
18 Should sufficient funds not be allocated, the services provided may be modified, or this Agreement
19 terminated at any time by giving CONTRACTOR thirty(30) days advance written notice.
20 B. Breach of Contract- COUNTY may immediately suspend or terminate this
21 Agreement in whole or in part, where in the determination of COUNTY there is:
22 1) An illegal or improper use of funds;
23 2) A failure to comply with any term of this Agreement;
24 3) A substantially incorrect or incomplete report submitted to COUNTY;
25 4) Improperly performed service.
26 In no event shall any payment by COUNTY constitute a waiver by COUNTY of
2 7 any breach of this Agreement or any default which may then exist on the part of CONTRACTOR.
28 Neither shall such payment impair or prejudice any remedy available to COUNTY with respect to the

1 breach or default. COUNTY shall have the right to demand of CONTRACTOR the repayment to
2 COUNTY of any funds disbursed to CONTRACTOR under this Agreement, which in the judgment of
3 COUNTY were not expended in accordance with the terms of this Agreement. CONTRACTOR shall
4 promptly refund any such funds upon demand or, at COUNTY's option; such repayment shall be
5 deducted from future payments owing to CONTRACTOR under this Agreement.
6 C. Without Cause -Under circumstances other than those set forth above, this
7 Agreement may be terminated by CONTRACTOR or COUNTY upon the giving of thirty(30) days
8 advance written notice of an intention to terminate the Agreement.
9 4. COMPENSATION
10 For actual services provided as identified in the terms and conditions of this Agreement,
11 including Exhibit A, COUNTY agrees to pay CONTRACTOR and CONTRACTOR agrees to receive
12 compensation in accordance with Exhibit B, attached here to and by this reference incorporated herein.
13 In no event shall compensation for services performed under this Agreement be in excess of Three
14 Hundred Thirty-Two Thousand Four Hundred and Seventy Eight and No/100 Dollars ($332,478) for
15 each twelve (12) month period of this Agreement. Mandated travel shall be reimbursed based on actual
16 expenditures and mileage reimbursement shall be at CONTRACTOR's adopted rate per mile, not to
17 exceed the IRS published rate. Payment shall be made upon certification or other proof satisfactory to
18 DSS that services have actually been performed by CONTRACTOR as specified in this Agreement.
19 Except as provided below regarding State payment delays,payments by COUNTY shall
20 be in arrears, for services provided during the preceding month, within forty-five (45) days after receipt,
21 verification and approval of CONTRACTOR's invoices by DSS. If CONTRACTOR should fail to
22 comply with any provision of this Agreement, COUNTY shall be relieved of its obligation for further
23 compensation. All final claims shall be submitted by CONTRACTOR within sixty(60) days following
24 the final month of service for which payment is claimed. No action shall be taken by COUNTY on
25 claims submitted beyond the sixty(60) day closeout period. Any compensation which is not expended
26 by CONTRACTOR pursuant to the terms and conditions of this Agreement shall automatically revert to
27 COUNTY.
28 The services provided by CONTRACTOR under this Agreement are funded in whole or

1 in part by the State of California. In the event that funding for these services is delayed by the State
2 Controller, COUNTY may defer payment to CONTRACTOR. The amount of the deferred payment
3 shall not exceed the amount of funding delayed by the State Controller to COUNTY. The period of
4 time of the deferral by COUNTY shall not exceed the period of time of the State Controller's delay of
5 payment to COUNTY plus forty-five (45) days.
6 5. INVOICING
7 CONTRACTOR shall invoice COUNTY in arrears by the tenth(loth) of each month for
8 actual expenses incurred and services rendered in the previous month to: DSSInvoiceskco.fresno.ca.us.
9 A monthly activity report shall accompany the invoice, reflecting services supported by the invoiced
10 expenditures and be in a form and in such detail as acceptable to COUNTY's DSS.
11 At the discretion of COUNTY's DSS Director or designee, if an invoice is incorrect or is
12 otherwise not in proper form or substance, COUNTY's DSS Director or designee shall have the right to
13 withhold payment as to only that portion of the invoice that is incorrect or improper after five (5) days
14 prior written notice to CONTRACTOR. CONTRACTOR agrees to continue to provide services for a
15 period of ninety(90) days after notification of an incorrect or improper invoice. If after the ninety(90)
16 day period the invoice(s) is still not corrected to COUNTY's DSS satisfaction, COUNTY's DSS
17 Director or designee may elect to terminate this Agreement, pursuant to the termination provisions
18 stated in Paragraph Three (3), subparagraph C of this Agreement, or the COUNTY may elect to
19 terminate this Agreement,pursuant to the termination provisions stated in Paragraph three (3) of this
20 Agreement. In addition, for invoices received ninety(90) days after the expiration of each term of this
21 Agreement or termination of this Agreement, at the discretion of COUNTY's DSS Director or designee,
22 COUNTY's DSS shall have the right to deny payment of any additional invoices received.
23 6. INDEPENDENT CONTRACTOR
24 In performance of the work, duties, and obligations assumed by CONTRACTOR under
25 this Agreement, it is mutually understood and agreed that CONTRACTOR, including any and all of
26 CONTRACTOR's officers, agents, and employees will at all times be acting and performing as an
27 independent CONTRACTOR, and shall act in an independent capacity and not as an officer, agent,
28 servant, employee,joint venturer,partner, or associate of COUNTY. Furthermore, COUNTY shall

1 have no right to control or supervise or direct the manner or method by which CONTRACTOR shall
2 perform its work and function. However, COUNTY shall retain the right to administer this Agreement
3 so as to verify that CONTRACTOR is performing its obligations in accordance with the terms and
4 conditions thereof. CONTRACTOR and COUNTY shall comply with all applicable provisions of law
5 and the rules and regulations, if any, of governmental authorities having jurisdiction over matters
6 which are directly or indirectly the subject of this Agreement.
7 Because of its status as an independent CONTRACTOR, CONTRACTOR shall have
8 absolutely no right to employment rights and benefits available to COUNTY employees.
9 CONTRACTOR shall be solely liable and responsible for providing to, or on behalf of, its employees
10 all legally-required employee benefits. In addition, CONTRACTOR shall be solely responsible and
11 save COUNTY harmless from all matters relating to payment of CONTRACTOR's employees,
12 including compliance with Social Security, withholding, and all other regulations governing such
13 matters. It is acknowledged that during the term of this Agreement, CONTRACTOR may be providing
14 services to others unrelated to COUNTY or to this Agreement.
15 7. MODIFICATION
16 A. Any matters of this Agreement may be modified from time to time by the written
17 consent of all the parties without, in any way, affecting the remainder.
18 B. Notwithstanding the above, changes to line items in the budget, attached hereto
19 as Exhibit B, in an amount not to exceed 10% of the total maximum annual compensation as identified
20 in Section Four(4) of this Agreement, may be made with the written approval of COUNTY's DSS
21 Director or designee and CONTRACTOR. Budget line item changes shall not result in any change to
22 the maximum annual compensation amount payable to CONTRACTOR, as stated herein.
23 C. CONTRACTOR hereby agrees that reductions to the maximum compensation set
24 forth in Section Four(4) of this Agreement may be necessitated by a reduction in funding from State
25 and/or Federal sources. In such an event, COUNTY's DSS Director or designee may reduce the
26 maximum compensation under this Agreement upon written notice to CONTRACTOR.
27 CONTRACTOR further understands that this Agreement is subject to any restrictions, limitations or
28 enactments of all legislative bodies which affect the provisions, term or funding of this Agreement in

1 any manner.
2 8. NON-ASSIGNMENT
3 Neither party shall assign, transfer or subcontract this Agreement nor their rights or
4 duties under this Agreement without the prior written consent of the other party.
5 9. HOLD-HARMLESS
6 CONTRACTOR agrees to indemnify, save, hold harmless, and at COUNTY's request,
7 defend COUNTY, its officers, agents and employees from any and all costs and expenses, including
8 attorney fees and court costs, damages, liabilities, claims and losses occurring or resulting to COUNTY
9 in connection with the performance, or failure to perform,by CONTRACTOR, its officers, agents or
10 employees under this Agreement, and from any and all costs and expenses, including attorney fees and
11 court costs, damages, liabilities, claims and losses occurring or resulting to any person, firm or
12 corporation who may be injured or damaged by the performance, or failure to perform, of
13 CONTRACTOR, its officers, agents or employees under this Agreement. In addition, CONTRACTOR
14 agrees to indemnify COUNTY for Federal, State of California and/or local audit exceptions resulting
15 from noncompliance herein on the part of the CONTRACTOR.
16 10. INSURANCE
17 Without limiting COUNTY's right to obtain indemnification from CONTRACTOR or
18 any third parties, CONTRACTOR, at its sole expense, shall maintain in full force and effect the
19 following insurance throughout the term of this Agreement:
20 A. Commercial General Liability
21 Commercial General Liability Insurance with limits of not less than Two Million
22 Dollars ($2,000,000)per occurrence and an annual aggregate of Four Million
Dollars ($4,000,000). This policy shall be issued on a per occurrence basis.
23 COUNTY may require specific coverage including completed operations,
24 product liability, contractual liability, Explosion, Collapse, and Underground
(XCU), fire legal liability or any other liability insurance deemed necessary
25 because of the nature of the Agreement.

B. Automobile Liability

28 Comprehensive Automobile Liability Insurance with limits for not less than One
Million Dollars ($1,000,000)per accident for bodily injury and for property

1 damages. Coverage should include owned and non-owned vehicles used in
2 connection with this Agreement.
3 C. Professional Liability

If CONTRACTOR employs licensed professional staff(e.g. Ph.D., R.N.,
5 L.C.S.W., M.F.C.T.) in providing services, Professional Liability Insurance with
6 limits of not less than One Million Dollars ($1,000,000)per occurrence, Three
Million Dollars ($3,000,000) annual aggregate.

g D. Worker's Compensation
9 A policy of Worker's Compensation Insurance as may be required by the
10 California Labor Code.
11 Additional Requirements Relating to Insurance
12 CONTRACTOR shall obtain endorsements to the Commercial General Liability insurance
13 naming the County of Fresno, its officers, agents, and employees, individually and collectively, as
14 additional insured,but only insofar as the operations under this Agreement are concerned. Such coverage
15 for additional insured shall apply as primary insurance and any other insurance, or self-insurance,
16 maintained by COUNTY, its officers, agents and employees shall be excess only and not contributing with
17 insurance provided under CONTRACTOR's policies herein. This insurance shall not be cancelled or
18 changed without a minimum of thirty(30)days advance written notice given to COUNTY.
19 CONTRACTOR hereby waives its right to recover from COUNTY, its officers, agents, and
20 employees any amounts paid by the policy of worker's compensation insurance required by this
21 Agreement. CONTRACTOR is solely responsible to obtain any endorsement to such policy that may be
22 necessary to accomplish such waiver of subrogation,but CONTRACTOR's waiver of subrogation under
23 this paragraph is effective whether or not CONTRACTOR obtains such an endorsement.
24 Within Thirty(30)days from the date CONTRACTOR signs and executes this
25 Agreement, CONTRACTOR shall provide certificates of insurance and endorsement as stated above for all
26 of the foregoing policies, as required herein,to the County of Fresno,Paul Warren, Staff Analyst, 205
2 7 Pontiac Way, Clovis, CA 93612, stating that such insurance coverage have been obtained and are in full
28 force; that the County of Fresno, its officers, agents and employees will not be responsible for any

1 premiums on the policies; that for such worker's compensation insurance the CONTRACTOR has waived
2 its right to recover from the COUNTY, its officer, agents, and employees any amounts paid under the
3 insurance policy and that waiver does not invalidate the insurance policy; that such Commercial General
4 Liability insurance names the County of Fresno, its officers, agents and employees, individually and
5 collectively, as additional insured,but only insofar as the operations under this Agreement are concerned;
6 that such coverage for additional insured shall apply as primary insurance and any other insurance, or
7 self-insurance,maintained by COUNTY, its officers, agents and employees, shall be excess only and not
8 contributing with insurance provided under CONTRACTOR's policies herein; and that this insurance shall
9 not be cancelled or changed without a minimum of thirty(30)days advance,written notice given to
10 COUNTY.
11 In the event CONTRACTOR fails to keep in effect at all times insurance coverage as
12 herein provided,the COUNTY may, in addition to other remedies it may have, suspend or terminate this
13 Agreement upon the occurrence of such event.
14 All policies shall be issued by admitted insurers licensed to do business in the State of California, and
15 such insurance shall be purchased from companies possessing a current A.M. Best, Inc. rating of A
16 FSC VII or better.
17 11. SUBCONTRACTS
18 CONTRACTOR shall obtain written approval from COUNTY or COUNTY's DSS
19 Director, or designee before subcontracting any of the services delivered under this Agreement. Any
20 transferee, assignee or CONTRACTOR will be subject to all applicable provisions of this Agreement,
21 and all applicable State and Federal regulations. CONTRACTOR shall be held primarily responsible
22 by COUNTY for the performance of any transferee, assignee or CONTRACTOR unless otherwise
23 expressly agreed to in writing by COUNTY. The use of a subcontractor by CONTRACTOR shall not
24 entitle CONTRACTOR to any additional compensation than is provided for under this Agreement.
25 12. CONFLICT OF INTEREST
26 No officer, agent, or employee of COUNTY who exercises any function or responsibility
27 for planning and carrying out the services provided under this Agreement shall have any direct or
28 indirect personal financial interest in this Agreement. In addition, no employee of COUNTY shall be

1 employed by CONTRACTOR to fulfill any contractual obligations with COUNTY. CONTRACTOR
2 shall also comply with all Federal, State of California, and local conflict of interest laws, statutes, and
3 regulations, which shall be applicable to all parties and beneficiaries under this Agreement and any
4 officer, agent, or employee of COUNTY.
5 13. DISCLOSURE OF SELF-DEALING TRANSACTIONS
6 This provision is only applicable if CONTRACTOR is operating as a corporation(a for-
7 profit or non-profit corporation) or if during the term of this Agreement, CONTRACTOR changes its
8 status to operate as a corporation.
9 Members of CONTRACTOR's Board of Directors shall disclose any self-dealing
10 transactions that they are a party to while CONTRACTOR is providing goods or performing services
11 under this Agreement. A self-dealing transaction shall mean a transaction to which CONTRACTOR is
12 a party and in which one or more of its directors has a material financial interest. Members of the
13 Board of Directors shall disclose any self-dealing transactions that they are a party to by completing and
14 signing a Self-Dealing Transaction Disclosure Form, attached hereto as Exhibit C and by this reference
15 incorporated herein, and submitting it to COUNTY prior to commencing with the self-dealing
16 transaction or immediately thereafter.
17 14. NON-DISCRIMINATION
18 During the performance of this Agreement CONTRACTOR shall not unlawfully
19 discriminate against any employee or applicant for employment, or recipient of services, because of
20 ethnic group identification, gender, gender identity, gender expression, sexual orientation, color,
21 physical disability, mental disability, medical condition, national origin, race, ancestry, marital status,
22 religion, or religious creed, pursuant to all applicable State of California and Federal statutes and
23 regulations.
24 15. LIMITED ENGLISH PROFICIENCY (LEP)
25 CONTRACTOR shall provide interpreting and translation services to persons
26 participating in CONTRACTOR's services who have limited or no English language proficiency,
27 including services to persons who are deaf or blind. Interpreter and translation services shall be
28 provided as necessary to allow such participants meaningful access to the programs, services and

1 benefits provided by CONTRACTOR. Interpreter and translation services, including translation of
2 CONTRACTOR's "vital documents" (those documents that contain information that is critical for
3 accessing CONTRACTOR's services or are required by law) shall be provided to participants at no cost
4 to the participant. CONTRACTOR shall ensure that any employees, agents, CONTRACTORS, or
5 partners who interpret or translate for a program participant, or who directly communicate with a
6 program participant in a language other than English, demonstrate proficiency in the participant's
7 language and can effectively communicate any specialized terms and concepts peculiar to
8 CONTRACTOR's services.
9 16. CONFIDENTIALITY
10 All services performed by CONTRACTOR under this Agreement shall be in strict
11 conformance with all applicable Federal, State of California and/or local laws and regulations relating
12 to confidentiality.
13 17. DATA SECURITY
14 For the purpose of preventing the potential loss, misappropriation or inadvertent
15 disclosure of COUNTY data including sensitive or personal client information; abuse of County
16 resources; and/or disruption to County operations, individuals and/or agencies that enter into a
17 contractual relationship with the COUNTY for the purpose of providing services under this Agreement
18 must employ adequate data security measures to protect the confidential information provided to the
19 CONTRACTOR by the COUNTY, including but not limited to the following:
20 A. CONTRACTOR-Owned Mobile/Wireless/Handheld Devices may not be
21 connected to County networks via personally owned mobile, wireless or handheld devices, except
22 when authorized by COUNTY for telecommuting and then only if virus protection software currency
23 agreements are in place and if a secure connection is used.
24 B. CONTRACTOR-Owned Computers or Computer Peripherals may not brought
25 into the COUNTY for use without prior authorization from the COUNTY's Chief Information Officer
26 and/or designee(s), including and not limited to mobile storage devices. Data must be stored on a
27 secure server approved by the COUNTY and transferred by means of a VPN (Virtual Private
28 Network) connection, or another type of secure connection of this type if any data is approved to be

1 transferred.
2 C. County-Owned Computer Equipment—CONTRACTOR or anyone having an
3 employment relationship with the COUNTY may not use COUNTY computers or computer
4 peripherals on non-COUNTY premises without prior authorization from the COUNTY's Chief
5 Information Officer and/or designee(s).
6 D. CONTRACTOR may not store COUNTY's private, confidential or sensitive
7 data on any hard-disk drive.
8 E. CONTRACTOR is responsible to employ strict controls to insure the integrity
9 and security of the COUNTY's confidential information and to prevent unauthorized access to data
10 maintained in computer files, program documentation, data processing systems, data files and data
11 processing equipment which stores or processes COUNTY data internally and externally.
12 F.Confidential client information transmitted to one party by the other by means of
13 electronic transmissions must be encrypted according to Advanced Encryption Standards (AES) of 128
14 BIT or higher. Additionally, a password or pass phrase must be utilized.
15 G. CONTRACTOR is responsible to immediately notify COUNTY of any breaches
16 or potential breaches of security related to COUNTY's confidential information, data maintained in
17 computer files,program documentation, data processing systems, data files and data processing
18 equipment which stores or processes COUNTY data internally or externally.
19 H. In the event of a breach of security related to COUNTY's confidential client
20 information provided to CONTRACTOR, COUNTY will manage the response to the incident,
21 however, CONTRACTOR will be responsible to issue any notification to affected individuals as
22 required by law or as deemed necessary by COUNTY in its sole discretion. CONTRACTOR will be
23 responsible for all costs incurred as a result of providing the required notification.
24 18. CLEAN AIR AND WATER
25 In the event the funding under this Agreement exceeds One Hundred Thousand and
26 No/I00 Dollars ($100,000.00), CONTRACTOR shall comply with all applicable standards, orders, or
27 requirements issued under the Clean Air Act contained in 42 U.S. Code 7601 et seq.; the Clean Water
28 Act contained in 33 U.S. Code 1368 et seq.; and any standards, laws, and regulations promulgated

1 thereunder. Under these laws and regulations, CONTRACTOR shall assure:
2 A. No facility shall be utilized in the performance of the Agreement that has been
3 listed on the Environmental Protection Agency(EPA) list of Violating Facilities;
4 B. COUNTY shall be notified prior to execution of this Agreement of the receipt
5 of any communication from the Director, Office of Federal Activities, U.S. EPA indicating that a
6 facility to be utilized in the performance of this Agreement is under consideration to be listed on the
7 EPA list of Violating Facilities;
8 C. COUNTY and U.S. EPA shall be notified about any known violation of the
9 above laws and regulations; and
10 D. This assurance shall be included in every nonexempt subgrant, contract, or
11 subcontract.
12 19. DRUG-FREE WORKPLACE REQUIREMENTS
13 For purposes of this paragraph, CONTRACTOR will be referred to as the "grantee".
14 By drawing funds against this grant award, the grantee is providing the certification that is required by
15 regulations implementing the Drug-Free Workplace Act of 1988, 45 CFR Part 76, Subpart F. These
16 regulations require certification by grantees that they will maintain a drug-free workplace. False
17 certification or violation of the certification shall be grounds for suspension of payments, suspension
18 or termination of grants, or government wide suspension or debarment.
19 20. CERTIFICATION REGARDING DEBARMENT, SUSPENSION,
INELIGIBILITY AND VOLUNTARY EXCLUSION-LOWER TIER COVERED
20 TRANSACTIONS
21 A. COUNTY and CONTRACTOR recognize that Federal assistance funds will be
22 used under the terms of this Agreement. For purposes of this paragraph, CONTRACTOR will be
23 referred to as the "prospective recipient".
24 B. This certification is required by the regulation implementing Executive Order
25 12549, Debarment and Suspension, 29 CFR Part 98, section 98.510, Participant's responsibilities.
26 1) The prospective recipient of Federal assistance funds certified by
2 7 entering into this Agreement, that neither it nor its principals are presently debarred, suspended,
28 proposed for debarment, declared ineligible, or voluntarily excluded from participation in this

1 transaction by any Federal department or agency.
2 2) The prospective recipient of funds agrees by entering into this
3 Agreement, that it shall not knowingly enter into any lower tier covered transaction with a person who
4 is debarred, suspended, declared ineligible, or voluntarily excluded from participation in this covered
5 transaction,unless authorized by the Federal department or agency with which this transaction
6 originated.
7 3) Where the prospective recipient of Federal assistance funds is unable to
8 certify to any of the statements in this certification, such prospective participant shall attach an
9 explanation to this Agreement.
10 4) The prospective recipient shall provide immediate written notice to
11 COUNTY if at any time prospective recipient learns that its certification in Paragraph twenty(20) of
12 this Agreement was erroneous when submitted or has become erroneous by reason of changed
13 circumstances.
14 5) The prospective recipient further agrees that by entering into this
15 Agreement, it will include a clause identical to Paragraph twenty(20) of this Agreement and titled
16 "Certification Regarding Debarment, Suspension, Ineligibility and Voluntary Exclusion-Lower Tier
17 Covered Transactions", in all lower tier covered transactions and in all solicitations for lower tier
18 covered transaction.
19 6) The certification in Paragraph twenty(20) of this Agreement is a material
20 representation of fact upon which COUNTY relied in entering into this Agreement.
21 21. ACKNOWLEDGEMENT
22 CONTRACTOR shall acknowledge in all public relations activities, materials and
23 publications that COUNTY is the funding source for services to be provided through this Agreement.
24 22. POLITICAL ACTIVITY
25 None of the funds, materials,property or services provided directly or indirectly under
26 this Agreement shall be used for any political activity, or to further the election or defeat of any
27 candidate for public office.

1 23. LOBBYING ACTIVITY
2 None of the funds provided under this Agreement shall be used for publicity, lobbying or
3 propaganda purposes designed to support or defeat legislation pending in the Congress of the United
4 States of America or the Legislature of the State of California.
5 24. STATE ENERGY CONSERVATION
6 CONTRACTOR shall recognize the mandatory standard and policies relating to energy
7 efficiency in the State Energy Conservation Plan as required by the United States Energy Policy and
8 Conservation Act(42 U.S.C. section 6201, et seq).
9 25. FRATERNIZATION
10 CONTRACTOR shall establish procedures addressing fraternization between
11 CONTRACTOR staff and clients. Such procedures will include provisions for informing
12 CONTRACTOR staff and clients regarding fraternization guidelines.
13 26. INTERPRETATION OF LAWS AND REGULATIONS
14 COUNTY reserves the right to make final interpretations or clarifications on issues
15 relating to Federal and State laws and regulations, to ensure compliance.
16 27. COMPLIANCE WITH APPLICABLE LAWS AND REGULATIONS
17 COUNTY and PROVIDER, their officers, consultants, SUB CONTRACTOR, agents,
18 and employees shall comply with all applicable State, Federal, and local laws and regulations governing
19 projects that utilize Federal Funds.
20 28. RECORDS
21 A. Record Establishment and Maintenance
22 CONTRACTOR shall establish and maintain records in accordance with those
23 requirements prescribed by COUNTY, with respect to all matters covered by this Agreement.
24 CONTRACTOR shall retain all fiscal books, account records and client files for services performed
25 under this Agreement for at least three (3) years from date of final payment under this Agreement or
26 until all State and Federal audits are completed for that fiscal year, whichever is later.
27 B. Cost Documentation
28 1) CONTRACTOR shall submit to COUNTY within ten(10) calendar days

1 following the end of each month, all fiscal and program reports for that month. CONTRACTOR shall
2 also furnish to COUNTY such statements, records, data and information as COUNTY may request
3 pertaining to matters covered by this Agreement. In the event that CONTRACTOR fails to provide
4 reports as provided herein, it shall be deemed sufficient cause for COUNTY to withhold payments until
5 compliance is established.
6 2) All costs shall be supported by properly executed payrolls, time records,
7 invoices, vouchers, orders, or any other accounting documents pertaining in whole or in part to this
8 Agreement and they shall be clearly identified and readily accessible. The support documentation must
9 indicate the line budget account number to which the cost is charged.
10 3) COUNTY shall notify CONTRACTOR in writing within thirty(30) days
11 of any potential State or Federal audit exception discovered during an examination. Where findings
12 indicate that program requirements are not being met and State or Federal participation in this program
13 may be imperiled in the event that corrections are not accomplished by CONTRACTOR within thirty
14 (30) days of receipt of such notice from COUNTY, written notification thereof shall constitute
15 COUNTY's intent to terminate this Agreement.
16 C. Service Documentation
17 CONTRACTOR agrees to maintain records to verify services under this
18 Agreement including names and addresses of clients served, the date of service and a description of
19 services provided on each occasion. These records and any other document pertaining in whole or in
20 part to this Agreement shall be clearly identified and readily accessible.
21 D. Use of Data
22 CONTRACTOR shall grant to COUNTY and the United States Department
23 Health and Human Services the royalty-free, nonexclusive and irrevocable license throughout the world
24 to publish, translate, reproduce, deliver,perform, dispose of, duplicate,use, disclose in any manner and
25 for any purpose whatsoever and to authorize others to do so, all subject data now or hereafter covered
26 by copyright. However, with respect to subject data not originated in the performance of this
2 7 Agreement, such license shall be only to the extent that CONTRACTOR has the right to grant such
28 license without becoming liable to pay any compensation to others because of such grant.

1 CONTRACTOR shall exert all reasonable effort to advise COUNTY at time of delivery of subject data
2 furnished under this Agreement, of all possible invasions of the right of privacy therein contained, and
3 of all portions of such subject data copied from work not composed or produced in the performance of
4 this Agreement and not licensed under this provision.
5 As used in this clause, the term "Subject Data"means writing, sound recordings,
6 pictorial reproductions, drawings, designs or graphic representations,procedural manuals, forms,
7 diagrams, work flow charts, equipment descriptions, data files and data processing of computer
8 programs, and works of any similar nature (whether or not copyrighted or copyrightable)which are first
9 produced or developed under this Agreement. The term does not include financial reports, cost
10 analyses and similar information incidental to contract administration.
11 CONTRACTOR shall report to COUNTY promptly and in written detail, each
12 notice of claim of copyright infringement received by CONTRACTOR with respect to all subject data
13 delivered under this Agreement. CONTRACTOR shall not affix any restrictive markings upon any
14 data. If markings are affixed, COUNTY shall have the right at any time to modify, remove, obliterate
15 or ignore such markings.
16 COUNTY shall have access to any report,preliminary findings or data assembled
17 by CONTRACTOR under this Agreement. In addition, CONTRACTOR must receive written
18 permission from COUNTY prior to publication of any materials developed under this Agreement and
19 file with COUNTY a copy of all educational and training materials, curricula, audio/visual aids, printed
20 material and periodicals, assembled pursuant to this Agreement prior to publication.
21 29. SINGLE AUDIT CLAUSE
22 A. If CONTRACTOR expends Five Hundred Thousand Dollars ($500,000.00) or
23 more in Federal and Federal flow-through monies, CONTRACTOR agrees to conduct an annual audit
24 in accordance with the requirements of the Single Audit Standards as set forth in Office of
25 Management and Budget(OMB) Circular A-133, and A-122. CONTRACTOR shall submit said
26 audit and management letter to COUNTY. The audit must include a statement of findings or a
27 statement that there were no findings. If there were negative findings, CONTRACTOR must include a
28 corrective action plan signed by an authorized individual. CONTRACTOR agrees to take action to

1 correct any material non-compliance or weakness found as a result of such audit. Such audit shall be
2 delivered to COUNTY's Human Services System, Administration, for review within nine (9)months
3 of the end of any fiscal year in which funds were expended and/or received for the program. Failure to
4 perform the requisite audit functions as required by this Agreement may result in COUNTY
5 performing the necessary audit tasks, or at COUNTY's option, contracting with a public accountant to
6 perform said audit, or, may result in the inability of COUNTY to enter into future agreements with
7 CONTRACTOR. All audit costs related to this Agreement are the sole responsibility of
8 CONTRACTOR.
9 B. A single audit report is not applicable if all CONTRACTOR's Federal contracts
10 do not exceed the Five Hundred Thousand Dollars ($500,000.00). If a single audit is not applicable, a
11 program audit must be performed and a program audit report with management letter shall be
12 submitted by CONTRACTOR to COUNTY as a minimum requirement to attest to CONTRACTOR's
13 solvency. Said audit report shall be delivered to COUNTY's Human Services System, Accounting
14 Office for review no later than nine (9) months after the close of the fiscal year in which the funds
15 supplied through this Agreement are expended. Failure to comply with this Act may result in
16 COUNTY performing the necessary audit tasks or contracting with a qualified accountant to perform
17 said audit. All audit costs related to this Agreement are the sole responsibility of CONTRACTOR
18 who agrees to take corrective action to eliminate any material noncompliance or weakness found as a
19 result of such audit. Audit work performed by COUNTY under this paragraph shall be billed to the
20 CONTRACTOR at COUNTY cost, as determined by COUNTY's Auditor-Controller/Treasurer-Tax
21 Collector.
22 C. CONTRACTOR shall make available all records and accounts for inspection by
23 COUNTY, the State of California, if applicable, the Comptroller General of the United States, the
24 Federal Grantor Agency, or any of their duly authorized representatives, at all reasonable times for a
25 period of at least three (3) years following final payment under this Agreement or the closure of all
26 other pending matters, whichever is later.

1 30. TAX EQUITY AND FISCAL RESPONSIBILITY ACT
2 To the extent necessary to prevent disallowance of reimbursement under section 1861(v)
3 (1) (I) of the Social Security Act, (42 U.S.C. § 1395x, subd. (v)(1)[I]), until the expiration of four(4)
4 years after the furnishing of services under this Agreement, CONTRACTOR shall make available, upon
5 written request to the Secretary of the United States Department of Health and Human Services, or upon
6 request to the Comptroller General of the United States General Accounting Office, or any of their duly
7 authorized representatives, a copy of this Agreement and such books, documents, and records as are
8 necessary to certify the nature and extent of the costs of these services provided by CONTRACTOR
9 under this Agreement. CONTRACTOR further agrees that in the event CONTRACTOR carries out
10 any of its duties under this Agreement through a subcontract, with a value or cost of Ten Thousand and
11 No/100 Dollars ($10,000.00) or more over a twelve (12) month period, with a related organization, such
12 Agreement shall contain a clause to the effect that until the expiration of four(4) years after the
13 furnishing of such services pursuant to such subcontract, the related organizations shall make available,
14 upon written request to the Secretary of the United States Department of Health and Human Services, or
15 upon request to the Comptroller General of the United States General Accounting Office, or any of their
16 duly authorized representatives, a copy of such subcontract and such books, documents, and records of
17 such organization as are necessary to verify the nature and extent of such costs.
18 31. CHILD ABUSE REPORTING
19 CONTRACTOR's employees, volunteers, consultants, CONTRACTORS or agents
20 performing services under this Agreement shall report all known or suspected child abuse or neglect to
21 one or more of the agencies set forth in Penal Code section 11165.9. This procedure shall include
22 having all of CONTRACTOR's employees, volunteers, consultants, CONTRACTORS or agents
23 performing services under this Agreement sign a statement that he or she knows of and will comply
24 with the reporting requirements set forth in Penal Code section 11166. The statement to be utilized by
25 the CONTRACTOR is set forth in Exhibit D,Notice of Child Abuse Reporting Law, attached hereto
26 and by this reference incorporated herein.
27 32. CHARITABLE CHOICE
28 CONTRACTOR may not discriminate in its program delivery against a client or

1 potential client on the basis of religion or religious belief, a refusal to hold a religious belief, or a refusal
2 to actively participate in a religious practice. Any specifically religious activity or service made
3 available to individuals by CONTRACTOR must be voluntary as well as separate in time and location
4 from County funded activities and services. CONTRACTOR shall inform COUNTY as to whether it is
5 faith-based. If CONTRACTOR identifies as faith-based it must submit to DSS a copy of its policy on
6 referring individuals to an alternate treatment provider, and include a copy of this policy in its client
7 admission forms. The policy must inform individuals that they may be referred to an alternative
8 provider if they object to the religious nature of the program, and include a notice to DSS. Adherence
9 to this policy will be monitored during annual site reviews, and a review of client files. If
10 CONTRACTOR identifies as faith-based,by July 1 of each year CONTRACTOR will be required to
11 report to DSS the number of individuals who requested referrals to alternate providers based on
12 religious objection.
13 33. PERSONNEL DISCLOSURE
14 CONTRACTOR shall make available to COUNTY a current list of all personnel
15 providing services hereunder. Changes to this list will be immediately provided to COUNTY in
16 writing. The list shall provide the following information:
17 A. All full or part-time staff positions by title whose direct services are required to
18 provide the programs described herein;
19 B. A brief description of the functions of each such position and hours each person
20 in such position works each week or, for part-time positions, each day or month, as appropriate;
21 C. The education and experience levels required for each position; and
22 D. The names of persons filling the identified positions.
23 34. PROHIBITION ON PUBLICITY
24 None of the funds, materials,property or services provided directly or indirectly under
25 this Agreement shall be used for CONTRACTOR's advertising, fundraising, or publicity(i.e.,
26 purchasing of tickets/tables, silent auction donations, etc.) for the purpose of self-promotion.
27 Notwithstanding the above, publicity of the services described in Paragraph One (1) of this Agreement
28 shall be allowed as necessary to raise public awareness about the availability of such specific services

1 when approved in advance by the Director or designee and at a cost as provided in Exhibit B for such
2 items as written/printed materials, the use of media(i.e., radio, television, newspapers) and any other
3 related expense(s).
4 35. PROPERTY OF COUNTY
5 All purchases over Five Thousand and No/100 Dollars ($5,000.00), and certain
6 purchases under Five Thousand and No/100 Dollars ($5,000.00) including but not limited to fans,
7 calculators, cameras and other sensitive items as determined by COUNTY's DSS Director or designee
8 made during the life of this Agreement shall be identified as fixed assets with an assigned COUNTY
9 Accounting Inventory Number. These fixed assets shall be retained by COUNTY, as COUNTY
10 property, in the event this Agreement is terminated or upon expiration of this Agreement. The
11 CONTRACTOR agrees to participate in an annual inventory of all COUNTY fixed assets and shall be
12 physically present when fixed assets are returned to COUNTY possession at the termination or
13 expiration of this Agreement.
14 36. AUDITS AND INSPECTIONS
15 CONTRACTOR shall at any time during business hours, and as often as COUNTY may
16 deem necessary, make available to COUNTY for examination all of its records and data with respect to
17 the matters covered by this Agreement. CONTRACTOR shall,upon request by COUNTY, permit
18 COUNTY to audit and inspect all such records and data necessary to ensure CONTRACTOR's
19 compliance with the terms of this Agreement.
20 If this Agreement exceeds Ten Thousand and No/100 Dollars ($10,000.00),
21 CONTRACTOR shall be subject to the examination and audit of the State of California Auditor
22 General for a period of three (3) years after final payment under contract(California Government Code
23 section 8546.7).
24 37. NOTICES

13 notice delivered by telephonic facsimile is effective when transmission to the recipient is completed(but, if
14 such transmission is completed outside of COUNTY business hours,then such delivery shall be deemed to
15 be effective at the next beginning of a COUNTY business day),provided that the sender maintains a
16 machine record of the completed transmission. For all claims arising out of or related to this Agreement,
17 nothing in this section establishes,waives, or modifies any claims presentation requirements or procedures
18 provided by law, including but not limited to the Government Claims Act(Division 3.6 of Title 1 of the
19 Government Code,beginning with section 810).
20 38. CHANGE OF LEADERSHIP/MANAGEMENT
21 Any and all notices between COUNTY and CONTRACTOR provided for or permitted
22 under this Agreement or by law, shall be in writing and shall be deemed duly served when personally
23 delivered to one of the parties, or in lieu of such personal service, when deposited in the United States
24 Mail, postage prepaid, addressed to such party.
25 In the event of any change in the status of CONTRACTOR'S leadership or management,
26 CONTRACTOR shall provide written notice to COUNTY within thirty(30) days from the date of
2 7 change. Such notification shall include any new leader or manager's name, address and qualifications.
28 "Leadership or management" shall include any employee, member, or owner of CONTRACTOR who

1 either a) directs individuals providing services pursuant to this Agreement, b) exercises control over
2 the manner in which services are provided, or c) has authority over CONTRACTOR's finances.
3 39. GOVERNING LAW
4 The parties agree, that for the purposes of venue, performance under this Agreement is
5 to be in Fresno County, California.
6 The rights and obligations of the parties and all interpretation and performance of this
7 Agreement shall be governed in all respects by the laws of the State of California.
8 40. ENTIRE AGREEMENT
9 This Agreement, including all Exhibits, COUNTY's RFP No. 20-006 and
10 CONTRACTOR's response thereto, constitutes the entire agreement between CONTRACTOR and
11 COUNTY with respect to the subject matter hereof and supersedes all previous agreement
12 negotiations,proposals, commitments, writings, advertisements,publications and understandings of
13 any nature whatsoever unless expressly included in this Agreement.

PROJECT DESCRIPTION
Cultural Brokers, Inc. (Contractor) will provide an array of services to Child Welfare families and new foster
parents to increase reunification, permanency, safety and well-being as set forth in Contractor's Response to
County's RFP No. 20-006, including Addendum No. One (1). Parent Partners increase the quality of the
relationship between Fresno County Department of Social Services child welfare staff and the families
they serve. The Parent Partner will provide support to families who are involved with the child welfare
system, while the Caregiver Home Visitor will provide information and support to new foster parents. The
Parent Partner and Caregiver Home Visitor will receive referrals from Department staff and will coordinate
with a DSS Social Worker to contact and engage the family. The Parent Partners will provide services
designed to engage, support and educate the family as they navigate the Child Welfare System.
The Parent Partners will provide support to the family through participation in Team Decision Meetings
(TDMs), Child Family Team (CFT) meetings, one-on-one support, peer support groups and Caregiver
Home Visits. The Parent Partners and Caregiver Home Visitor will provide information, support and
technical assistance to Child Welfare families and new foster parents within Fresno and the surrounding
community as set forth in contractor's Response to County's RFP No. 20-006, including Addendum No.
One (1). Cultural Brokers, Inc. will provide the services listed below annually:

CONTRACTOR RESPONSIBILITIES:
1. Contractor will document services, as appropriate, using a computer-based program, in addition to
other tracking methods. Contractor will attend program and contract meetings coordinated by DSS.
2. Contractor will complete and submit monthly activity reports in a manner determined by DSS.
3. Contractor will obtain DSS written approval before making any capital improvements or purchases of
equipment or fixtures costing more than $5,000.
4. Contractor will obtain DSS written approval prior to any change in service location.
5. Contractor agrees existing services funded from other sources are considered in-kind for this
agreement.
6. Contractor will provide annual Civil Rights training to their staff in the first quarter of every calendar

SELF-DEALING TRANSACTION DISCLOSURE FORM
In order to conduct business with the County of Fresno (hereinafter referred to as "County"),
members of a contractor's board of directors (hereinafter referred to as "County Contractor"), must
disclose any self-dealing transactions that they are a party to while providing goods, performing
services, or both for the County. A self-dealing transaction is defined below:
"A self-dealing transaction means a transaction to which the corporation is a party and in which one
or more of its directors has a material financial interest"
The definition above will be utilized for purposes of completing this disclosure form.
INSTRUCTIONS
(1) Enter board member's name,job title (if applicable), and date this disclosure is being made.
(2) Enter the board member's company/agency name and address.
(3) Describe in detail the nature of the self-dealing transaction that is being disclosed to the
County. At a minimum, include a description of the following:
a. The name of the agency/company with which the corporation has the transaction; and
b. The nature of the material financial interest in the Corporation's transaction that the
board member has.
(4) Describe in detail why the self-dealing transaction is appropriate based on applicable
provisions of the Corporations Code.
(5) Form must be signed by the board member that is involved in the self-dealing transaction
described in Sections (3) and (4).

NOTICE OF CHILD ABUSE REPORTING LAW
The undersigned hereby acknowledges that Penal Code section 11166 and the contractual
obligations between County of Fresno (COUNTY) and Cultural Brokers, Inc. related to
provision of services, require that the undersigned report all known or suspected child abuse or
neglect to one or more of the agencies set forth in Penal Code (P.C.) section (§) 11165.9.
For purposes of the undersigned's child abuse reporting requirements, "child abuse or
neglect" includes physical injury inflicted by other than accidental means upon a child by
another person, sexual abuse as defined in P.C. §11165.1, neglect as defined in P.C. §11165.2,
willful cruelty or unjustifiable punishment as defined in P.C. §11165.3, and unlawful corporal
punishment or injury as defined in P.C. §11165.4.
A child abuse report shall be made whenever the undersigned, in his or her professional
capacity or within the scope of his or her employment, has knowledge of or observes a child
whom the undersigned knows or reasonably suspects has been the victim of child abuse or
neglect. (P.0 §11166.) The child abuse report shall be made to any police department or
sheriff's department(not including a school district police or security department), or to any
county welfare department, including Fresno County Department of Social Services' 24 Hour
CARELINE. (See PC §11165.9.)
For purposes of child abuse reporting, a"reasonable suspicion"means that it is
objectively reasonable for a person to entertain a suspicion, based upon facts that could cause a
reasonable person in a like position, drawing, when appropriate, on his or her training and
experience, to suspect child abuse or neglect. The pregnancy of a child does not, in and of
itself, constitute a basis for reasonable suspicion of sexual abuse. (P.C. §11166(a)(1).)
Substantial penalties may be imposed for failure to comply with these child abuse
reporting requirements. Further information and a copy of the law may be obtained from the
County of Fresno Department of Social Services Director or designee.
