HomeMy WebLinkAboutAgreement A-18-252-1 with Two Q Inc..pdf 19-0127 Agreement No. 18-252-1 1 AMENDMENT I TO AGREEMENT 2 THIS AMENDMENT TO AGREEMENT (hereinafter "Amendment") is made and entered into 3 this 26th day of March, 2019, by and between COUNTY OF FRESNO, a Political Subdivision of the 4 State of California, Fresno, California (hereinafter "COUNTY"), and TWO Q, INC., a California 5 Corporation, whose address is 7589 North Wilson Avenue, Suite 103, Fresno, CA. 93711, (hereinafter 6 referred to as "CONTRACTOR"). 7 WITNESSETH: 8 WHEREAS, COUNTY and CONTRACTOR entered into Agreement number 18-252, dated the 9 81h day of May, 2018 (hereinafter "Agreement"), pursuant to which CONTRACTOR agreed to provide 10 to the COUNTY, through its Department of Public Health, full-service advertising and media 11 communications services; and 12 WHEREAS, COUNTY and CONTRACTOR now desire to amend the Agreement to provide 13 similar services for Phase I of the Department of Public Works & Planning's Environmental 14 Compliance Center neighborhood outreach. 15 NOW, THEREFORE, for good and valuable consideration, the receipt and adequacy of which 16 is hereby acknowledged, COUNTY and CONTRACTOR agree as follows: 17 1. Section 1 of the Agreement, beginning on page 1, line 24 and ending on page 2, line 2, 18 is deleted in its entirety and replaced with the following: 19 Ill. OBLIGATIONS OF CONTRACTOR 20 A. CONTRACTOR shall perform all services and fulfill all responsibilities as 21 described in Exhibit A, attached hereto and incorporated herein by this 22 reference, for the duration of this Agreement. 23 B. CONTRACTOR shall perform all services and fulfill all responsibilities as 24 described in Exhibit A-1, attached hereto and incorporated herein by this 25 reference, during the timeframe commencing with the effective date of this 26 Amendment and ending on June 30, 2019, by which time the services 27 described in Exhibit A-1 must be fully performed by CONTRACTOR. 28 C. CONTRACTOR shall provide these services to each of the respective - 1 - 1 Department's programs as stated in Exhibit B and Exhibit B-1, attached 2 hereto and incorporated by this reference. Provided, that Exhibit B shall be 3 applicable only for the first year of the Agreement or until it is updated as 4 provided in Section 2 of the Agreement; and Exhibit B-1 shall be effect only (5' during the time for CONTRACTOR's performance as specified in Exhibit A- J' 1.11 2. Section 2 of the Agreement, beginning on page 2, line 3 and ending on page 2, line 16, 8 is deleted in its entirety and replaced with the following: (; 112. OBLIGATIONS OF THE COUNTY 10 A. Beginning with the second year of the Agreement, COUNTY shall annually 11 provide to CONTRACTOR an updated revision to Exhibit B for the remaining 12 duration of the Agreement 13 B. COUNTY shall, to the extent reasonable and practical, as determined by 14 COUNTY's Director of the respective Department, or his or her designee, 15 assist and cooperate with CONTRACTOR in the performance of 16 CONTRACTOR's services described in this Agreement. Such cooperation 17 and assistance may include, but not necessarily be limited to: (i) meeting 18 with CONTRACTOR to define Department and program procedures, 19 requirements, and goals; (ii) providing information required for 20 CONTRACTOR to complete Annual Comprehensive Communication Plan 21 as described in Exhibit A and Exhibit A-1; and (iii) facilitating communication 22 between CONTRACTOR, Department program staff and community 23 partners to enhance collaborative outcomes. 24 C. COUNTY shall, by and through the Director of the respective Department or 25 his or her designee, implement and administer the terms of this Agreement." 26 3. Section 5C of the Agreement, beginning on page 4, line 18 and ending on page 4, line 27 24, is deleted in its entirety and replaced with the following: 28 "C. For the period commencing upon execution though and including June 30, - 2 - 1 2019, in no event shall services performed under this Agreement be in 2 excess of $980,000. For each subsequent year (July 1 —June 30 of the 3 following year, in no event shall services performed under this agreement be 4 in excess of $700,000. In no event shall services performed under this 5 Agreement be in excess of $3,780,000 during the term of this Agreement. It 6 is understood that all expenses incidental to CONTRACTOR's performance 7 of services under this Agreement shall be borne by CONTRACTOR." 8 COUNTY and CONTRACTOR agree that this Amendment is sufficient to amend the 9 Agreement and, that upon execution of this Amendment, the Agreement and this Amendment together 10 shall be considered the Agreement. 11 The Agreement, as hereby amended, is ratified and continued. The County will be relocating this Facility to 310 South West Avenue, Fresno to provide AADS the opportunity to expand landfill operations to the current site. The Department of Public Works and Planning staff and the MOU Committee representatives have worked closely to plan for the relocation of the existing ECC to a more central location to better serve the majority of county residents. As the County moves to relocate the HHWC Facility, which will include the siting, construction and opening of a new facility to be identified as the "Environmental Compliance Center" (ECC), it seeks professional assistance to develop education and public information materials with an emphasis on the ECC Facility program to provide specialized targeted messaging to all the various communities within Fresno County. The education and outreach efforts will allow for community participation and engagement, address neighborhood needs, provide equitable access to resources, confront barriers, and incorporate diverse perspectives into the County's program activities. It will also expand awareness of, and services to the various neighborhoods, address language barriers to best serve the various communities and ensure that the County's vision for solid waste recycling infrastructure includes minimizing negative impacts to disadvantaged communities. The ECC project is now undergoing the Initial Study and Conditional Use Permit process, which is scheduled to be completed by June 30, 2019. As part of this process the Department of Public Works and Planning - Resources Division desires to demonstrate due diligence in meeting state requirements of environmental justice through public education and outreach to the neighborhoods closest to the ECC. This outreach needs to be completed prior to the conclusion of the permitting process and in preparation for the Planning Commission's public notice and hearing. ECC Initial Outreach Elements Phase I—Development and Outreach Phase Throughout the course of Phase I, representatives from 1P will work closely with specified members of the Fresno County Public Works(FCPW)team to ensure consistency in both outreach messaging and overall brand appearance. Phase I—Development and Outreach Phase The Development Phase (or, Phase 1) will begin with a kickoff meeting between members of the JP Marketing team and FCPW to gather all the necessary information as it relates to the planned development of the ECC. Following the kickoff meeting,JP will begin the development of a simple brand identity mark that will serve as the logo for the ECC as a whole; the proposed brand mark will also be placed on all outreach materials(i.e.,press releases, media advisories, poster boards) in conjunction with any required FCPW logos to aide in the community recognition of the proposed ECC brand.The mark itself will be developed in a way that is both simple but recognizable from afar as it will potentially be utilized in signage around the facility and alongside Freeway 180. Once the brand mark is complete,the next part of Phase I will include the development of a series of informational materials that will be utilized in a door-to-door campaign to the neighborhoods surrounding the ECC location. The informational materials JP will develop will include a proposed two-sided one-sheet that will serve as a "Frequently Asked Questions" piece to answer a series of potential foreseen questions as they related to the ECC such as: Exhibit A-1 Page 2 of 2 • What materials are accepted at the proposed facility? • Will my family/children be exposed or put at danger with any of the materials that will be accepted at this facility? • How much will it cost me to utilize this facility? • How is it being funded and will there be any costs to me? JP will develop a final list of questions and appropriate answers in coordination with members of the FCPW team to ensure messaging remains both consistent and legal and follows all FCPW rules. Once a final English sheet has been developed,the messaging will be adapted to Spanish, Hmong and Punjabi to ensure messaging is properly available for any and all residents within the surrounding neighborhoods. Additional deliverables to be developed as part of Phase I will include: 1. Door Hanger -JP will develop a simple door hanger that will contain outreach messaging in both English and Spanish but will be made available in other languages, should a resident request materials in Hmong or Punjabi. The proposed door hanger will be provided as part of our door-to-door outreach to the surrounding neighborhoods of the ECC. 2. Accepted Items Informational Piece-A letter-sized "informational sheet" will be developed in coordination with FCPW staff members to clearly show which items will be accepted at the ECC.At the direction of the FCPW, this piece will utilize large graphics and images, as residents in the target demographic tend to more easily relate to and understand illustrated explanations. 3. Branded Promotional Items- In coordination with FCPW staff,JP will develop various promotional items to assist with outreach messaging.These pieces may include: pens,canvas bags, refrigerator magnets, etc.Specific promotional items will be discussed with FCPW staff in preparation for door-to-door outreach and forthcoming community meetings. Following the completion of all proposed pieces noted above,JP will continue with outreach assistance as it relates to various upcoming community meetings.Specific meeting needs will be discussed and determined between JP and FCPW staff members at the aforementioned kickoff meeting.Some of the pieces that 1P will develop for the upcoming community meetings will include: • Large poster board to display"accepted items" • Large poster board to display renderings of the forthcoming ECC • Vinyl banner with ECC logo • PowerPoint template/background for FCPW to present Phase One: Development and Outreach Phase- 1. Promotional Items— Timeline- Phase One is slated to begin development as soon as possible, pending Board of Supervisor review and approval, and will be slated for completion no later than June 30, 2019. Short Term Contract(Three to Four Months) Budget: $30,000 Exhibit B-1 Household Hazardous Waste Program(HHW) Each County/Region is required to have a Permanent Regional Household Hazardous Waste Collection Facility(PRHHWCF). The County and the 15 Incorporated Cities have formed the AB939 MOU Committee, and have partnered to meet this requirement.The County of Fresno is the lead agency. The PRHHWCF is being relocated from the American Avenue Landfill in Kerman to a new site at the Southwest Corner of West Dan Ronquillo Drive and South West Avenue in the City of Fresno. It will be called the Environmental Compliance Center, and will include a Conference/Education Center. Residents may drop-off household waste items that the haulers will not take, such as paint, batteries, fluorescent bulbs, household chemicals and pesticides, yard and pool chemicals,small propane tanks and fire extinguishers, for free. Small businesses may drop off their hazardous waste items by appointment for a fee. A Reuse Center will provide free access to these types of items in their original containers for reuse.
